PAYMENT TERMS

A. Payable at sight

MT799 reserved, blocked and callable for one year ONLY (value for one month

shipment, based on the surveyor’ s certification of quality and quantity of every

shipment delivered).

Documentary Letter of Credit issued by Irrevocable, Confirmed, Transferable and

Revolving from PRIME BANK, payable 100% at sight by Buyer’s Bank against Full Set of

Shipping Documents.

B. Payable at destiantion

By SWIFT MT103/TT/ or unnconditional RDLC transferable/callable/revolving (for

value of every shipment delivered upon completion of discharge at Buyer’s port, based

on the surveyor’s certification of quality and quantity of every shipment delivered)

2% unconditional SBLC of the face value of the SWIFT conditional MT103/23 or DLC

PENALTY

In the event of non-performance by the Seller, after the receipt, verification and

authentication of Buyer’s Pre-advice SWIFT for a) 2% PB, b) POP c) Product delivery, the

Seller will pay within 35 days delivery time the Full Face amount of the shipment in the

even the Buyer, after signing this FCO, fails in his commitment to SWIFT the Pre advice

SWIFT, the Buyer pays the seller 50% of the face value within 15 days of signing the

Contract





PROCEDURES:

A. Payable at sight

1) The buyer issues an Irrevocable Corporate Purchase Order (ICPO) with soft probe .

2) The seller issues a full corporate offer (FCO) to the buyer via email in word format

3) The buyer returns signed FCO via email in PDF format and receives a DRAFT

CONTRACT from the seller via email in word format

4) The buyer returns signed DRAFT CONTRACT to the seller via email in word format

5) The seller signs draft contract and returns it to buyer via email in PDF format

6) The seller will issue to the buyer four original hard copies of the contract via courier

to end buyer on the address as stated in contract.

7) Immediatley upon receiving the seller’s signed ans sealed hard copies of the contract

via courier, the buyer will personslly sign and seal the 4 hard copies and return 2 (two)

original by courier to the seller .

The buyer will then, within 3 (three) working days of receiving the hard copies, open

a Non-operative Fully Transferable Irrevocable Letter of Credit

9) the seller will, within 10-14 (ten to fourteen) business days of receipt of an acceptable

Non-operative payment instrument, issue bank to bank full pop and two percent (2%)

PERFORMANCE BOND for the value of the payment instrument, for each monthly

shipment

10) shipping will commence within 30-45 (thirty to forty five) days from date of seller’s

receipt of the acceptable Non-Operative payment instrument

B. Payable at destiantion



1) Buyer issues fresh LOI or ICPO

2) Seller issues FCO , Buyer signs, seals FCO by return email to seller for draft contract

which is to be signed electronically by the corporate Buyer.

3) Seller signs and seals contract, lodges it with his bank, sends it to the buyer for his

action with his bankers to send the Pre advice SWIFT conditional MT 103/23

(transferable, blocked and callable). A copy of the SWIFT dispatch to the Seller’s bank.

4) That within 3 banking days of receiving the Pre-Advice conditional MT103/23, seller

to issue 2% Performance Bond in the form of a Cash Bond

5) The Buyer’s Bank on receipt the 2% Cash Performance Bond, will immediately lift

the restriction of the Conditional MT103F23, thus making it an operative instrument .

6) That within 7 banking days of issuing 2%PB via MT103, seller to issue POP to the

Buyer on an EDT basis by mutual agreement, Bank to Bank with copy to Buyer

7) After receipt of 2% Performance Bond, Buyer issues invitation to Seller to proceed to

his destination for a TTM to sign Contract Original Copies and for TTM on shipping

outlay and other relevant details.

Seller charter vessels and the charter agreement will include endorsement stating and

include Buyer’s name with assigned quantities. Seller loads the cargo and get ready with

all documentation.

9) Payment will be effected based on the surveyor’s certification of quality and quantity.

No payment will be affected for the last shipment, with the PB returned to the Seller.




NOTE:

They sell to Nigeria/Africa (CIF LAGOS) the buyer as well the bank must be in Europe or USA. (Buyer must be out of Africa)
