*IT IS MUTUALLY AGREED AS FOLLOWS*

1. That the Consultant shall invest the Buyer fund at the rate of 1USD to N335/325..../5
with N5 Commission to the facilitators and Agents respectively.

2. The Consultant shall invest the Investor fund, the sum of
$1,200,000,000.00 in $50,000,000.00 tranches equivalent On weekly basis for the next Six Calendar Months, Naira equivalent or each tranches is sum of N17,000,000,000.00 (Seventeen Billion Naira)

3. That the Investor shall complete his account details, both domiciliary and Naira Account to pay Consultant the total
value in Naira.

4 *Upon Issuance of the buyer's proof of fund - RWA - Buyer shall SWIFT the instrument to seller's Bank - BANK OF AMERICA*.

5) THE SELLER WOULD PRE-ADVICE IMMEDIATELY AFTER RETURNING THE MOU AND RWA. IF THE BUYER REQUESTS FOR PRE-ADVICE.

(6) Otherwise, the Investor will immediately commence the transfer of the mutually agreed fund of $000,000.00 thousand sum to the investor nominated bank account; in 000,000 tranches and also, Investor must ensure remittances of Naira within 24hours to the Investor nominated account and according to the schedule of payment on page 2.

6) ALL MARKUP WOULD BE SHARED EQUALLY BETWEEN THE SELLER@ BUYER GROUPS

to arbitration by an independent body or licensed arbitrator.
