12.1. *SELLER ISSUES TO BUYER HIS SIGNED AND SEALED TRANSACTION SALES AND PURCHASE AGREEMENT (SPA) FOR BUYER TO COUNTER SIGN, SEAL AND RETURN SPA WITH BUYER'S ATB FORMAT, NNPC APPROVED AND ACCREDITED SUPPER-CARGO & INSPECTOR'S DETAILS AND THE SCANNED COPIES OF BOTH SUPPER-CARGO AND INSPECTOR'S INT'L PASSPORT DATA PAGES, CONTACT PHONE NUMBERS OF BOTH THE SUPPER-CARGO AND THE INSPECTOR, TO ENABLE US OPEN COMMUNICATIONS AND CONFIRM THEIR AVAILABILITY AND READINESS TO COME ONBOARD BEFORE MATB IS ISSUED.*

12.2. *THE SIGNED AND EXCHANGED COPIES OF THE SALES AND PURCHASE AGREEMENT (SPA) BY BOTH PARTIES WILL BE LODGED WITH BOTH PARTIES RESPECTIVE BANKS, AND SHALL REMAIN LEGALLY BINDING, ENFORCEABLE AND MUST NOT BE CHANGED.*

12.3. *WITHIN 24 BANKING HOURS OR SAME DAY OF THE EXCHANGED OF SPA, BUYER THROUGH BUYER'S BANK, WILL PLACE A BLOCK/LIEN FUND AMOUNT of (NGN#10,000,000) "Ten Million Naira Only" IN Seller's AUTHORIZED AND NOMINATED FIDUCIARY'S Bank ACCOUNT, FOR BOARDING GUARANTEE on Nigeria Waters, in Nigeria.*

12.4. *AFTER SELLER'S SUCCESSFUL CONFIRMATION OF THE BUYER'S BANK'S BLOCKED/LIEN FUND OF (NGN#10,000,000) IN SELLER'S NOMINATED FIDUCIARY'S ACCOUNT, THE SELLER WILL IMMEDIATELY, INSTRUCT THE LOADED Vessel's Captain to issue MATB/NNPC CLEARANCE WITHIN 72 HOURS OR THREE WORKING DAYS, to Buyer's Inspection Team to come onboard loaded Vessel FOR CARGO CONFIRMATION AND FOR Q&Q TEST ANALYSIS, ON LAGOS OUTSIDE BAR, ON NIGERIA WATERS.*

12.5. *Upon Cargo/Product confirmation and attestation jointly signed and sent to the Buyer and to THE SELLER by the Buyer's "SUPPER-CARGO" and our Vessel's Captain, and as inspector disembark with Cargo/Product sample while "THE BUYER'S SUPPER-CARGO" remains onboard, the (NGN#10,000,000) WILL BE RELEASE TO THE SELLER, AND THE Buyer will at that SAME instant transfer (NGN#100,000,000) One HUNDRED Million NAIRA cash to SELLER'S COMPANY'S account to cover BOARDING EXPENSES, AND for Cargo's Documentation cost before Q&Q.*

12.6. *After a successful Quantity and Quality Q&Q result/report, THE BUYER WILL THEN INSTRUCT HIS Bank TO place MT103/23 for total Cargo less/MINUS (NGN#110,000,000) ONE HUNDRED AND TEN MILLION NAIRA ALREADY PAID. THE SELLER THEN CONFIRMS MT103/23, AND send to the Buyer's Bank, the soft copies of Cargo's documents, alongside SELLER'S commercial invoice base on Cargo's Q&Q result/report, for the entire Cargo payments.*

12.7. *the Buyer THEN AFTER, INSTRUCT HIS BANK TO RELEASE PAYMENT for total Cargo via MT103 Cash Wire transfer according to the commercial invoice and pay all facilitators/agents commissions as stipulated on the signed and exchanged SPA.*

12.8. *Buyer will be introduced to Vessel's HANDLERS/SHIPPING COMPANY/AGENTS TO CONFIRM re-charter, AND BEGIN PROCESS FOR RE-CHARTER.*

12.9. *Seller confirms all payments and HAND OVER HARD copies of Cargo's documents including "Certificate of ownership, to the Buyer".*

12.10. *Vessel sails to Buyer's port of destination (POD).*

12.11. *Next shipment commences through item number "12.3." to item number "12.10.", with possible roll over and extension.*
