ROLE: LEGAL OFFICER / COMPANY SECRETARY.
REPORTS TO: Managing Director

JOB SUMMARY: To provide administrative and legal support to the company.

Key Responsibilities:

· Provide expert legal advice and guidance to the company on commercial law matters, including contracts, transactions, compliance, and regulatory issues.
· Assess and manage legal risks associated with business transactions and propose strategies for risk mitigation.
· Draft, review, and negotiate a variety of legal documents, including contracts, agreements, and corporate policies such as purchase agreements, among others.
· Conduct legal research and analysis to ensure the company is informed of relevant laws, regulations, and industry practices.
· Ensure contracts are properly structured, contain appropriate provisions, and protect the Company's interests.
· Advise the company on corporate governance matters, including board meetings, shareholder rights, and corporate structure.
· Assist in the preparation and filing of corporate documents, such as annual returns, etc.

Key Requirements:

* LLB degree from a recognized University.
* Minimum 3- 5 years post-call experience as a corporate commercial lawyer.
* ICSAN qualification & masters degree is an added advantage
* In-depth knowledge of corporate law, contract law, and commercial transactions.
* Strong analytical, problem-solving, and decision-making skills, with the ability to provide practical and strategic legal advice.
* Excellent drafting, negotiation, and analytical skills.
* Strong attention to detail and ability to manage multiple projects simultaneously.
* Sound business judgment and ability to balance legal risks with business objectives.
* Familiarity with corporate governance principles and compliance frameworks.
