A WRITTEN PROPERTY OR BUSINESS AGREEMENT NOT SIGNED BY PARTIES IS WORTHLESS At Apex Chambers, we always point out that a property/business purchase/lease agreement or any transaction document not signed by all the parties to the transaction has no legal value. It is a document without any value. The absence of signatures renders the agreement unenforceable. The implications of not signing a property or business Agreement are: 1. No Binding Contract: Without signatures, the agreement lacks contractual usefulness. 2. No Transfer of Ownership: Ownership cannot be transferred. 3. No Lease Commencement: Tenancy cannot begin without a signed lease. 4. Disputes and Litigation: Unsigned documents lead to costly yet avoidable property and business disputes. When you don't sign your property or business transaction documents, you lose legal rights and interests; you risk financial exposure and delayed or, worse still, failed transactions. So to avoid these negative legal consequences, ensure all parties sign and date the document, and verify their dentity and authority to transact; understand the terms of the agreement Be sure not to rely on verbal/oral property/business agreements or unsigned documents. Consult a reputable Property Lawyer to draft comprehensive agreements, ensure proper signing. Safeguard your property & business rights. INVESTIGATE EVERY PROPERTY YOU WANT TO TRANSACT IN In the last 17 years that we have rendered property & commercial legal services to diverse clients from different parts of the world, we have come to realize that one of the worst mistakes any person investing in any property, land/building/house can make is failing to engage a Property Lawyer to conduct comprehensive due diligence to be sure that the property of interest has no legal issues. Due diligence is a full/comprehensive and careful investigation into a property's condition, ownership and other important matters before purchasing, leasing or transacting in the property. This protects you as a buyer from costly surprises. Due to the complex nature of property, land/building purchase and transactions, there would most likely be hidden issues that only a legal probing by an experienced Property/Real Estate Lawyer/Attorney can uncover. The property or part of it could belong to a different person entirely; be a subject of pending litigation; be within an area reserved by the authorities for use other than that which you intend, or outrightly acquired by the Government for public interest purposes. There are lots of issues that could constitute hinderances to your quiet and peaceful enjoyment of any property, land/building. This is why as seasoned Property Lawyers and Attorneys, we advise that before you transact in a property, land/building, you do well to consult a Property Lawyer/Attorney to conduct comprehensive due diligence. WHAT IS A SCRAP VESSEL? A scrap vessel, also known as a scrap ship or end-of-life vessel, is a boat or ship that has reached the end of its operational life; is no longer seaworthy or economically viable; is due for dismantling, recycling or outright disposal. Scrap vessels include aging cargo ships; retired naval vessels; damaged or wrecked ships/boats, outdated ferries/cruise ships or old barges. Scrap vessels are often sold for breaking (dismantling and recycling); crapping (demolition and material recovery) or conversion (repurposing as a floating structure). In Nigeria, scrap vessels are often imported for recycling and reuse of materials; conversion into floating hotels, restaurants, offices or other structures; repair and refurbishment for reuse. The scrap vessel industry involves complex and stringent legal regulations, environmental concerns and high-level safety risks, making expert legal guidance from a Property Lawyer important for persons seeking to buy scrap vessels. A property lawyer ensures compliance with Nigerian maritime regulations, verifies ownership and mitigates risks in scrap vessel transactions. If you need legal help with buying a scrap vessel, contact Apex Chambers, outstanding physical and virtual/online Law Firm of specialized Lawyers, Barristers, Solicitors, Advocates, Attorneys and Notary Public with 17 years practical legal experience and Law Office in Port Harcourt, Rivers State, Nigeria, anyday, anytime and from anywhere in the world. WHY YOU SHOULD REVIEW YOUR CONTRACT/AGREEMENT BEFORE SIGNING Contract review is the careful examination of a contract/agreement's terms, conditions and provisions by a legal expert to identify potential risks, unfavourable terms, ambiguities and discrepancies to obtain an objective interpretation of its provisions and to verify compliance with relevant laws/regulations. Contract review by a Lawyer is a very important step to ensure that agreements are legally binding, protect your rights and financial/investment interests, reduce potential risks and liabilities to the barest minimum, and prevent costly disputes or litigation. You will notice that most contracts are couched or written in language that is not very easy to understand. Many of such terms are legal jargons that may have multiple forms of interpretation or may even mean something completely different from your intended meaning. In some cases the contract/agreement may have terms that are craftily inserted by the other party to have an edge over you. These kinds of unfavourable terms may be couched in otherwise harmless and unsuspecting grammar and you may overlook it and sign. As you may well know, you're bound by whatever agreement/contract you sign as long it's not illegal. Need a Property or Business Lawyer to review your contract/agreement? PROPERLY INVESTIGATE THAT PROPERTY BEFORE BUYING When buying property, land/building, it is wise that you prioritize conducting due diligence to be sure that you're not buying into avoidable trouble. Is the person putting himself out as the owner truly the owner? Are the ownership documents he is presenting fake or forged? Any proposed government interest or actual acquisition of the property? Is the area designated by government/authorities for a specific use that may not align with your plans for that property? There are much more numerous issues that could be unearthed during due diligence. You can't afford risk buying a property without doing due diligence. In these days and times where fraud, scam and deceit are widespread, chances are that you will fall into the hands of fraudsters, scammers and dubious persons when buying or transacting in property, land/building if you fail to embark on complete due diligence (investigations) over the property of interest. It is always wise not to conduct this due diligence by yourself as you may not have the needed skill set, knowledge, expertise and professional capacity to do a thorough job. Consult an experienced Property Lawyer to properly investigate the property and ascertain if there are any issues that would work against your property or financial interests in the property. If you need help with due diligence, contact Apex Chambers, Law Firm of expert Property/Real Estate Lawyers & Attorneys in Port Harcourt, Nigeria. Phone: +2347030868694

WHEN BUYING LAND/BUILDING, CONSULT A PROPERTY/REAL ESTATE LAWYER A Deed of Conveyance is a legal document of sale of land/building that transfers ownership of a land/building from the seller to the buyer, containing the terms and conditions of the transfer and details such as land/building description, dimensions (size), price and warranties. YOU CANNOT INCLUDE JOINTLY-OWNED PROPERTY IN YOUR WILL In Nigeria, property ownership laws place significant limitations on what a testator (a person making a will) can include in his/her will when it comes to jointly owned property. Joint ownership in Nigeria is typically governed by the legal principle of the "right of survivorship." This means that on the death of one joint owner, his share in the jointly-owned property automatically goes to the surviving joint-owner(s). As a result, the deceased (late) owner has no portion of the property left to will to his heirs, beneficiaries/children, spouse, family, etc. If you jointly own a property with another person, you cannot include that property in your will. Any attempt to will your own interest in a jointly owned property would be invalid, as your interest effectively ceases upon death. Only the surviving joint owner(s) can continue to hold rights to the property, as the deceased’s rights are automatically extinguished. So it is important for you to understand your ownership status i.e. whether you own property jointly or in common. Unlike joint owners, owners-in-common allows each person to have a distinct share that can be transferred, inherited or willed independently, as it lacks the "right of survivorship." You should carefully consider your ownership structure to ensure your property/estate planning aligns with your intentions for property distribution. DON'T USE "MR. AND MRS." IN AGREEMENTS/CONTRACTS; IT IS NOT RECOGNIZED BY LAW The practice of using "Mr." and "Mrs." or "Mr. & Mrs" to address a married couple is very common, particularly around here. The point must be made that referring to a married couple in a written Agreement, Contract or indeed any legal document as "Mr. and Mrs. John Wali" is not proper. It is neither a legal entity nor recognized by law. It doesn't confer any legal status, neither does it establish a separate legal identity nor create a joint entity. It is a wrong description that does not mean that which you intended it to mean. Simply put, it means absolutely nothing. In law, individuals are recognized as separate entities and their rights and obligations are specifically and seperately defined by their individual status, not their marital status or title. Being married does not change this. So always write the names of each partner (i.e. husband and wife) in full and seperately. They should also sign seperately. When entering into agreements, contracts or making legal documents, it is important that you use your full names; clear definitions of roles, relationships and specific language to establish joint ownership or decision-making rights. Using "Mr. and Mrs." followed by the name and surname of the husband is not legally permissible. So instead of "Mr. and Mrs. John Arabanko" use "Mr. John Arabanko" and "Mrs. Sophia Arabanko." Each of them should also sign beside their name. Apex Chambers, Property/Real Estate and Business/Commercial Lawyers, Port Harcourt, Nigeria. Phone: +2347030868694

WHY YOU NEED A PROPERTY LAWYER FOR DUE DILIGENCE BEFORE BUYING LAND OR HOUSE Purchasing land or a house is a major investment, and skipping legal due diligence (investigation) can be a costly mistake. Without a qualified Property Lawyer, a buyer may overlook crucial checks that can lead to significant financial, legal and emotional consequences. Verification of ownership is essential. If there are any ownership defects or unclear ownership histories, the buyer risks purchasing property in dispute. This could lead to lengthy legal battles or even losing the property if another party establishes a stronger or better claim. A Property Lawyer thoroughly investigates ownership deeds/documents and past ownership records, ensuring clear ownership. Property zoning and land-use restrictions are also important. As a buyer, you may discover after purchase that your plans for the property (e.g. residential or commercial use) are restricted. A Property Lawyer reviews zoning regulations and checks if the land meets your intended use. Undisclosed liabilities, such as unpaid taxes, rates, levies, etc can also come back to haunt an unsuspecting buyer. A Property Lawyer verifies these records, helping the buyer avoid inheriting debt or other liabilities. Engaging a Property lawyer provides essential legal protections and avoid a buyer risking financial losses, legal disputes and challenges that could have been prevented. WHY A PROPERTY LAWYER IS YOUR BEST ESTATE MANAGER An Estate Manager generally oversees commercial building/housing. Handling the legal aspects of estate management requires legal expertise above the capacity of a person who is not a Property Lawyer. This is why engaging a Property Lawyer is very important. From landlord and tenant laws, to regulatory compliance, managing an estate involves complex legal matters. A Property Lawyer’s role in estate management includes drafting and reviewing of contracts/agreements, ensuring that tenancies comply with relevant laws, avoiding and promptly addressing legal disputes that may arise. Estate management may also involve issues like property taxes, transfer of ownership and estate planning. For example, if an estate owner plans to pass down assets to heirs, a Property Lawyer will streamline the process, ensuring all transfers are legally binding and minimizing potential conflicts. Additionally, Nigeria’s Property laws are ever-changing, and a Lawyer stays updated on any legislative or case law changes, safeguarding the Landlord’s property and investment interests from legal pitfalls. Having a Property Lawyer as your estate Manager ensures all processes align with legal standards, fostering smoother management of the building and tenants, and reducing risks associated with tenancy relationships. Re: Legal Tips On Property, Real Estate & Business by Gavel(m): 10:35am On Oct 28 |
THE JOB OF A PROPERTY LAWYER IN ESTATE MANAGEMENT For a Landlord/Landlady seeking to hire an estate Manager, hiring a Property Lawyer to manage your estate is a proactive step in risk management. Estate management involves various tasks such as tenant negotiations, comprehensive agreement, property maintenance and financial oversight. However, these duties also expose estate managers and owners to legal risks like tenant disputes, tenancy enforcement issues, and regulatory penalties or, in extreme cases, forfeiture of the property. A Property Lawyer can proactively address these risks by implementing legally sound estate management practices. In Nigeria, property laws can be intricate, and ignorance may lead to costly mistakes. A Property Lawyer provides guidance on structuring contracts that protect both the estate and the Landlord’s interests. Additionally, in cases of tenant eviction or disputes, a lawyer can represent the Landlord in court, ensuring all legal procedures are followed to avoid penalties or litigation setbacks. Ultimately, involving a Property Lawyer not only secures the estate but also supports the estate manager by fostering a legally compliant, risk-free environment. Engaging an experienced Property Lawyer as your Estate Manager is wise. Do you need more information on these or other related property matters/transactions or an Estate Manager? IMPORTANCE OF VERIFYING OFFICIAL LAND USAGE REGULATIONS BEFORE BUYING LAND Buying land in Nigeria is a serious investment that must be approached cautiously due to the complex nature of land use designation rules. Land zoning dictates how land within specific areas can be used — whether for residential, commercial, agricultural or industrial purposes. Before buying land, it is important for you to consult a Property Lawyer to verify the zoning status of the property, ensuring it aligns with your intended use and safeguarding them from legal or financial repercussions. Purchasing residentially zoned land with the intention to develop a commercial complex will lead to serious conflicts with regulatory authorities, fines or even property seizure. A Property Lawyer/Attorney will guide a buyer on whether the land can legally accommodate his planned project. A Property Lawyer will identify other existing issues/restrictions that may not be obvious. With his extensive knowledge of zoning laws, a Property Lawyer will help a buyer avoid lands with hidden legal restrictions that could derail his project. Verifying land zoning through a Property Lawyer is a preventive measure that can save a land buyer from costly legal disputes, ensure compliance with land regulations and provide peace of mind. Avoid unwanted surprises and secure a stable investment. If you need legal help with designation of land use or other property transaction, call Apex Chambers, Port Harcourt, Nigeria. +2347030868694

HOW VERIFYING OFFICIAL ZONING OF LAND BEFORE BUYING IS IMPORTANT In Nigeria’s real estate market, due diligence is essential before making any land purchase, and land zoning verification stands as a key component of this process. Zoning laws in Nigeria are designed to control land use across various areas, distinguishing zones for residential, commercial, agricultural or industrial purposes. A Property Lawyer’s role in confirming zoning regulations before a purchase is invaluable, as it helps a buyer avoid legal and financial setbacks. A Property Lawyer will explain zoning rules with expertise, ensuring buyers understand what is legally permissible on the land. Without this proper zoning verification you may discover that your intended project conflicts with official regulations, potentially leading to fines legal action or forced alterations. If you unknowingly purchase land designated as residential with plans to develop a business, you may face serious setbacks due to regulations. A Property Lawyer can uncover any government development plans or zoning revisions that may affect the property’s future value or use. By consulting a Lawyer, a buyer will gain insights, allowing them to make better-informed investment decisions. Zoning verification by a Property Lawyer is a wise step that safeguards a buyer against obstacles, provides clarity on land use, protects investments and helps secure a buyer's rights. CONSULT A PROPERTY/REAL ESTATE LAWYER IN GREATER PORT HARCOURT LAND PURCHASE Investing in land is a major financial decision, particularly in a rapidly developing region like Greater Port Harcourt. With opportunity comes risk, even in real estate, where legal issues and ownership disputes are common. Consult a Property Lawyer before buying land in Greater Port Harcourt. 1. Ownership Verification: Verify the ownership and confirm that the seller is the legitimate owner. Greater Port Harcourt, like many developing areas, has cases of fraudulent sales and “land grabbers” attempting to sell land they don’t actually own. A Property Lawyer will conduct check in land registries and other legal databases to ensure that the seller is genuine. 2. Land Use Laws: Rivers State Government and Greater Port Harcourt City Development Authority have zoning/land use regulations for different parts of Greater Port Harcourt. Certain areas are zoned exclusively for residential, commercial, agricultural or industrial uses. 3. Due Diligence on Restrictions and Liabilities: Do due diligence to check for any issues. This assessment helps guarantee that the land you are buying is free from any legal or financial liabilities, which would otherwise be transferred to you. 4. Proper Land Documentation and Registration: Have a land/building purchase agreement prepared by a Property Lawyer to ensure proper documentation and registration, and that the terms of the purchase are in the buyer’s favour. Re: Legal Tips On Property, Real Estate & Business by Gavel(m): 9:31pm On Oct 28 |
AVOID BUYING GOVERNMENT ACQUIRED LAND: DO DUE DILIGENCE Buying land in Nigeria can be a rewarding investment, but it comes with risks one of which is unknowingly buying land that has been acquired by the Government. In many cases, buyers who fail to engage a Property and Real Estate Lawyer to conduct due diligence find themselves entangled in legal battles, losing their investment and facing losses. The Government has the authority to acquire land for public purposes such as infrastructure development, education, health and other public services. When land is designated for government projects, it is marked as acquired land, making it unavailable for private purchase or development. Government acquisitions are most times not publicly disclosed, adding to the confusion. A buyer unaware of an acquisition might purchase land that appears legitimate but is legally unavailable for private ownership. Due diligence is a thorough investigation carried out to verify the legal status and ownership of a property. Property and Real Estate Lawyers are trained to conduct due diligence which typically involves: 1. Ownership Verification: Property Lawyers examine documents like Certificates of Occupancy (C of O), Governor's Consent, Deed of Conveyance, Deed of Assignment, etc to verify the ownership status of the land. They check for inconsistencies or issues indicating government acquisition. 2. Land Registry Search: Property Lawyers visit the State’s land registry to search for records related to the property. This step reveals if the land is under government acquisition, has pending disputes or any existing hindrances. 3. Survey Plan and Site Inspection: A proper survey plan ensures the land is accurately represented in official records. A physical site inspection may also reveal information about the land's current use, restrictions or its status as government-acquired. Failing to consult a Property Lawyer to conduct due diligence, you risk: ~ Confiscation: If the government identifies a structure on government-acquired land, it can confiscate the property without compensation. Buyers who unknowingly purchase such land will lose their investment with no compensation. ~ Financial Losses: A buyer is more vulnerable to purchasing disputed/fraudulently acquired land. Loses will follow. ~ Legal Disputes: Land ownership disputes can be lengthy and costly. Attempting to defend ownership of government-acquired land is a waste of time and resources. Numerous cases have shown how unsuspecting buyers suffered losses due to buying government-acquired land. In cities including Port Harcourt, government acquisition has been a common issue, especially in areas marked for future development. Many individuals lost properties worth millions after realizing their land was marked for acquisition long before they purchased it. In several instances, buyers skipped legal assistance to save on costs, but the result was costly litigation or losing the land altogether. REGISTERING YOUR BUSINESS PROTECTS YOU FROM FINANCIAL RISKS Registering a business is important for doing business professionally and legally in Nigeria. As a business owner, business registration provides you with a distinct legal identity, separating your personal assets from the business’ liabilities. This separation is essential in cases of debts or legal disputes, as it limits your personal exposure to financial risks and enhances credibility with clients/customers, banks and investors. Business registration is required for compliance with Nigerian law including the Corporate Affairs Commission (CAC) which regulates businesses. A registered business enjoys legal protections that are not available to unregistered businesses. For instance, only a registered business can open corporate bank accounts, bid for government contracts, and access various financial services that are otherwise inaccessible. Registration enables access to tax identification necessary for paying corporate tax, avoiding legal penalties; protects the business name, ensuring that no other entity can legally use it. It builds brand reputation and fosters trust with customers, who tend to prefer dealing with legitimate, registered entities. Registering a business establishes a foundation of legal protection, credibility and growth, making it an essential step for any entrepreneur in Nigeria. BENEFITS OF REGISTERING YOUR BUSINESS Registering a business is a compulsory step for anyone aiming to establish a very secure and legally recognized business in Nigeria. On registering your business, it gains a separate legal identity and your personal assets are protected from business liabilities/debts. This separation not only limits personal financial risks but also builds credibility, making it easier to attract clients/customers, investors and even access loans. Under Nigerian law, business registration is mandatory. Only registered businesses can open official corporate bank accounts, apply for government contracts, and access business development grants. Furthermore, registration enables you to obtain a Tax Identification Number (TIN), which is essential for meeting tax obligations and avoiding penalties. Once your business is registered, the name of the business is exclusively yours and competitors cannot use it. This helps in establishing brand identity and creates trust with clients/customers. Registering a business provides the much-needed legal protection, enhances credibility and opens doors to resources and opportunities that drive business growth. It’s a vital investment for any entrepreneur planning to succeed in the Nigerian market. WHY YOU SHOULD CHART LAND BEFORE BUYING Charting land in Nigeria before paying for it is important to avoid legal and financial risks. Land charting involves verifying the property’s location, boundaries and true ownership by overlaying the land’s survey plan onto government maps. This step is essential because it reveals existing restrictions, government acquisitions or issues that may not be immediately visible. Nigeria has strict regulations governing land use, and some areas/lands are designated for government projects, public infrastructure (like leisure park, motor park, school, market, hospital, environmental conservation, etc). If you buy land within such zones, the Government can reclaim it without compensation, leaving you with losses. Charting ensures the land is not located in areas designated for public purposes or under legal disputes, such as boundary issues or community claims, which could lead to future conflicts. Charting confirms if the property aligns with its documented survey, helping to prevent fraud. Some sellers attempt to sell land without clear ownership or legal rights. So when buying land, always chart the land to verify the land’s legal status, prevent the risk of government acquisition, fraud, boundary issues, and avoid financial setbacks and ensure a smooth, legally compliant property transaction.
