Opay Withdraws $304 Million NYSE IPO After Regulatory Inquiry by TruthHurts1(op): 3:39am On Nov 01
SoftBank-backed digital-payments company OPay withdrew a planned $304 million US initial public offering on Friday, citing a regulatory inquiry by a foreign jurisdiction it did not identify.

The Nigeria-focused company ‌described the inquiry as relating to a jurisdiction "immaterial" to its core operations. In a statement, it did not identify the regulator or nature of the inquiry.

OPay said it expected the matter to be resolved satisfactorily in the near future and that the probe "should not be misconstrued as a reflection on the Company’s business performance, financial condition, operational integrity, or regulatory standing."

The company said the inquiry would not affect its operations, regulatory standing or customer service in Nigeria or its other markets.

OPay could not immediately be reached for comment outside office hours.

Earlier in the day, OPay said it had priced 16 million American depositary shares at $19 each, the bottom of its targeted $19-to-$21 range, valuing the company at about $4 billion.

Japanese tech investor SoftBank Group, whose entities owned a 6.6% stake in OPay before the offering, did not immediately respond to a request for comment.

Numerous ‌companies worldwide have delayed stock market listings in recent weeks as stubborn inflation and a selloff in AI-related stocks have weighed on investor sentiment.

OPay, founded in 2018, provides digital financial services across emerging markets, including Nigeria and Indonesia.

Its app offers payments, money transfers, savings and loans in economies where limited access to traditional banking can make everyday transactions difficult.

OPay was founded by Chinese billionaire Yahui Zhou, who also founded Beijing Kunlun Tech, a Chinese gaming company that previously owned dating app Grindr.

The fintech raised $400 million in 2021 at a valuation of $2 billion. It had about 50 million monthly active users as of July 31, according to its IPO prospectus.

Citigroup, Deutsche Bank, Standard Bank and CICC were among the underwriters. The company had planned to list on the NYSE under the ticker symbol "OPay."

It means the IPO cannot go ahead until the compliance issues raised by the mysterious "foreign jurisdiction" are resolved

Meaning no trading of OPAY shares on the New York Stock Exchange (NYSE) until Opay proves that it doesn't have a case to answer.

Unfortunately they're not telling us who the foreign jurisdiction is or what is the nature of the objection they are raising to Opay's listing.

I won't be surprised if it's the US government trying to established if there's a significant relationship between SoftBank, Opay and the CCP.
They don't what Chinese inventors coming to the NYSE through the back door.
Opay is claiming to be Nigeria focused company while it's profits are being shipped to China.
I expect the USA to impose heavy regulatory taxes when they eventually finds anything close to their suspicions.

oPay at its core is a Chinese company. It pretends to be a Nigerian focused business but it's a Chinese entity. Their listing at the NYSE is one of the Chinese strategy of invading American stock market through the backdoor so they can get a footing in their financial markets which the Americans are clearly resisting. At this time when the US and China are at an intense competition, and the US fears China is already winning, oPay faces increased scrutiny. The foreign jurisdiction oPay is referring to which it argues is immaterial to it's operations is most likely China. But is it really immaterial when all your profits are being sent there?

Nothing wrong with that.
Whatever agenda anyone has, in jurisdictions of strict compliance, where a lot of questions are asked and very little can be hidden, that is the safest market to invest in.

There are enough experts to tell what a company truly is and how well.it is truly performing and moreover you are backed by a reasonably well run economy so the value of your investments remain 'relatively' stable.

If Opay cannot get listed for whatever reason it raises red flags in any jurisdiction and I will advice folks to look at it twice.

First and foremost the NYSE is not a government agency. It is a corporate entity just like any other profit-centric business. So I don't see why they will not welcome 'business' from wherever it comes.

They don't have a bias as to where companies are founded or domiciled for that matter. As long as you can meet the criteria they will accept your books.

And I don't think Americans will pass on any opportunity to make money from any successful enterprise anywhere in the world.

Bias usually originates from government who view things more from a cultural or strategic or other angles but even then like in the case of Tik-Tok, if the enterprise is overwhelmingly successful or popular, the government will have to make a compromise.

The size of Opay in that sector is miniscule,.the popularity as a global brand is not really there so you won't see folks falling over themselves to place any pressure on regulators.

There are almost a hundred on the NYSE. It is the biggest (how should I say, generic) stock market in the world, the biggest place for everyday companies to find shareholding capital. It has to have Chinese companies to be that.
