There is a fundamental difference between an annual returns and tax filing. Did you know the Commission''s Refund Policy?

CAC Nigeria has a refund policy. There are some situation where a refund will be necessary e.g double payment deduction, a mistake of overpayment etc. This will demand the applicant apply for a refund. The process is as follows:

An application for refund stating clearly the reason for refund.

Such application must carry the name, telephone number, account number and an active email address, for ease of communication with the applicant/beneficiary.

Applicant must attach evidence of payment(s) made (i.e. Remita Retrieval Reference).

Where there are multiple payments in a transaction, all the receipts must be attached to the application.

Where the reason for refund is as a result of the applicant’s fault, a deduction of 5% administrative charge is applicable.

Where refund relates to Pre-incorporation and Post-incorporation applications, payments shall be made to the Payer and Principal respectively.

Application for refund shall be forwarded to the audit department email address.

For all registered businesses owners, it's advisable to file for a change of business address is you have re-located your business services to a new location or used a demo address during your registration.

Significance of filing Annual returns

1) It enables companies to process and access post-incorporation services from the CAC, e.g request Certified True Copies (CTC) of Incorporation documents, carry out increases in share capital, changes to business objects or registered addresses, and changes to directors, partners, or trustees. If annual returns are not filed on time and any applicable penalties have not been paid in full, CAC will not provide any post-incorporation services to any registered entity.

Every business, private limited company, and trustee organisation in Nigeria is required to file annual returns on a yearly basis. To do so, they must complete the prescribed form, submit it to the Corporate Affairs Commission (CAC), and include the specified information about their organization as required by the Companies and Allied Matters Act (CAMA). Chapter 16 of the CAMA (2020) makes it a statutory prerequisite for every company in Nigeria to file annual returns every year.

Each calendar year, returns must be filed (i.e. annually). On the other hand, newly incorporated companies need not file returns for the first 18 months post-incorporation, whereas older companies must submit their annual returns no later than 42 days following their annual general meetings.

A Limited Partnership (LP) is a partnership arrangement with at least one general partner and at least one limited partner. The liabilities of a general partner are unlimited while the liabilities of a limited partner are limited (unless he takes part in the management of the partnership). An LP shall not consist of more than 20 persons. The name of an LP must end with the word “Limited Partnership” or the abbreviation “LP”.

What should I do if CAC asks me to increase my issued share capital?

This happens where the company’s issued share capital is lower than the prescribed issued share capital for the proposed object(s). You may resolve this by either expunging the specific object(s) or increasing the issued share capital to meet the prescribed minimum issued share capital.

Where the issued share capital is increased to meet the prescribed minimum issued share capital, filing fees and stamp duties should be paid on the increase through remita.net and stampduty.gov.ng respectively. After payment, receipts for the payments should be uploaded as “OTHERS” under the upload options.

Foreign aids will only go for registered businesses because they seem more genuine, not a bogus whipped-out-of-thin-air business looking for funding. They want to help already established and struggling businesses. They are not trying to push money into something that still looks like a plan. A business that has not been registered looks more like a business plan than an actual business.

Just like aids, grants do not come with a payback option. You are not working to pay back that money, it is given to you free of charge to grow your business. This is why, more than anything, they want to make sure that they are giving it to an actual business, not one that is still in the works.
