Just saw this thread and I said to drop this.

First, it's not only lawyers that incorporate or registrater businesses with CAC, chartered accountants and chartered Secretaries also do. But the person must be accredited by CAC as an agent to do this. So, if you're looking to register your business or a trustee or incorporate your company, look no further. Still using the account but intend to get a TIN now, what penalties would i pay and hope it would not be clumsy having operated the account off and on in the last five years. Thank you

Hello oshanka,
I will suggest you contact your account officer to be sure TIN has not been generated for your account because it is very likely it has been done so he/she can send it to you.
But, if not, TIN is still free. You only need a good Tax Consultant to help you reduce the penalty for late registration as well as suggest other available options, you'll only pay a little consultation fee to the consultant.

Hello Rexnegro,

I feel I should come in here.
As an enterprise, you need to register with FIRS, get your TIN with which you'd use to remit VAT charged at the end of the month. But note that VAT is not from your personal income. It is that 5% added to the value of sales or services rendered, you charge VAT from customers, and at the end of the month, before 21st of the next month, calculate the total VAT charged and remit to FIRS, where there are no sales for the month, you file NIL return. Failure to file is what attracts penalty and not failure to pay. You pay when you charge, if not , file NIL. Do you understand?

For IRS, as an enterprise, if you are on payroll, have employees, then you should register with IRS, get Tax Payer ID with wich you will be remitting PAYE ( Pay As You Earn). A percentage of your salary and that of your employees based on the salary level. Where you are not on salary and do not have paid staff, PAYE does not apply to you.

WHY YOUR DESIRED BUSINESS NAME WAS DISAPPROVED BY CAC

You have been using that name for years, your business card, receipts and invoices, stamp/seal even letter headed papers all bear it.
Business colleagues, customers and clients alike all know you by that name. Now there is this contract or loan or a very important venture you cannot access unless your business is registered. So, you urgently need to legalize the business name (either as an enterprise or a company) by registering it with the Corporate Affairs Commission (CAC) still maintaining your original name the business is well known with. It is undoubtedly the wise and best thing to do.
Unfortunately, your desired name was disapproved by the CAC and, now you are frustrated. This, however, could be avoided if the business name was registered right from inception; from that point you came up with and decided you wanted to use that name. Granted, one can actually be fortunate to have such names still available for him, yes, I also have been that fortunate a few times with such names for our clients but it is never guaranteed.
But would the CAC disapprove the name you so much desire? Below are some of the reasons

• Names identical with or similar to the name of a registered company unless the registered company is in the course of dissolution and consents in writing
• Names containing words that are undesirable, offensive and contrary to public opinion
• Names capable of misleading as to the nature and extent of the company activities.
• Names that contain the phrase “Chamber of Commerce” unless it is a company limited by guarantee.
• Names that would violate the trademark or business name of an existing company unless with the consent of the trademark or business name owner.
• Names that would violate any incorporated trustee unless with the consent of the trustee.
• Common names: Choosing common a name is not wrong but because it is common, there is a higher probability that many other people would have used the name and its other variants, so it is better you get a unique name or get help.
• RESTRICTED WORDS: Restricted words include NATIONAL, FEDERAL, GOVERNMENT, HOLDINGS etc. These can only be used with special.

@tundebj, after your company incorporation, the next step is to register with FIRS for VAT and get your Tax Identification Number (TIN), you also need the TIN to open your company account.
2. You up to 6months grace from the date of incorporation to start filling your VAT returns with the FIRS (VAT is charged by you on goods and services rendered to customers, not on you, and it's not a fixed amount)
3. Failure to file VAT return is what attracts a penalty of N10,000 for the first month and N5,000 for the subsequent month as far as the default continues.
4. For Company Income Tax, you have 18months from the date of incorporation for new companies, subsequently, at the end of each accounting year, to file your audited account and pay the tax due each year.
