My brother i will give you one advice as a lawyer, don't waste your money trying to draft one agreement that will make you the sole distributor of that product. if i may ask you, are you the sole producer of that product? if yes register the product by way of trademark at their registry. Albeit, if you are not the sole producer of that product, please don't waste money drafting any agreement. this is because as they have sold to you, they have the right the sell to another individual. they are the principal and you are the agent of the distributor. If you meet a lawyer to prepare the agreement, he will prepare it and eat your money because nothing will come out of it. besides no distributor will agree to sign such agree to sign such agreement. however, if the situation had been that you entered into an agreement to produce that product for you and after producing it, they sold some without your consent, that is where legal action comes in. In law there are some agreement that a party cannot be bound, hence it becomes a void agreement.

As a lawyer the first thing required to get yourself accredited with CAC are as follows:
1. Two recent passports
2. Qualifying certificate of the professional (copy of call to bar certificate)
3. A copy of your current practicing fee for that year
4. NYSC discharge
5. #5,000 for accreditation fee. Before it used to be #2,500, but now it is #5,000
However, where an accredited member of CAC has inadvertently misplaced his/her accreditation I.D card, the following procedure must be strictly followed:
1. Get a police report
2. Swear to an affidavit of loss
3. Current practicing fee
4. Copy of your qualifying certificate
5. Payment of # 1,000( replacement fee)
NOTEWELL that to be accredited as a CAC member, you must be categorized among the following stated yonder ;
1. Legal practitioner
2. Chartered accountant
3. Chartered secretaries

1. Conduct a search of the business name your want to register. How will you do that? visit:Https://login.remita.net/remita/external/CAC/collector/payments.reg . Generate what is called RRR with CAC (Corporate Affairs Commission) . In that RRR platform, select what you are paying for which is for name search/availability.

2. Once you generate an RRR, it will display a reference code and account number where the payment will be made. Take the slip to any bank of you choice and pay the amount stipulated therein. The fee is #500 only.

3.After payment, the bank will give you a confirmation slip evidencing that you have paid. Attach it with your deposit slip and proceed to CAC

NOTE: IT IS ADVISABLE TO USE FIRST BANK. IT IS FASTER AND RELIABLE WHEN IT COMES TO PAYMENT OF CAC FEES. ALSO, ANY OTHER BANK IS ALLOWED,BUT ACCESS BANK IS NOT AN OPTION, IS VERY SLOW WHEN IT COMES TO PROCESSING OF CAC FEES. ITS YOUR CHOICE.

4. At the CAC office, present the deposit slip together with the print out given to you by the bank. CAC will confirm through their portal whether the payment has reflected. Once the payment has reflected, it will be stamped. At this juncture submit the stamped copy to the officer in charge who will give you a form.
NOTE: YOU MUST DO PHOTOCOPY OF THAT STAMPED SLIP AND THE DEPOSIT SLIP

5 Once you are done filling the form for the business name search, submit the form and enter the form number in the CAC register. That is all.

NOTE THE NAME WILL BE MADE AVAILABLE AFTER 60 DAYS OF SUBMISSION OF THE FORM. THAT IS THE PROVISION OF COMPAINES AND ALLIED MATTERS ACT. ALSO, YOU MUST CHOOSE TWO NAMES FOR THE SEARCH.

Someone asked me the amount required to incorporate a private liability company. The answer is simple. The current amount is 10k, because in law the share capital of a private company limited by shares is 10k. That is the minimum share capital. The 10k stated at the CAC website is correct. No longer 60k.
