LEGAL REQUIREMENTS FOR EXPORT BUSINESS
Starting an export business is one of the most profitable business decisions you can make in Nigeria. There are more-than-countable products or commodities that sell for cheap in Nigeria, but go for much higher prices in other countries; where they are even in far higher demand than they are in Nigeria. This leaves huge profit opportunities for those who have the required know-how and can afford the cost of starting an export business in the country.
Though the export business in Nigeria is highly lucrative, it has its own fair share of challenges. And one of the biggest challenges Nigerian exporters face does not fully know the rules and regulations binding the business in Nigeria as well as the legal requirements for starting and running the business. This alone has landed many exporters in serious legal troubles.
To avoid having legal issues as an exporter, you need to know the legal requirements that you must meet before starting out in the Nigerian export industry. These are the requirement
A unique business name
One of the first steps you must take when starting out as an exporter in Nigeria is to register the name of your export business with the Corporate Affairs Commissions. This will add your business to the list of businesses officially recognized by the government. And it’s enough to ensure that someone else does not use your business name for their own business. You must bear in mind, however, that you will not be allowed to register a business name that conflicts with that of another company that is already registered and in existence.
A registered office
As with other businesses, every export business in Nigeria must have a registered office, or at least an ‘office address’. So, the government is interested more in you having an address for your business than having an office structure. This explains why a home address would suffice if you are starting small. Whether it’s a ‘home’ or a real office , the most important thing is that it must have an address.
Registration with the NEXP
The Nigerian Customs Service rules that anyone willing to engage in export business must register with the Nigerian Export Promotion Council. This Council was created to enhance and encourage exportation of commodities other than oil with the ultimate aim of generating national revenue through alternative means. Registering with the Nigerian
Export Promotion Council is now easier than ever. Just visit the Council’s website (www.nepc.gov.ng) and click the ‘Register here’ link on the right sidebar. You will be shown the full details of the procedure and requirements.
Registration of Form NXP
The Nigerian Customs Service also requires that Nigerian exporters complete and register Form NXP with authorized dealers (commercial or merchant banks) of their choice. Your chosen authorized dealer will be in charge of handling your funds and transactions, as you will be required to set up and maintain a Domiciliary Account with them, to which your payments will be deposited.
Special licenses and permits
As with any other business, starting an export business in Nigeria requires obtaining licenses and permits that indicate the government’s approval of your business. There are licenses and permits for doing business in Nigeria. And there are some specifically for operating an export business.
To figure out what licenses and permits you must obtain, you need to conduct extensive research or contact a seasoned business lawyer who has deep knowledge of the Nigerian business environment, more especially of the export business in Nigeria.
Licenses from target foreign country
Virtually all countries require that businesses planning to sell their product or commodities to their citizens must obtain certain licenses and certifications. So, you will need to find out more about the requirements for any country you want to sell your products in.
However, you must bear in mind that obtaining some of these licenses require inspection of the products you intend to sell in the target foreign country. And you will be granted permission to sell them only if they meet certain standards as set by the government of that country.

HOW TO GET TAX CERTIFICATE
Tax clearance certificate is one of the documents necessary for various corporate transactions by both individuals and corporate organisations in Nigeria. To get tax clearance certificate for your company in Nigeria which is usually after the taxpayer has gotten a valid taxpayer’s identification number (TIN) from the Federal Inland Revenue Service (FIRS). The process is somewhat thorny cumbersome but achievable. Also, the process of getting tax clearance certificate in Nigeria can be different depending on the dynamics of your organization
Documents Needed For Application of Tax Clearance in Nigeria

Completed application form (triplicate) and the questionnaire should be submitted with the original certificate of incorporation to the tax comptroller for perusal.
A tax reference number will be given to the applicant upon acknowledgment of the completed taxpayer registration input form and all required documents
From here you can then file an application for the tax clearance certificate which will be available in due date.
Fees Required for Tax Clearance Certificate in Nigeria
The required fee for collection of tax clearance certificate depends on the dynamics of the company. Also, there are many other considerations and I will like you to read this for clarity. However, there are no fees for newly registered companies before six months of incorporation.

GUIDELINES FOR EXPORT BUSINESS
The following procedures shall apply from 1st February, 2007 in respect of all exports from Nigeria.
1. All goods (including oil/its derivatives and non-oil goods) exported from Nigeria shall be subject to inspection by Inspection Agent(s) appointed for that purpose by Government.
2. All exports exempt from inspection by the Inspection Agent(s) are listed in SCHEDULE "A" appended.
3. For the avoidance of doubt, goods prohibited for exportation from Nigeria as contained in the annual Fiscal Policy guidelines shall not be processed by the Inspection Agents.
Goods on the current Export Prohibition list are detailed in SCHEDULE "B" appended.
4. The Inspection Agetn(s) shall inspect the quality and quantity of all exports as well as the true value of goods to the consignee and shall issue a Clean Certificate of Inspection (CCI) in respect of such goods within 72 hours after the inspection of the goods. However, where a written complaint or protest has been lodged by the consignee or his agent on oil and gas exports, the relevant CCI shall be issued within a maximum period of 30 days.
5. In the event of uncovering discrepancies that cannot be corrected immediately, the exporter shall be issued with a "Non- Negotiable Certificate of Inspection" (NNCI). It is however in the interest and integrity of the exporter to correct the discrepancies to enable the Inspection Agent(s) issue the appropriate certificate and endorse the commercial (final) invoice accordingly.
6. Exporters shall open a domiciliary account with any bank in Nigeria and this same bank shall issue the Exporter with a Nigerian Export Proceeds Form (NXP Form) in sextuplicate for completion in respect of each export transaction, The Exporter shall ensure that the export proceeds are credited to this account.
7. Having collected a set of NXP Form from his/ her bank, the Exporter completes the Form in sextuplicate, and returns same to the bank with a contract of sale or proforma invoice.
The bank shall register and endorse same and retain the original copy. The remaining five copies shall be forwarded to the Inspection Agent(s).
8. The Exporter shall retain a photocopy of the NXP Form and use the NXP number as reference in all dealings with his bank, Central Bank of Nigeria, Inspection Agents and Nigeria Customs Service.
9. The NXP Form shall be utilized within six months from the date of registration, subject to renewal for 3 months by the dealing bank. Subsequent requests for renewal are to be approved by the Director, Trade and Exchange Department, Central Bank of Nigeria, Abuja otherwise it must be returned to the exporter's bankers for cancellation.
10. The exporter shall be required to pay to a designated bank, the Nigerian Export Supervision Scheme (NESS) Administrative charge of 0.5% and 0.15% of FOB value of the intended non-oil and oil/gas exports, respectively. The designated bank shall remit this to the NESS fee account in the Central Bank of Nigeria (CBN), If after inspection, the FOB value is found to be higher than that declared, then additional NESS fee shall be paid by the exporter accordingly.
11. Having completed the NXP Form, the exporter shall collect a REQUEST FOR INFORMATION (RFI) Form from the Inspection Agent or download from the Inspection Agent's website. The purpose of the RFI Form is to enable the inspection company to coordinate with the exporter, a suitable time and place for the physical inspection. It is therefore essential that exporters provide in the RFI, all the required information promptly.
12. The completed RFI shall be submitted to the Inspection Agent(s) along with all relevant documents relating to the export transaction.
13. For oil/gas exports, the exporter shall also collect a BILL OF LADING DECLARATION FORM from the Inspection Agent(s) or download from the Inspection Agent's website which shall be completed after loading and thereafter submitted to the Inspection Agent(s).
14. Upon receiving the relevant documents, the Inspection Agent(s) shall open a file accordingly.
15. Any person intending to export any goods from Nigeria shall give notice of not less than 10 working days to the Inspection Agents prior to shipment.
16. The inspection shall take place at the seaports, airports, terminals, or other points of dispatch or at the point of production and/ or storage.
17. The exporter shall provide necessary logistics, such as ladder, fork lift trucks, labour, etc to enable the Inspection Agent(s) perform their quality/quantity inspection and pricing analysis.
18. Where exports involve processed food, drugs, animals or plants, crude oil, liquefied natural gas, liquefied petroleum gas, condensate, Dual Purpose Kerosene (DPK), lubricants and grease, the necessary Government Agencies shall be invited for certification.
19. In the case of oil and gas exports, there shall be final joint inspection by the Inspection Agent(s), Nigeria Customs Service (NCS), the Department of Weights and Measures of the Federal Ministry of Commerce and Industry and Department of Petroleum Resources (DPR). Exporters should note that, units of measurement with respect to quality and quantity determination in the oil and gas industry are unique and should be appropriately reflected on the NXP Form.

FUNCTION OF THE NIGERIA EXPORT COUNCIL
The Nigerian Export Promotion Council (NEPC) is the government agency responsible for regulation, promotion, recording and monitoring of export trade in the country. It is the organ which the government uses to implement its export policies and strategies. When you hear about new exportation policies and incentives for exportation given out by the government, The NEPC is usually
in charge of distributing these incentives. The NEPC was established in and has its offices across Nigeria. The NEPC was established as a service unit to offer funding and support to indigenous manufacturing companies and other companies that produce exportable products so that they can get their products into the export market easily. They make it easier for exporters to access the foreign market, identify products that can be exported, understand standardization, specifications and packaging requirements.
The NEPC became even more active under the democratic dispensation. As an exporter, there are several ways through which the NEPC can help and protect your export business. Some of these include-:
1. Provide a list of Exportable Products -: If you are just considering going into export business but you are unsure of what to export; you can visit the NEPC’s website. There, you would find a long list of products that you can export and the countries you can export to. If you have an existing business, you can also find out where you can start exporting your products to through the NEPC. There are also materials that you could download on their website or materials you could picks up from their office that sheds more light on this.
2. The NEPC also provides technical support to exporters in the following areas-:
Ensure proper documentation of export transactions -: Proper documentation is very important in exportation because it shows proof and provides a legal basis for transactions. The NEPC would let you know which documents you need, how to get them, the need for those documents as well as the places to send the documents to.
Business Registration -: Before you can carry out exportation business; you have to register with the NEPC. This registration is beneficial for you because the NEPC maintains a database of all Nigerian exporters that overseas buyers can use to find legitimate suppliers. That opens ups another avenue for buyers to reach you and buy products from you.
Quality and Standards -: The NEPC also monitors the quality and standards of products goings out to ensure that they are of high quality. Payment -: The agency also helps you suggest the best and most secure payment methods.
3. Organize Trade Fairs and Exhibitions-: The NEPC also helps to organize and facilitate the participation of Nigerians in international trade fairs and exhibition events. If you are registered with the NEPC and have a solid or innovative product; the NEPC can facilitate your participation in trade fairs and exhibition programs.
4. Bring Exporters together-: The NEPC also creates an avenue for exporters to come together under one umbrella to relate and discuss issues related to export promotion and development. It makes it easier for exporters to network with one another.
5. Provides information on product sourcing -: If you are unsure of where to get particular products for export, you can ask the NEPC for help. They would be able to give you information on where to find the products you are looking for in Nigeria.
6. Administer Grants and Incentives -: If you are registered with the NEPC, then you can easily access some of the grants and incentives that the government doles out regularly to help exporters in the country. Exporters of agricultural products receive a lot of incentives from the government regularly.
7. Help to simplify the export procedure -: If you are new into exportation, it’s easy to get confused and misunderstand the procedure; a visit to the office of the NEPC would help to enlighten you and put things in perspective. The NEPC can assist you such that you don’t have to go through some so-called ‘export gurus’ who charge you thousands just to train you on how to start an exportation business.
8. Carry out research and studies-: The NEPC also carries out regular studies and research into matters concerning exporters and factors that may affect/influence exportation in Nigeria. As an exporter, you can benefit greatly from such research and studies.
9. Help to solve problems-: If at any point in your export business you encounter some challenges or problems; the NEPC is your go-to agency for complaints and solutions to your challenges. If you want to find out if a company/overseas buyer is legitimate or not; you can contact the NEPC who would help you investigate through the buying country’s embassy.
10. Create awareness and publicity-: The NEPC also does a lot of local and international advertisements and promotions which is also directly beneficial to you as an exporter.
11. Provide Financial Support-: Lastly, you can get financial support through the NEPC; although the NEPC might not be able to give you direct loans, they can provide useful information on where to get loans easily for your export business. They may also be able to guarantee a loan for you.

HOW TO AVOID BEING SCAMMED IN EXPORTATION
If you are already in the Nigerian exportation industry or conversant with the happenings therein, then it’s no news that people get scammed and ripped off of their hard earned money sometimes. You advertise your export products on the internet, a supposed manufacturer or agent contacts you showing interest in your goods, you enter into a contract with them and fulfill your own end of the bargain but when it’s time for them to fulfill theirs, they disappear into thin air.
It’s a very terrible situation to find one’s self in. As a new or regular exporter, it is important to find out ways of protecting yourself and your business from fraudulent overseas buyers
1. Do a Background Check -: Don’t get too excited when you get a sales offer. You must first take time to do a background check on the company and find out whether it’s a legit company or not. You can ask for help from the embassy where the buyers company is based in. For instance, if it’s a Chinese company, the Chinese embassy in Nigeria should be able to confirm whether or not the company is legitimate. If it’s an individual buyer and not a company, the embassy can also help you investigate the person through the country’s citizen’s database. You can also conduct a background check through internet search engines.
2. Check the Company’s Website-: Almost every company has a website these days especially if it’s a large company hence, you can ask for the company’s website to confirm some of the details about the company that you have already been given. Some small companies may not have a website but they would at least have a registered office, phone number and a business license. You should ask for this information from them and investigate to know whether it’s a company that is licensed to do business in the said country.
3. Watch Out for the E-mail Address -: When you see e-mails from personal addresses, you should be very careful with dealing with such people. A serious company would have a business website e- mail address that would be used in contacting suppliers; when you get supposed company e- mails from personal e-mail addresses like @yahoo.com or @hotmail.com; your scam alert should be very high at this point. To find out if an e- mail address is from a company webmail or a personal address, copy the letters after the ‘@’ sign and use your search engine to find out.
4. Use an agent -: There are a lot of companies that provide agency services to exporters. They would help you arrange a meeting with the buyer and investigate the business to determine if it is a legitimate business or otherwise. Although this might raise the cost of your business a little bit, you would wish you had taken that step if you fall into a scam trap. You may also use family members or friends that stay in the country the buyer is from or if you can afford it, arrange a trip to the said country to see things for yourself. This is something you should really consider especially if it’s a large order.
5. Investigate Scam Reports-: If it’s a potential scam, it’s possible that you are not the first person the buyer has tried to rip off. It’s most likely that they would have done it to a couple of people before contacting you. This is why it would help to investigate scam reports against a company or person you are planning to do business with. Again, the internet would be of help; copy the company or buyers name and the word ‘scam’ and then paste it in your search engine; it would pull up any previous scam reports filed against the company in the past.
For instance, if the name of the company is ‘cupcake limited’; you would post the words ‘cupcake limited scam’ in your search engine to see if it would bring up any scam reports about the company. You can also do the same for an e-mail address or a business website.
6. Use E-mail Backtracker -: You can find out the buyer’s real identity as well as his IP address using e-mail backtracker. You see, when it comes to protecting your business from scam, no step is too much to take because scammers also spare no costs or energy to pull a perfect job. Therefore, you must always bring in your ‘A’ game whenever you are considering doing business with an overseas buyer; take as many steps as is necessary to ensure that your investments are safe. 7. Ask for all the information you need -: You should try to ask as many questions as you feel would be necessary to help you form an opinion. Don’t be scared to ask the buyer questions. If he has nothing to hide and represents a legitimate company, he wouldn’t have any problem giving you all the information you need.
8. Use Government Trade Sites-: Trading on government established trade sites is also a good way to protect you because illegitimate companies and buyers know better than to bring their tricks on a government website.
