3.Buyer issue a *$150,000* in exchange for Advanced Payment Guarantee (*APG*) from Seller.

Buyer post *$100,000 PND* into Seller's Account. The $100,000 drops into Seller's Account only upon Buyer's Supercargo and Inspector boarding and confirming product as well as successful Q&Q thereafter. The Amount is inclusive of *re-routing* the product , from *Ghana/Lome* to Lagos. Also for the *logistics of boarding* Buyer's Supercargo and Inspector as well as *cargo documentation*.

4.Seller receive the $150,000 APG , Seller issue Marine ATB and Clearance with cargo documents for Buyer to board his Supercargo and Inspector.

5 Upon boarding and confirmation of product , the attestation is jointly signed by Seller's Captain and the Supercargo, while Buyer's Inspector disembark with sample to conduct Q&Q test.

6 Upon successful Q&Q of Dip-test inspection, where PND of $100,000 was to chosen, the $100,000 drops into Seller's Account. Buyer make payment by MT103 wire transfer for the total value to Seller and intermediaries.as stated in the SPA. The *payment to Seller will be less* the $150,000 APG or $100,000 PND as the case maybe.

7 Seller transfers Title of ownership Certificate to Buyer's name as the legitimate owner of the goods and releases other relevant and required documents.

8 Seller introduce Buyer to vessel handle for recharter of the loaded vessel or Buyer arrange vessel for the loaded vessel to discharge into.

Operational Procedure
1. Buyer submits CPA, Q88, and Authority to Load (ATL) documentation.
2. Seller issues NOR, ETA, and alongside details within 72 hours.
3. Seller manages and funds all logistics to transit cargo from Nigeria to the transshipment
point.
4. Buyer’s supercargo remains on board; independent inspector collects samples.
5. Product is transferred via TTT into the buyer’s vessel.
6. Q&Q inspection is conducted and report issued.
7. Buyer pays $5m immediately after pumping fully to Buyer's vessel to enable seller process cargo documents and will be deducted from the total cost of cargo during final payment.

8.Upon acceptance of results, buyer effects payment and receives a full set of original
NNPC title documents prior to vessel departure.
