PLEASE NOTE THAT THE DLC (DOCUMENTRY LETTER OF CREDIT) IS A GUARANTEE THAT COVERS ONLY OPERATIONS AND LOGISTICS: THE VALUE IS USD$10M MAXIMUM ONLY
(TEN MILLION DOLLARS ONLY)

I). Buyer and Seller sign and seal this Contract including banking coordinates and exchange the signed copy by electronic mail to bankers. The electronic signed copy by both Parties is considered legally binding and enforceable.

II). After Signing SPA, Buyer sends email through his bank to Seller and Bankers indicating readiness to engage officially. Seller then swift Proforma Invoice of Cost of Operation and Logistics through Seller's Bank. Buyer's Bank respond with Operative DLC for Operations and Logistics for the value of the Commercial Proforma Invoice in US Dollars only (Proforma Invoice Reference Number will be reference of operation).

III). Upon the receipt of the Non Operative DLC, Seller's Financing Bank will Issue 2% Performance Bond within 10 Banking days. The 2% Cash Backed Performance Bond will make the DLC Operational. The DLC must be for 180 days.

IV). Seller secures VLCC, Programs Vessel for Official Window Temporary Loading (OWTL). Loading will be completed in about 90days and Vessel is move to Nigerian or West African Coast for Preliminary Q & Q by Seller and independent inspectors and an SGS report sent by swift to Buyer’s Bank.
V). Within thirty (60) days of IV above, Seller furnishes CPA & Q88 and the relevant documents to Buyer and/or Buyer’s bank including;
*1 Clean – on – board ocean Bills of Lading
*2 Certificate of quantity (SGS or equivalent)
*3 Certificate of Analysis (optional)
*4 Certificate of Origin
*5 Certificate of Quantities
*6 Seller’s commercial invoice
*7 Vessel ullage report {optional}
*8 Receipt of samples (optional)
*9 Cargo Manifest
IV). On arrival, an independent Inspection, and Q & Q is conducted. Upon certification of all documents, Vessel will be program for cargo discharge. Buyer must make payment by MT103 Wire Transfer to Seller’s Bank Account payable at its counter for this transaction and to beneficiaries named in Master Fee Protection Agreement in the contract for fees. Payment must start before discharge or within 72 hours after discharge of cargo.
V). Payments are made by Swift Wire Transfer directly to the Seller’s bank accounts and commission agents as stipulated in the IMFPA in this contract within three (3) international banking days after product delivery and discharge at Buyer’s nominated port of discharge against presentation of stated shipping documents (non-negotiable copies) at Buyer’s bank.
VI). The signatures on this contract by the Buyer and by Seller means both accept all the content as for Quantity, Discount and Procedures.
