5 main steps to register your company in Nigeria by yourself
Registering a company is sine qua non of doing any business without which your business does not exist in law. A registered company has many advantages above and over unregistered businesses. Because of the great importance that a registered company has, we therefore use this article to explain to the public the main steps of registering a company in Nigeria.
Step 1- Determination of type of business entity
You must first of all decide whether you are going to register a ‘Business Name’, which certificate will carry ‘BN’ number; or a company limited by share, which certificate of incorporation will have ‘RC’ number.
Step 2- Choice of Name/Availability Check and Reservation Of Name
You should decide on a suitable name for your company and go to Corporate Affairs Commission website or their office within your state to purchase and fill Availability Form (CAC1) and submit it. You are to submit 2 names for possible consideration and approval. If your name is approved, it will be reserved for sixty days. If it is rejected, you will be given a notice of denial and the reason for the denial will be provided at the bottom of the report. If the business entity you intend to register is a limited company, then the name must end with ‘limited’ or its shortened form ‘LTD’
Step 3 – Filling/Completion of incorporation forms
If your business entity is a business name, you will have to purchase a single Business Name Form (CAC/BN/1), which you will complete and take to Court for oath. You will then take it back to CAC office for filing.
If it is a limited company, the following set of forms will be purchased and filled:
CAC 2-Statement of Share Capital and Return of Allotment
CAC 2.1-Particulars of person who is the company secretary of a company or any changes therein
CAC 3-Notice of situation/change of registered address
CAC 4-Declaration of compliance with the requirements of CAMA
CAC 7- particulars of persons who are first directors of the company
You will also have to prepare and bind your ‘Memorandum and Article of Association’ which will contain the object of the company, Corporate Governance of the company holder the objects of the company corporate governance of the company, name, address and shareholding capacity of each subscriber e.t.c.
At the point of submission after the completion of the forms, you will be required to submit a photocopy of government issued Identity Card of each of the directors.
It is to be noted that if the object of the company reflects consultancy, professional or specialist service e.g law, medicine, teaching, engineering, consultancy e t. c. you will be required to submit a photocopy of a certificate of qualification or evidence of proficiency of at least one director that is in relation to the said object.
STEP- 4 stamp duty (not applicable to Business Name)
You will then submit your completed forms and Memorandum of Association to the Federal Inland Revenue Services (FIRS) for assessment and stamping.
STEP 5 -FILING
After the forms and Memorandum and Article of Association have been stamped, the document will now be submitted to Corporate Affairs Commission (CAC) for verification and filing. If the documents are not quarried, then you should go back for your certificate of incorporation some days later for collection.
