By now, if you are a reader of this blog,
you would understand that words have souls, they live on. It enables man to communicate beyond space and time, because it's in a permanent form compared to oral communication.



Just recently, President Buhari, passed a letter to the Senate invoking section 145(1) of the, Nigeria 1999 Constitution. There have been controversies over the wordings of such letter. Albeit to say, the intent of the Section invoke supercedes the words used.



Yet, this teaches the valuable lesson on the need for proper use of words while writing a contract.
Writing itself is means of communication, when drafting your contract always bear in mind the followings:


1. Your contract will be interpreted by a third party who was not present when the contract was written and agreed upon. So you must go through the necessary pain of drafting your contract in plain words and terms.


2. Remove all ambiguities and unnecessary words. It is bad drafting habit to use e.t.c in your contract.


Example.
"We both Agree to pay, annually, a sum of #500,000 Naira to all Private Schools and Hospitals in Ikoyi Local government area of Lagos State, Nigeria, as part of our social corporate Responsibility."
The problem of ambiguity will arise here, because of the word "Private" in the above sentence; It is not clear whether the word "private" should apply to only "schools" or both the "schools and hospitals"


3. Avoid the use of passive voice except where absolutely necessary. State the Actor performing the act and not the other way round, except where the actor is unknown or emphasis is focused on the atction not the subject.

Example
The licensor grants the licensee the license to carry. 46 Caliber Gun as against The Licensee was granted a lease to carry a .46 Caliber Gun by the Licensor.



4. Use simple expressions. And words. Who has big poly-syllabic vocabulary helped?


5. Avoid unnecessary verbosity and repetition.


6. Be Consistent in your use of words.
