You have probably seen the term Memorandum and Articles of Association in a number of different places as a business or company owner, but what are they and do you need them?

If you are a company owner, you need them, and you should have them in place already. If your company is not incorporated, you don't have to worry about it unless you think about it.

In short, the memorandum contains the names of all subscribers( people who were at the company's starting point, e.g. initial shareholders) and the Articles of Association are a set of rules governing how the company operates and also the nature of their operations ( i.e what they intend to do as an organisation).

Anyone who adds their name to the memorandum will become a member of the company and remain a member until they decide to leave.

On making your list for the article of memorandum it is advised that we recommend that draw up a list of individuals within your industry that would add value to your organisation. These individuals would add value when your corporate documents are presented before a panel for contract award. You could offer a piece of the company to a high net-worth individual.

If you intend to pursue engineering jobs look for a certified engineer preferable a COREN certified as a board member.

Avoid the urge to have your infant kids as board members they will add little or no value to the business. Besides, think of it who will trust a project to a board that can just pack their bags and move with the initial mobilization.
