When starting a business, a lot of entrepreneurs are usually confused as to whether to register their business with the Corporate Affairs Commission as a Business Name or a Company. This article focuses on registration of Business Name in Nigeria. What you need to know and how to go about this.

A Business Name is the name and style with which you trade. The owners of the business are responsible for the acts and liabilities of the business. However, when a business is registered as a company, the company and the owners have different legal rights and responsibilities.


BENEFITS OF REGISTERING A BUSINESS NAME IN NIGERIA

Below are some of the reasons for a registration of Business Name:

a. Protection of your name from being plagiarized (copied) or used by another.
b. A registered business is more desirable to customers as it is recognized by law
c. Maintaining business account and ease of accessing loans from financial institutions.

FORM OF BUSINESS NAME ENTERPRISE

Registration of Business Name or a Registered business name be used to carry on business in the form of a Sole Proprietorship or Partnership. Let’s take a look at the different forms;

SOLE PROPRIETORSHIP IN NIGERIA
It is the most common form of business in Nigeria. It simply means a one-man business organization. It is a ME, MYSELF and I model. It is the type of entity that is fully owned and managed by one natural person known as the sole proprietor.

ADVANTAGES OF SOLE PROPRIETORSHIP
a. A sole trader need not register his business if he carries on the business under his first name, his surname and the initials of his first name or under his full name.
b. A proprietor has complete control of his business hence facilitating prompt decisions.
c. Sole proprietorship is easy to establish as it requires less formal processes.
d. The sole proprietor gets all the profit.

DISADVANTAGES OF SOLE PROPRIETORSHIP
a. The death or bankruptcy of the owner means the end of the business.
b. The sole proprietor is personally liable for the debts and actions.
c. The sole proprietor raises capital solely.

PARTNERSHIP BUSINESS IN NIGERIA
This is a type of business organization in which two or more individual’s pool money, skills, and other resources, and share profit and loss in accordance with the terms of the partnership agreement. In absence of such agreement, the partners share profit and risks equally. This model can be be carried out through registration of Business Name.

ADVANTAGES OF PARTNERSHIP
a. Registration process is less formal.
b. Contribution of capital is shared among the partners.
c. The partnership form of organization enjoys the benefit of the ability, experience, and talents of the partners.
d. Any loss sustained by the firm will be borne by all the partners equally as opposed to a sole proprietor.
e. The partners of partnership firm exercise joint responsibility and meet frequently. This enables them to take decisions promptly, which is conducive to taking advantage of sudden opportunities.

DISADVANTAGES OF PARTNERSHIP
a. Membership is limited to 2-20 except for law and accountancy firms and cooperative society registered by law.
b. Difference of opinion very often results in disharmony and lack of management
c. A partnership may come to an abrupt end on the death, lunacy, insolvency or resignation of a partner.
d. Partners have unlimited liability

HOW TO REGISTER AN ENTERPRISE IN NIGERIA
After deciding what form of business name you would like to register, the following are details to be used on your CAC Portal.

STEP 1 – Name Search CAC
Two businesses cannot carry on business with the same name. The process of confirming that your proposed name is not being used is called a public search and can easily be done on the CAC official website. This is the first step in the registration of Business Name.

STEP 2 – Availability Check and Reservation of Name
After the public search, you must apply for a confirmation and approval by CAC that the name is not being used. This is called availability check and reservation of name, you are expected to submit two proposed names to the CAC, and make the required payment. If approved, go ahead with registration.

STEP 3 – Input Details
The Statutory form for registration of Business Name requires certain particulars to be provided, accompanied by a number of documents. They are as follows: –

a. approved name;
b. general nature of the business;
c. full address of the principal place of business and every other subsidiary place of business;
d. proposed date of commencement of the business;
e. passport size photographs of the owners; and
g. Proficiency certificate (If required).
h. Once everything looks good, go ahead and make payment, printout the documentation, attach relevant passport photographs and sign.

Step 4 – Document Upload CAC
The Application form for the registration of Business Name and other relevant documents must be uploaded. The CAC will review the documentation and if all is in order, you will get a notification that the application has been approved, after which your Business Certificate will be ready for pick up.

Step 5 – Certificate of Registration
The following documents would be given back to the proprietors by the CAC:

a. Original Certificate of registration of the business name
b. CTC of the Application for the Registration of the business name

How about how to register a sole account? A Sole account is opened in the name of the person who owns it or just one individual. Holders of these types of account ranges from the poor peasant farmers and students to top company executives and other high ranking civil savants.
