7. Limitation of Liability: The developer says they are not responsible for any money or other economic losses that come directly or indirectly from making the website. Some inexperienced clients will blame the developer for their website's online failure. Avoid issues in the future if something fails as the client thought it would, especially things the developer cannot control once the website is launched. Also, during the project itself, if, for whatever reason, there is a financial loss, it protects you as a developer.

8. Relationship of Parties Make sure that the client and developer understand their relationship. Is the relationship a development partnership? Is it strictly a work-for-hire type of relationship? Is it a client-vendor relationship? This is where it needs to be highlighted to ensure the business relationship is understood.

9. Employee Solicitation and Hiring Many developers need to consider this. Still, there have been instances where clients have enticed the developer's employees or freelancers during or after the project has been completed. Of course, this has huge negative aspects if it happens. That is why it is also highly crucial to lay out that the client cannot solicit the developer's employees in any way regarding potential hiring or additional perks. Specify a certain amount of time for this as well. This time frame is typically between 2 and 5 years.

10. Entire Agreement: This is the ending of the document, which says that the entire record and its attributes fall under the exclusive contract and that nothing will supersede it. Also, the critical representatives for both the client and the developer will sign, date, and list their company roles in this section. Make sure that any modifications made after the signature are marked with the initials of both parties next to the change.
These ten steps to writing a successful web design and development contract and agreement will give the client and developer peace of mind and pave the way to a trusting business relationship.

Some clients may be taken aback when handed a 2–4 page document to read and sign. Feel free to walk them through each point and remind them that a copy like this is needed to protect both them as a client and you as a developer in case something goes wrong. At the same time, be sure to explain what each person's responsibilities are. With that said, there should be no issues, and the client should be willing to sign the document. If they are not ready to sign the paper, it could cost you money as the developer, but in the long run, it will keep you from having to deal with headaches and even more considerable financial losses.
