Buying a Tokunbo Car from Cotonu can be termed as risky for most people. Indeed it is risky because you stand the risk of getting your cars seized by the Customs officials.

Then how do people still get to buy cars from cotonu and have them delived to Nigeria even with the ever vigilant eyes of the customs.

We you should note that there are certain categories of cars that are not accepted in Nigeria, but still come in. These are cars that are above 10 years.

Nigeria was a colony of Britain up to the First day of October 1960 when Nigeria became an independent country. In consequence, Nigerian law is based almost entirely on English Law. The Nigerian Legal System is the English system with some local modifications.

The basic law of Nigeria is the Constitution of the Federal Republic of Nigeria 1999

Business in Nigeria necessarily starts with the company law of Nigeria . The first company law was the Companies Ordinance of 1912. This was a local enactment of the Companies (Consolidation) Act 1908 of England. Thereafter, we had the Companies Ordinance 1917 and five years later, we had the Companies Ordinance 1922.

The next major change was in 1968 when the Companies Decree 1968 was promulgated and that decree remained in force until the coming of the Companies and Allied Matters Decree No 1 of 1990. That decree is (with amendments) still the company law of Nigeria but it is now known as the Companies and Allied Matters Act 1990

This law regulates the different ways in which business may be carried out and is divided into three parts, each part dealing with one of those ways. The parts are

Companies

Part B
Business Names

Part C
Incorporated Trustees

Registration of businesses under the Act is carried out by and at the Corporate Affairs Commission (CAC) The head office of CAC is in Abuja, the capital of Nigeria.

Most persons who are interested in Doing Business in Nigeria or in Doing Business with Nigeria would want to operate as or in companies and so will be concerned with Part A only.

The most important thing for the non-Nigerian to take into account is that company law in Nigeria requires foreign companies intending to carry on business in Nigeria to be incorporated locally. For full details about this, please see Chapter 3 of Companies and allied Matters Act 1990 which deals with Foreign Companies

Setting up a company in Nigeria

The foreigner will do well (and it is advisable) to engage the services of a law firm in Nigeria in order to properly do business in Nigeria. 1. Incorporate the company

1.1 The starting point is to decide on the name of the new company. For a foreign company setting up in Nigeria, it is advisable to chose a name that is the same as the name of the parent company and ending with Nigeria Limited. It is advisable to make an application to CAC for Availability and Reservation of Name.

1.2 Draft Memorandum and Articles of Association. (MeMat) It is advisable that the objects in the MeMat be as close to that of the parent company as Nigerian law will allow.

1.3 Agree upon a share capital structure for the new company. Non-Nigerians may own 100% (One hundred percent) of a company but it is politically advisable to have some Nigerian participation.

Stamp duty is payable in respect of the share capital and also, the amount paid as filling fees depends on the share capital. It may cost more money but it is advisable to have a respectable share capital.

1.4 Nigerian law provides that at least two persons must sign a MeMat as subscribers. The law also provides that at least twenty five percent (25%) of the share be allotted on incorporation.

2. The costs

The Fees to be paid to and at CAC for matters under the Act are as specified in Companies and Allied Matters (Fees) Regulations 2003 The Minister of Commerce makes the regulations in exercise of the powers conferred upon the Minister by sections 16, 632, 668, and 692 of the Companies and Allied Matters Act and all other powers enabling the Minister in that behalf. The Minister may change the Regulations as and when he deems fit and the changes will be published in the official gazette


Stamp Duty is payable in respect of the MeMat and the MeMat must be stamped before it is presented to CAC for filling. Stamp Duty is Chargeable by the Federal Inland Revenue Service (FIRS) and is assessed on behalf of the FIRS by the Federal Commissioner of Stamp Duties according to a scale fixed by the Joint Tax Board.

All the payments are made in the national currency of Nigeria which is the Naira and the symbol is N (the capital letter N double struck through) It is also denoted in international notation as NGN

3. The fees

It is normal instruct lawyers or any other person to incorporate a company. Payments made for company registration are made up of Fees and Costs incurred.

IMPORT/EXPORT GUIDELINES

In furtherance of the efforts to enhance the efficiency of the maritime sector and port operations in Nigeria, the Federal Government introduced a port reform package in 1996. In response to this initiative, the management of Nigerian ports Authority took immediate steps to streamline and simplify its operational procedures. Vital NPA operations, including the billing system were computerised; while documentation and delivery processes were unified and streamlined. These have positively changed the procedures for the shipping and clearing of goods. Deliberate policies have also been put in place to create a better operating environment for all customers and port operators.

A shipping company intending to bring cargo into a Nigerian sea port has to clear the ship by obtaining Ship Entry Notice (SEN) two months in advance from the Operations Department of Nigerian Ports Authority. The customer, in the alternative, could obtain clearance through a registered and licensed agent based in Nigeria. This is without prejudice to all other regulations guiding the operations of other relevant government agencies and international laws regulating maritime operations. The procurement of a Ship Entry Notice is a guarantee that a vessel would have berthing facility on arrival in Nigeria. This in essence means that the ship does not come to queue and thus incur demurrage. There are two categories of goods for the purposes of this guideline: (a) Merchandise and Raw Materials (b) Personal Effects it is no longer mandatory that the consignee engages the services of a registered Clearing and Forwarding Agent in respect of merchandise and raw materials. In such cases, the consignee may opt for self clearance as is the

TYPE OF CARGO AND REQUIREMENTS

There are two categories of goods for the purposes of this guideline:

(a) Merchandise and Raw Materials
(b) Personal Effects

it is no longer mandatory that the consignee engages the services of a registered Clearing and Forwarding Agent in respect of merchandise and raw materials. In such cases, the consignee may opt for self clearance as is the case with personal effects, where the owner may clear the cargo when familiar with the clearing procedure.

BILL OF LADING
The consignor/shipper sends the Bill of Lading in advance of the arrival of the ship to the consignee/importer. This document contains the following vital information.

(a) The name of the ship carrying the goods
(b) The description of the goods along with their marks and numbers
(c) The date of departure from port of loading
(d) The weight of cargo
(e) The terms of contract of affreightment

PROCEDURE: IMPORT
The importer/consignee takes the Bill of Lading to the NPA Central Office for Planning and Information of the appropriate port for details about the arrival date of the ship and her allocated berth. This information can also be obtained from the shipping company
The importer or his agent completes the Bill of Entry and registers it with the Nigerian Customs Service.
The consignee or importer proceeds to the shipping company to effect Shipping Company Release of the goods
There, the Bill of Lading is cross-checked and compared with the ship’s manifest. After certifying the correctness of consignee’s documents, a blank form called Delivery Order (D.O.), supplied to the shipping company by the Nigerian Ports Authority, is then issued to the importer.
The consignee or his agent competes the Delivery Order and returns same and the Bill of Lading to the shipping company.
The shipping company then scrutinises the details on the Delivery Order, endorses it and withdraws the original of the Bill of Lading from the consignee or his agent. Thereafter, the lower portion of the Delivery Order is detached and handed back to the importer who holds it as evidence of shipping company release.
The main body of the Delivery Order is sent to the Marketing Department of Nigerian Ports Authority at the specific port.
The Marketing Department then raises all necessary bills through a computerised system, marries the Release Note copy of the Customs Bills of Entry with the shipping company’s Delivery Order, after which bills are authorised.

The bills are then vetted by the Audit Department after which payments are effected at designated bank.

The necessary delivery sets are then produced using information contained in the Delivery Order and subsequently transferred to the transit shed or delivery point.

The consignee or his agent then proceeds to the appropriate transit shed or delivery point to effect delivery. After loading, cargo pass is issued to the consignee or his agent who then proceeds to NPA gate for security checks and final exit.

FACILITIES AND INCENTIVES

The NPA provides various cargo handling equipment for both containers and general cargo. Roro facilities are available at the ports. Free storage period of six days from the last day of a ship’s completion of discharge are allowed for importers to clear their goods.

Delivery Order is a printed form supplied by the NPA to shipping companies for purposes of delivery of goods to the rightful owners.

Terminal Delivery Order is a document on the presentation of which a consignee or agent is authorised to take delivery of consignment at an NPA terminal, delivery point or shed.
It must be emphasised that carriage or cargo in excess of declaration on cargo manifest attracts sanction.

Between Nigeria’s independence in 1960 and the late 1970s, goods being
imported into Nigeria or exported from the country were subjected to legal
compliance inspections at the nation’s Seaports or airports through which the
goods were imported or exported. The 1970s oil boom accelerated the pace of
development of the Nigerian economy, resulting in a sustained increase in
imports, but without a corresponding rise in exports (except crude oil). The fact of
an import-driven economy made it essential to monitor the quantity and quality of
goods being imported into the country. The Nigeria Customs Services (NCS) and
other Government agencies involved in the importation/exportation process
lacked the resources and technical knowledge to accurately perform this
function.

In order to block this loophole and increase revenue generated from importation
transactions Government decided to appoint external inspection agencies (such
as Bureau Veritas, SGS and Cotecna) who were perceived as capable of
handling this function.

The inspection agents were appointed agents of the Central Bank of Nigeria
(CBN) and contracted to inspect shipments to Nigeria from various parts of the
World. The agents’ findings on importation transactions, including quantity/quality
assessments, pro-forma invoice costing/valuation and import duty/port charges
assessments were regularly reported to the CBN and the Nigerian Ministry of
Finance Incorporated (MoF). Official documents issued by these agents such as
“Clean Report of Findings (CRF)” and Import Duty Reports (IDR), together with
certain other shipment documents, such as Bills of Lading, soon acquired
household usage, as they were absolutely essential to the importation of any
goods into the Federal Republic of Nigeria. In order to preclude a monopoly
situation in which Government could be held to ransom by a single agent, a
number of inspection agents were appointed to monitor imports from different
continents or areas of the World, e.g. North America, South America, Europe,
Asia, etc.
