It is good you have got a business idea; it is also great that you have got the determination and capability to get the business going. However, you are not ready to incorporate a company yet as your business has not grown to your desired level and you only want to start small. Breaking news, you are wrong.
The very first thing you must do when you have got a business in mind is to make it a separate legal entity and if it has anything to do with intellectual property, register that patent or trademark and here is why:
1. COMPLIANCE WITH THE LAW
You do not want to start off your business on an illegal footing. There are some businesses you must not commence without having registered a company and there are some factors that must be considered in registering these companies. For example, according to the COREN Amendment Act, you cannot run an engineering company without registering it with CAC and supplying the qualifying certificate of registered engineers. Non-compliance with this makes you liable to a criminal provision. That is one out of many of such businesses. My advice, do not take chances and register that business immediately.

2. ACCESS TO LOANS, GRANTS AND FUNDING
You will hardly gain access to loans and funding if your business is unregistered. No corporate entity would give loan to a man/woman that does not have a basic structure- an incorporated entity. Also, obtaining a government loan is near-impossible for an unregistered business. An unregistered business is also shut out against international grants. For those who think they can rush their incorporation when they will need it, this is a big gamble as getting a company certificate in haste is not a sure thing.

3. EVIDENCE OF CREDIBILITY
It is a usual requirement from foreign companies who wish to partner with Nigerian nationals that they have an incorporated company, that they are shareholders and directors in same and that the company has been in operation for at least 2 (two) years. Having your company incorporated for a long term is an evidence of business credibility.

4. BUSINESS BRAND AND IDENTITY
Incorporating your company makes your company a global brand and gives it a global identity. This will affect the overall outlook of your company and will also affect your bargaining power and eventual progress.

5. SEPARATE CORPORATE ENTITY
This is one of the biggest gains of incorporation. Incorporating a company makes it a distinct person in law and gives it a separate legal personality from its owners. Hence, the company has a life of its own and can continue after the demise of its owner. It can take a loan in its own name and can be co-owned by investors. An unincorporated business does not have this privilege.

The decision to buy a landed property can be quite capital intensive and will likely deplete your savings to a large extent. It only follows that you are extremely careful and vigilant when making that decision. Do not buy a landed property casually, with sentiments or in trust. We have below seven things you should look out for when you have made the decision to purchase a property.

1. Conduct Physical Inspection: Some purchase property based on what they heard or on recommendation. This is absolutely wrong. You must conduct physical inspection and there are several things to look out for in the conduct of physical inspection. Some of these things include: the physical/structural condition of the property; the ownership of adjoining property; whether there are signs of 3rd party possession; indication of litigation on property among others. 2. Conduct Search at Land Registry: The importance of this cannot be over emphasized. Search must be conducted at the registry of lands to determine whether any interest or encumbrance exists on the property and the nature of the encumbrance. You will also validate the seller’s claims here.

3. Conduct Search for Outstanding Taxes: It is important that search is conducted to know what tax is outstanding on the property. This can help in the negotiation process for the purchase of the property.

4. Conduct Search on Whether Land falls under Government Acquisition: Search must also be carried out in the office of the Surveyor General to determine whether the land or property falls within Government Acquisition or not as one would not want to purchase a land that is under same.

5. Conduct Search at Corporate Affairs Commission (CAC): If the seller is an incorporated company, it is expedient that search is done at the CAC to determine whether the property has been used as collateral or any encumbrance exists on the property.

6. Conduct Search in Court’s Registry: Search must be conducted in the registry of the jurisdiction where the court falls under. This might seem like an arduous task but can be done and is expedient as you do not want to buy litigation, trust me.

7. Obtain Proper Title Documents: After vetting the claims of the seller and ticking all boxes, you must obtain proper title documents. It must be noted that you must instruct a good lawyer who will ensure that your interest is sufficiently protected and that all that is required to permanently secure your interest is done.

Conclusively, in purchasing a landed property, it is desirable not to be penny wise and pound foolish. You should instruct a good lawyer who would protect your interest sufficiently. You can send a DM if you require further clarifications.
