3.1. Buyer sends LOI to NNPC-JVOPS/King David Global Corporation (Seller) while Seller gives SPA.

3.2. Buyer signs and returns SPA with the following details; NOR/ETA, MATB format, Inspection location and Inspection team identities, Buyer’s passport copy and company registration certificate.

3.3. For Trial Shipment: Buyer's bank issue IBPO via MT799 for $100m to Seller nominated account valid for 90 days from world top 25 banks while seller issue 2% P/Bond after validation of IBPO.

3.4. Seller loads 2m barrel vessel with BLCO in buyer's name and issue POP documents to the Buyer.

3.5. Vessel captain issues NOR/ETA to Buyer and sails to Buyer’s Port Of Discharge on CIF terms.

3.6.At the port of discharge, Buyer’s shipping agent clears the vessel while Vessel captain issue MATB to Buyer's inspection team who boards vessel and performs inspection at buyer's expense.

3.7. Inspectors release results to both the Buyer and the Seller.

3.8. Seller issues commercial invoice and inspection result to the Buyer's bank.

3.9. Buyer's bank pays for shipment by SWIFT MT103 cash wire transfer into Seller’s account.

3.10. Seller confirms payment and authorize Captain to discharge cargo into Buyer’s Storage Tank .

4. Within 7-10 working days of confirmation of buyer’s instrument, seller’s vessel arrives buyer’s nominated location for Q&Q inspection. Seller’s vessel captain issues ATB to a nominated inspection company ( acceptable to buyer and seller) for Q&Q inspection activities.

5. Seller secures port clearance for buyer’s vessel to enter buyer’s agreed waters to receive cargo from seller’s vessel. Buyer must submit details of receiving vessel to seller for securing port clearance purposes.(APPLICABLE TO TTT)

6. Upon the receipt of a satisfactory inspection report by the independent inspection agency, seller shall authorize the discharge of cargo into buyer’s vessel in Tema waters. (APPLICABLE TO TTT)

7. Upon successful conclusion of the above, seller transfers all shipping documents to the buyer and hand-over same to the buyer and the vessel captain as the case may be.

8. Payments are now released by mt 103 (swift transfer) into nominated bank accounts of the seller and all agents/facilitators upon presentation of the relevant shipping documents at buyers bank.

9. Seller’s vessel departs to port of destination or back to loading port after TTT is completed depending on transaction terms.


FOB PROCEDURE

(1) Buyer & Supplier Signs & Seals Contract and exchange hard copies of the signed contract and forward same to their respective banks.

[2]Buyer releases valid CPA, Q88, Charter Party Invoice, ATL and Buyer take Seller Engineer, Supercargo on Board the Buyer Vessel for verification.

[3] Seller sends Terminal Clearance or Navy Clearance to Buyer’s Vessel when the Seller Engineer is on board the Vessels to cover the Clearance, Security, Documents and logistics.

[4] Buyer’s Vessel departs to the terminal for loading after programming and clearance has been obtained assisted by a captain/Engineer and Super Cargo.

[5] Quality and Quantity (Q & Q) checks are done and reports sent to buyer / his bank for payment and copy to seller.

[6]Payment shall be without delay by the Buyer Bank to the Seller’s Bank upon presentation of the Quantity and Quality and all necessity documents
[7] Buyer Pays for the product (BLCO), All Commissions as Recorded in the IMFPA Section of This Contract Agreement by swift or KTT Money wire transfer to the nominated accounts of the seller/supplier and Agents/facilitators concerned as quoted in the BG face value.
After confirmation of payment vessel is allowed to sail to its’ port of discharge.
