A company's business name is among one of its most powerful branding assets. And as with other business assets, it's wise to protect it. If a business owner fails to do so, they run the risk of another company using the name. That can potentially confuse customers and create legal issues.

Formally registering a business as an LLC or corporation will offer some protection of the name. However, it's not as extensive as the protection a trademark provides.

How registering as an LLC or corporation protects a business name
When someone registers their LLC or corporation by submitting Articles of Organization or Articles of Incorporation to the state, the company's business name becomes protected in that state. That means the state will not allow other LLCs or corporations to use the name (although it may allow it if the type of business and industry are different enough so that it won't confuse the public).

That provides some peace of mind, for sure, but there's still the chance that a business operating as a sole proprietorship or partnership might use the name in the state. Although those business owners will not be able to register the name as an LLC or corporation, they might still file it as a DBA (“Doing Business As,” also known as a “fictitious name”). So, they could conceivably offer similar products and services within the market—even within the same county or town.

Also, registering as an LLC or corporation won’t prevent other business entities in the other 49 states from using the name. For example, suppose an entrepreneur registers their business name, "Elsa's Gift Emporium," for an LLC in Illinois. In that case, little prevents another entrepreneur in Tennessee from establishing an LLC or corporation with that name.

The business name protection at the state level may be sufficient for a company, or it may not. It depends on whether the business owner plans to expand the company into other states and the potential effects if another company were to use the same name. For instance, if someone starts a pet-sitting services business serving customers within a 30-mile radius of their home office, they probably won’t care if another pet-sitting company in a different state uses the same name.

But what if you have your sights set on growing your business into other states or sell products online and compete with other companies across the United States which also sell online? Those are examples of scenarios when federal trademark protection is worth exploring.

Advantages of trademarking a business name
The U.S. Patent and Trademark Office (USPTO), the federal office that grants trademarks, explains that “a trademark or service mark includes any word, name, symbol, device, or any combination, used or intended to be used to identify and distinguish the goods/services of one seller or provider from those of others, and to indicate the source of the goods/services.” In short, trademarks help to distinguish brands from their competitors.

What’s the difference between a “trademark” and a “service mark”? Essentially, they’re the same, except that a trademark identifies the source of goods, while a service mark identifies the source of services. The USPTO often uses the term “trademark” when referring to either trademarks or service marks.

When the USPTO approves a business name as a registered trademark, the owner has exclusive rights—at the state and federal level—to use the name. A trademark prevents anyone else from selling similar goods and services within the United States under that business name.

The primary purpose of trademarks is to prevent confusion in the marketplace, so the protection applies to only a particular category of goods and services. For example, if someone trademarked their photography studio's name, "Best of Times," another entrepreneur would likely be allowed to start a restaurant that uses that same name.

How do you apply for a trademark?
Before submitting an application to the USPTO, it's vital to search the internet and federal and state trademark databases to ensure no other business has claimed the name legally. In addition to the USPTO and states' websites, other business name search and trademark search tools are available online. A trademark attorney can also help verify that the mark is available and likely to be approved by the USPTO.

The USPTO requires that trademark applications be filed online using the Trademark Electronic Application System (TEAS), which requires setting up an account at USPTO.gov. Filing costs depend on which filing option the business owner chooses:

TEAS Plus: $225 per class of goods/services
TEAS Standard: $275 per class of goods/services
Entrepreneurs may consider asking their attorney to prepare and file the application on their behalf or enlist the help of an online business document filing company to ensure the form is completed and submitted correctly.

The time it takes to have a trademark approved may range from almost one year to several years, depending on the mark's complexity and any issues that arise during the USPTO's review process.

Once a trademark receives approval, it will be effective for 10 years. As long as its owner complies with all legal requirements, a trademark can potentially be renewed for an unlimited number of consecutive 10-year periods.

According to the USPTO website, “Each time you use your mark, it is best to use a designation with it. If registered, use an after the mark. If not yet registered, use TM for goods or SM for services, to indicate that you have adopted this as a trademark or service mark, respectively, regardless of whether you have filed an application with the USPTO.”

Using TM or SM identifies to other business owners that you're stating ownership of the wording, symbol, or design. However, without officially registering to trademark the business name with the USPTO, you may have difficulty enacting legal action against another party if they use a name that's the same or very similar.

Changing your business name can be a lot of work, and, quite frankly, a hassle. But can it also put your business’s credit history at risk?

Kimberly Wilson is about to find out. In 2006, she started First Step Therapy, a counseling and training business, and grew it into multiple locations. A few years ago she took a hiatus from that business to earn her doctorate degree, and now she’s ready to relaunch her business. She has chosen a new name that reflects her new vision for the company. It will be called First Step International Consulting & Counseling Services and will offer training for individuals, businesses, and professionals.

However, she’s worried about what will happen to her business credit when her name changes. “I am concerned that if I retain the same federal tax ID but change the name, I will lose my business credit rating,” she wrote in an email. “How do I prevent that from happening?”

Wilson built a positive business credit history in her first business. She established business credit by using trade credit—purchasing things she needed for her business, such as supplies or printing—with payment terms of net 30 or net 60. She paid those bills on time, and as her business credit scores improved, she was able to access even more credit. Eventually, she used business credit to finance computers and other equipment.

Older Is Better
Wilson is right to be concerned about keeping her credit history, since age is a factor that often affects business credit scores. Scoring models often evaluate age in a few different ways:

Since small businesses often fail in their first few years, businesses with older credit histories benefit from well-established credit histories.

The good news is that Wilson doesn’t have to sacrifice her business credit history when she changes her business name. But she’s smart to be proactive, because by doing so she is more likely to ensure her complete credit file will follow her business.

Steps to Take
If you find yourself in a similar situation as Kimberly Wilson, here are several steps you can do to help the process move smoothly:

Submit a name change to the Internal Revenue Service if necessary. You’ll find instructions and guidance on the IRS website.

Update your name with state and local agencies as required. If you have registered your business with your state Department of Corporations, for example, and/or you must have a local business license, you may need to update your business name with either or both.

Notify your creditors. Let your creditors know about your name change so when they report your account in the future, it will be reported under your new business name. Hopefully this will also help associate your old credit history with your new business, although that is not guaranteed. Do the same with companies through which you process payments, such as credit card processors, your bank or credit union, etc.

Notify the credit bureaus, as necessary. We asked the major commercial credit agencies to clarify their policies and procedures regarding a business name change, and here are their responses:

Dun & Bradstreet does not require business owners to notify them of a name change unless it involves a change of ownership. If it does, visit Dun & Bradstreet’s free company update page here.
Experian recommends small business owners visit Business CreditFacts.com to update their reports.
Equifax does not require a business owner to report a name change. As long as the business uses the same credit accounts and does not use a different tax ID number, the reporting members will report the credit history using the new name. The business credit report will also reflect the previous name (similar to how a former name is reflected on an individual’s credit file).
LexisNexis does not require a business owner to report a name change.
“Information on small businesses is in constant flux as they change or add locations, evolve into new entity types (e.g., from sole proprietor to LLC), change leadership, grow their assets, and more,” says Ben Cutler, Senior Director of Small Business Risk with LexisNexis. “It’s even common for a small business to change its DBA and/or its name. But these activities leave ‘footprints’ in the data ecosystem, and LexisNexis Risk Solutions relies on its Big Data technology and sophisticated, statistically based record linkage models to uncover and combine these footprints across billions of data records.”

Check and monitor your business credit reports. Review your business credit reports before your business name change to see which accounts report, then continue to monitor them afterward to see whether those accounts are reported under your new name. If not, you can contact your creditors and ask them to make sure your accounts continue to be reported under your new business name.

There are many more steps you need to take to successfully navigate a business name change, but with the right planning, you should be able to keep your credit history intact.

Actress Felicity Huffman, the first parent sentenced in a wide-ranging United States college admissions cheating scandal, was given a 14-day prison term and apologised for her actions on Friday after pleading guilty to paying to rig her daughter’s entrance exam.

US District Judge Indira Talwani sentenced Huffman, the 56-year-old former star of the popular television series “Desperate Housewives” and one-time Academy Award nominee, in federal court in Boston. The judge also ordered Huffman to pay a $30,000 fine and complete 250 hours of community service.

“My first apology is to you,” Huffman told the judge immediately before the sentence was issued.

“I realise now, as a mother, that love and truth must go hand in hand, and love at the expense of truth is not real love,” the actress said. “I will deserve whatever punishment you give me,” she added.

Huffman was released from court after the judge ordered her to report to prison on October 25.

Prosecutors had recommended a sentence of one month behind bars after Huffman tearfully entered a guilty plea in May to conspiracy related to her payment of $15,000 to have someone secretly correct her daughter’s answers on the SAT standardised test used for college admissions.
