He certainly traded based off "Privileged information" but I see some technicality on this particular case. The major problem is that he had already admitted to doing it but even at that, there's still some technicalities that he can try to get himself off the hook. This is an issue of information and data, some very good lawyers has gotten hackers off the hook based on certain technicalities.
The case is too clear for him to get off the hook.

The guy's reason was valid though.
My only ish with the guy is that.. He would have contact his closest, coded buddies, give him the money to buy the shares, and when the deal is done, they can now share the proceeds. Just to clean any trace of his antics..

The problem was that once she found out from the husband what happened, she had no choice but to report immediately. Any good lawyer would have advised her to do so

And once the bosses knew, they had to sack her.

Plus, the man listened in on her calls (bad) and profited from the thing(bad)...meaning that he essentially implicated her in his crime. Without her knowledge.

Plus if the man had not told her, and kept quiet...the SEC would have eventually found out, and she, her husband and her company would be in trobule...and no one would believe her protestations. (He is your husband, so you should have know, dem go tell her).

Insider trading is treated like a VERY SERIOUS CRIME...so severe that prominent Americans have been jailed and disgraced for it.

ONCE Madam heard from oga, she had no choice but to report. Because if the SEC found out by other means, she would have been treated as a suspect for not reporting on time...meaning she was a willing participant. Meaning, she is in big kasala.

See how tough the law is over there? She would have been utterly foolish not to report.

Most organisations involved in finance and stuff have a compliance policy to report things like this. Insider trading can lead to jail term for her...And in developed countries they will eventually find out. Asset declaration for you and your spouse, details of their stocks etc are regular mandatory reports for bankers, stick brokers and other roles related to mergers/acquisition in even non-finance organisation.

So she could keep quiet and go to jail when they eventually find out or simply do the alright thing, which she did

Forget morality....she had to report. Any lawyer would have advised her to report...because SEC , if they start looking, would not believe her story that her husband was listening in on her calls without her knowledge.

It's like you don't get it....assuming SEC found out by other means, they would have accused her as an accesory. (She is the wife, therefore she must have been sharing information).

If she did not report , by now she would be on her way to jail too.
