Kindly advice

Your children cannot be directors in your company until they attain teenage years. In those days, we used to squeeze in names of minors as directors. But as early as January this year, CAC has devised a new rules by asking for directors to submit means of identification (national ID, drivers' licence, international passport and lately voters ID).

As for your wife, a foreigner, you know by marriage, your wife should become a Nigerian and so She would not be addressed as a foreigner. However, if that does not work, a fast way is to use her foreign address, with that you would not have issues with CAC. For more you could holla me at kleandenation@yahoo.ca.

Your children can only be Directors if they are at least 18 years of age. As for your wife, the fact that she's a foreigner raises a question. However, foreigners can take part in the formation of a company as long as due process is followed.

Even if she must use a Nigerian address, does she posses any of the IDs requested? A copy of valid identification is now a requirement for registration.

I just visited the CAC website now and your foreign wife can be anything in your company. In fact, I read there that foreigners can even open a company in Nigeria and have 100% equity in that company. Non-resident foreigner (residing outside Nigeria) can register company while the resident foreigner can only do if he/she has resident permit obtained from Nigeria Immigration Service.

Please visit cac.gov.ng to read further. I was surprised to see today that CAC actually have one-day registration of company at their Abuja headquarters (at higher fees) instead of the long name search and lawyer stories I have been hearing and reading here. The only news I read on an online newsletter and I found on their website, which I am yet to see the proof/confirmation is that Minister of Internal Affairs or something like that saying CAC purportedly saved N1bn for using online/direct company registration instead of the manual, lengthy mago-mago pattern we complain about. I could still not find anywhere on their system or in their news where online application/registration of companies was mentioned. They need to explain that to us.

Anyone who goes to CAC's website and decides to swallow hook, line and sinker whatever political news& additions that are fed to the public...is on his or her own. Why not try the 48hrs Online regristration and hit me up with ur success story! So what about the compliance form that only lawyers can attest to??Lawyers are not just talking coz they know the colour of the CAC building in Maitama Abuja(even cab drivers and mallams are privy to that fact)...we are talking coz Corporate law practice na by learning and practice wey we dey fit do am o! The technicalities no be joke o..so Make una take seat make we tell una how far! #Dazall!

Many thanks for the apt observation. Many people go to government agencies' website and begin to paste the content here or advise users to go try them out. It may work out there but in Nigeria it doesn't work that way.

There are one thousand and one agencies that a foreigner would have to satisfy before he/she can commence business in Nigeria. As a foreigner, you don't want to heed all those stuffs of 48 hours, trust me. What you need to do is to instruct a lawyer or other CAC accredited agents.

Generally, as a foreigner, you will have cause to deal with Corporate Affairs Commission, Federal Inland Revenue Service, Nigerian Investment Promotion Council, Nigerian Immigration Service, Ministry of Internal Affairs, in addition to these, if you are involved in Technology, you will need permit from Notap's office for technology transfer, if you are involved in Telecoms, you know NCC is a must for you, if you are involved in oil and gas, DPR is a must, if you are involved in consumable/drug NAFDAC is a must, other products, you must register with SON through intertek. If you would need to bring in capital/ repatriate funds like MTN, you must register with CBN, if you want to go into shipping, you cannot do without NIMASA and so on.

The 'good'side of it is that all these registrations (about 90%) must be done before you commence business in Nigeria.


Now back to CAC, to commence business in Nigeria as a foreigner, your minimum share capital is 10 million, that also depends on who is registering for you.

Noteworthy is the fact that, CAC would not register a foreign company without having met the expatriate quota requirement, although, NIPC says it has a desk where some of these requirements are accelerated.

Also, if you are going into shipping, 25 million share capital, aviation- 500 million share capital for domestic and 1b share capital for international.

There is also the issue of Form CAC 4 which is meant to be signed on oath by lawyers or accredited agents of CAC.

In the light of the above, may I humbly inform you that what you read and regurgitated above may not be feasible.

SOME CORPORATE CAVEATS FOR YOUR BUSINESS IN 2022.
1. BUSINESS NAME
Yes, you registered your business name in 2021, even if it was in the month of December, the company will be due for ANNUAL RETURNS in 2022. Do not wait until the CAC search engine tag it INACTIVE before you do the needful and default will also attract penalty.

2. LIMITED COMPANIES
I incorporated my company in 2021 too. Yes, depending on the month, especially when it was incorporated before July, this means you will be filing annual returns in 2022. The law is 18 months after incorporation. Always know you have a fiduciary duty to do this and avoid penalty and INACTIVE status.

3. INCORPORATED TRUSTEES
Incorporated Trustees or NGOs? Yes, Church, Mosque, Club, Foundation, Initiative, Association etc. are also not left out on filing ANNUAL RETURNS. If, it was registered in 2021, then they are also liable to file, default will attract PENALTY and INACTIVE status on the CAC search web.

4. INACTIVE STATUS
What about I that registered before or prior 2021 and my company is showing INACTIVE on the CAC search web? Every company promoter must know that they owe the corporate entity a fiduciary duty to be free from liabilities and be in the good books of relevant industry regulators. As you may know, your company status is public knowledge. File your company’s ANNUAL RETURNS up to date.

5. UPGRADE MY BUSINESS NAME
I have a registered business name, but I desire and want to upgrade that same business name as a LIMITED COMPANY. Yes, it is achievable and stress-free, if you have the copy of the CAC Certificate of the existing Business Name. Do this to keep trading with the goodwill you have built on the existing business name.

6. CHANGE IN REGISTERED COMPANY ADDRESS
My company recently relocated its office address from where we initially used in the CAC documents. Yes, that is a welcome development, but you must act in good faith by duly notifying and filing to effect this change in the company document with the CAC. You will be penalize if you default after 14 days.

7. I WANT A GROUP
I want to expand, or I have expanded my business interests, but I have only 1 registered limited company and will like to have a GROUP. Having a GROUP is possible and it is not cumbersome. You must have at least 3 registered companies, this companies will be the subsidiaries and shareholders of the intended GROUP. Then, getting the GROUP is achievable.
8. CHANGE IN THE COMPANY STRUCTURE
My company made some changes in the structure of the company whether recently or before now and we would like to effect the changes in the bank. Do you know that you owe a fiduciary duty to firstly notify and file the changes within 14 days with the CAC? Default will attract fines and penalties. Always keep your company safe from liabilities.

9. VALUED ADDED TAX (VAT)
My registered business name has commenced operation on or before 6 months ago and I don’t know I am meant to be filing VAT (Value Added Tax) monthly. Ignorantia Juris Non Excusat (Ignorance of the law is not an excuse). It is meant to be filed on or before 21st of every month. Do this and avoid any penalty or liability from the FIRS.

10. USING NGO TO DO BUSINESS
I registered a Limited by Guarantee or an Incorporated Trustees (Club, Church, Mosque, Association, Initiative, Foundation etc.) and I have running business services or goods with it, and I have been making profit from it, though I have been using majority of the proceeds to further the objectives of the NGO. Desist from such acts, it is called ultra-vires. You are not meant to run a business with an NGO, unless you want it to be taxable and an IT isn’t a profit-making machine. Continuity will attract penalties, fines and soil the integrity of the entity.
