PRICING; PRICE PER MT is N118 GROSS PER LITER; N116 NET to Seller, and N2 COMMISSIONS for intermediaries brokers/agents

PROCEDURE A:

1). Seller and Buyer sign with official company seal SPA / NCNDA / IMFPA exchanged by electronic mail. The electronic signed copy of SPA by both parties are accepted as legally binding and enforceable. Hardcopy(ies) of the signed SPA in PDF format are deposited with their respective bank by Seller and Buyer.

2). Buyer returns signed SPA with complete valid receiving vessel details including Q88, CPA, ATL, as well as ATB format, and inspectors and/or supercargo details. Buyer's bank sends non-disclaimer BCL directly to Seller's account officer, bank-to-bank.

3). Upon confirmation of Buyer's BCL and vessel details, Seller gives Buyer Marine ATB between 24 - 48 hours for physical confirmation of product and to conduct Q & Q. Seller boards Buyer's inspectors and/or supercargo at Seller's expense. Seller also gives Buyer P-POP.

4). Within 24 hours upon product confirmation and Q & Q, Buyer's bank issues Bank Guaranty (BG) to Seller's bank in favour of Seller covering price of total product quantity to be transshipped and including broker commissions.

5). Buyer's vessel longsides with Seller's vessel and transshipment commences. Buyer's bank release full payment to Seller's bank via swift transfer into seller's account, and all broker commissions paid as transshipment is completed

6). Upon payment confirmation by Seller's bank for Seller and intermediary agents, Seller releases the complete cargo documents to Buyer and Buyer's vessel is allowed to sail to POD.




PROCEDURE B:

1). Seller and Buyer sign with official company seal SPA / NCNDA / IMFPA exchanged by electronic mail. The electronic signed copy of SPA by both parties are accepted as legally binding and enforceable. Hardcopy(ies) of the signed SPA in PDF format are deposited with their respective bank by Seller and Buyer.

2). Buyer returns signed SPA with complete valid receiving vessel details including Q88, CPA, ATL, as well as NOR format, and inspectors and/or supercargo details

3). Buyer boards Seller's supercargo to confirm Buyer's vessel. Upon boarding of Seller's supercargo, Seller issues NOR to Buyer's vessel

4). Buyer's vessel longsides with Seller's vessel, and within 24 hours Buyer's bank issues Bank Guaranty (BG) to Seller's bank in favour of Seller covering price of total product quantity to be transshipped and including broker commissions.

5). Buyer inspectors conduct Q&Q and transshipment commences. Buyer's bank release full payment to Seller's bank via swift transfer into seller's account, and all broker commissions paid as transshipment is completed

6). Upon payment confirmation by Seller's bank for Seller and intermediary agents, Seller releases the complete cargo documents to Buyer and Buyer's vessel is allowed to sail to POD.
