FOR CRUDE VESSEL NEARBY CHINA DESTINATION PORT
1. Seller provides draft SPA with PPOP to buyer for comments.
1) ATS issued by NNPC
2) Allocation Certificate relate to the offering cargo
3) Certificate of Authenticity of above documents issued by NNPC
4) Seller’s Track Record: SGS certificates from the past shipments
2. Buyer reply with the signed SPA and for the seller sign and return.
CECEC will sign as the co-seller in the SPA.
3. Seller sign the SPA and return to the buyer via email and the hard copy send by post and for the buyer to sign and return.
4. Within 5 banking days after the parties signed the SPA, Seller bank issue 2% non-operative PB to buyer bank and email copy for buyer’s information;
5. Within 5 banking days upon receipt the seller’s 2% non-operative PB, Buyer bank issue irrevocable letter of Credit to activate the seller’s 2% PB.
Vessel starts sailing.
6. Within 5 days after receipt the buyer’s LC, the vessel’s NOR & ETA plus Vessel’s contact details shall be send by the vessel captain to the buyer and the buyer’s Freight forwarding via email to build up correspondence network.
1) 20 days before the vessel's arrival at the destination port, the vessel captain shall provide the buyer and buyer’s freight forwarding agent with real-time information of the vessel per each 72 hours;
2) 5 days before the vessel arrivals at the destination port, the vessel captain shall updated the buyer parties with real-time information of the vessel per each 10 hours
3) 3 days before the vessel arrivals at the destination port, the vessel captain shall updated the buyer parties with real-time information of the vessel per each 5 hours
7. Within 48 hours before the vessel arrival the discharge port, the buyer’s Freight forwarding shall send the ATB template with the name list of the buyer’s inspect group to the vessel captain via email;
8. Within 8 hours after receipt the buyer’s name list of the inspect group, seller’s vessel master signs the ATB and send to the buyer’s Freight forwarding via email;
9. Within 12 hours after receipt the seller’s ATB, buyer’s Freight forwarding arranges the inspect group to go on board to start sampling and while issue the certificate of quality;
10. Parties discuss and fix the unit price after the Q&Q meeting that the first date of the CIQ on board date will be used to calculate as one day before and one day after to set the market price and further for final payment price calculation;
11. Within 8 hours after the positive results of the on board inspection by means of the receipt of the CIQ’s test certificate, buyer’s Freight forwarding arrange the seller’s vessel berthing to the discharge quay; and CIQ set the flowmeter at the discharge pipe to statistical the unloading quantity;
12. Within 12 hours after the discharge activity, the buyer’s Freight forwarding arrange CIQ inspection group for complete the on shore tank farm testing sampling for double check the discharged crude’s quality and quantity;
13. Within 3-5 working days after the tank farm sampling date, CIQ issues the quality and quantity certificates. The quantity which calculated by flowmeter statistical during the discharge will be settled as the final unloading quantity;
14. The buyer will send the CIQ inspection reports to the seller to confirm the quality and quantity settlement; the seller in accordance with the CIQ issued quality and quantity certificate to issue the commercial invoice, and the invoice shall send by the seller to the buyer, and to seller’s bank and the seller’s bank then SWIFT to the buyer bank;
15. The seller will complete one (1) original and two (2) copies of the shipping documents as listed in the signed SPA to buyer by courier, in which the title documents shall be control and exchange via seller’s bank after the completion of the final payment.
16. Within 5 working days after receipt the SPA listed seller’s shipping documents, The buyer transform the payment to the paymaster bank (CECEC) and the pay master makes transaction according to the seller’s invoice to the seller’s bank via TT/ SWIFT.
(the other option is the seller make a JV bank account together with CECEC to operate the final payment transaction)
17. After receipt the final payment, the title documents should be transformed from the seller to the buyer under the banks arrangements.
18. Deal closed.

1. Clean Ocean Bill of landing, with Buyer’s Name signed by the Master of the Vessel
2. Seller's commercial Invoice with copies of Q&Q at discharging port and turnout barrels
3. SGS/Saybolt certificate of Quality and Quantity issued at the loading port
4. Certificate of Origin issued by NNPC
5. Certificate of Authenticity issued by NNPC
6. Master's Receipt for samples
7. Master's receipt for documents
8. Cargo Manifest
9. Cleanness report at loading port and Lines B Charter Party Agreement.
10. Authority To Sell (ATS) from NNPC
11. Tanker Ullage Report;
12. 110% insurance policy covers the payment for goods and freight
