REGISTRATION OF GROUP OF COMPANIES IN NIGERIA

Here’s everything you need to know when registering a group of companies in Nigeria with the Corporate Affairs Commission.

The only appropriate entity for a group is a Private Limited Company (LTD) Business names can not form a group of companies.

A group must have a minimum of 3 companies under its umbrella. This means, you’ll have to register at least 3 companies before you can register your group.

A group’s name must contain the word “group”.

You need express consent from the Registrar General of CAC to reserve a group name. The application and logistics costs 20,000 naira.

The subsidiaries must consent to be form into Group via their respective Board resolutions which must be filed at CAC.

There is no minimum share capital for registering a group of companies.

However, the share capital for the group must be greater than the share capital of its largest subsidiary .
