[03/05 15:50] Gideon Ayo Obitunwase: ...Continuation of Our Discussion

The *purpose of a quorum rule* is to give decisions made by a quorum *enough authority* to allow binding action to be conducted.

a *quorum* consists of *a simple majority* of members.
I.e 2/3

*Quorum*
A *majority of an entire body*; e.g., a quorum of a legislative assembly
*majority*
/məˈdʒɒrɪti/
noun
1.
*the greater number*body*
[03/05 15:52] Gideon Ayo Obitunwase: So *those That align with 2/3*
Are proven to be very Correct
[03/05 15:56] Gideon Ayo Obitunwase: But Then
In our Situation of say 18 members and the way we struggle to even get 5 members to start a meeting *but 2/3 required will be around 12* or we stand the meeting down. .
*Does the Above 2/3 work for Us?*

It will be difficult
And may frustrate those willing to be regular during the meeting
[03/05 16:01] Gideon Ayo Obitunwase: *An Association has the right to determine Their own Majority rule*

A *Majority* is required to constitute a quorum, *unless the law expressly directs that another number* may make one;

*Any number who may be present may act* *the majority of those present having, as in other cases, the right to act*. 7 Cowen, 402; 9 B. & C. 648; Ang. on Corp. 28.1.
[03/05 16:06] Gideon Ayo Obitunwase: So finally
To make things work
We are At Liberty
*We shall Determine Our own Quorum*
based on what is obtainable
This again shall be put to either 1/3rd or 2/3rd
[03/05 17:30] Gideon Ayo Obitunwase: Our focus is first
*A quorum needed to commence a meeting (online and Physical) given our present circumstance shall be decided by us presumably (1/3rd)*

However

*A Quorum (within those present at such meeting Shall remain 2/3rd* to form A valid decision that represents the majority's consent..
[03/05 17:32] +234 803 327 5656: 1/3 can form a quorum, but a quorum is not fixed at 1/3.
It determined by the Constitution of an association.
[03/05 17:46] +234 803 327 5656: At 18 members,6(1/3) members forms a quorum,the decision of 4 members (2/3) shall be binding.
[03/05 18:03] Gideon Ayo Obitunwase: Correct
(if our *Total Members are 18*)
a *Minimum of 6* 1/3 shall be at liberty to commence a meeting
And
*a Minimum of four within the 6, (2/3)* shall be eligible to take a Valid decision for the majority members

*Although it shall vary

*What if other members join later let's say another six joined making the total meeting attendance to12?

*The quorum automatically changes to a new* minimum of 8
[03/05 18:08] +234 803 327 5656: If they joined the meeting during deliberations but decision not taken yet, they will form part of the decision making fraction which shall be 2/3 of 12 .....dats 8
[03/05 18:09] +234 803 327 5656: But if decisions are already taken b4 dey joined d meeting, such decision stands .
[03/05 18:11] +234 803 327 5656: They will however join in decision making of any other issue(s) within the same meeting.
[03/05 20:36] Gideon Ayo Obitunwase: Let's indicate yes ✋ if we agree or No if we don't agree below

Our focus is first
*A quorum needed to commence a meeting (online and Physical) given our present circumstance shall be decided by us presumably (1/3rd)*

However

*A Quorum (within those present at such meeting Shall remain 2/3rd* to form A valid decision that represents the majority's consent..

You must be gullible to believe that Ganduje was scammed by Victor Mbarika.

Ganduje who's on US visa ban conspired with Victor Mbarika to forge the letter so as to launder his corrupt political image.

Ganduje is not that stupid to be scammed just like that. A man who was able to stuff millions of dollars in his babaringa without any remorse.
