Most Non-governmental organisations (NGOs) have to rely on grants and donations from fundraising because Non-governmental organisations (NGOs) usually serve sections of the community that could not afford to pay the full cost of the service. NGOs do not usually choose their target groups according to who can pay for the service, but according to who needs the service most. |

(1) Where two or more trustees are appointed by any community of persons bound together by custom, religion, kinship or nationality or by anybody or association of persons established for any religious, educational, literary, scientific, social, development, cultural, sporting or charitable purpose, they may, if so authorised by the community, body or association (in this Act referred to as “the association”) apply to the Commission in the manner provided for registration under this Act as a corporate body. (2) Upon being so registered by the Commission, the trustees shall become a corporate body in accordance with the provisions of section 830 of this Part. The Commission shall determine the classification of associations to be registered under this Part in accordance with the aims and objects of the association. |

To register an NGO, one need to follow laid down process. It's registration is peculiar in that it can only be done under Part A of the Companies and Allied Matters Act as a company limited by guarantee or by Part C of the Company and Allied Matters Act as Incorporated Trustees. |

Capacity of Individual to form a Company No. 3 Companies and Allied Matters Act, 2020 20.—(1) Subject to subsection (2), an individual shall not join in the formation of a company under this Act if he is— (a) less than 18 years of age ; (b) of unsound mind and has been so found by a court in Nigeria or elsewhere ; (c) an undischarged bankrupt ; or (d) disqualified under sections 281 and 283 of this Act from being a director of a company. (2) A person shall not be disqualified under subsection (1) (a), if two other persons not disqualified under that subsection have subscribed to the memorandum. (3) A corporate body in liquidation shall not join in the formation of a company under this Act. (4) Subject to the provisions of any enactment regulating the rights and capacity of aliens to undertake or participate in trade or business, an alien or a foreign company may join in forming a company. |

Step 1 The first step is to obtain the consent of the Registrar General of the CAC for the proposed name of the NGO. You should write down 3 suggested names in a piece of paper and submit accordingly, and 2 alternatives in case the primary name is not available. Afterwards, you will do a name reservation request on the CAC portal as normal. |

MEETINGS AND PROCEEDINGS OF COMPANIES (1) Every public company shall, within a period of six months from the date of its incorporation, hold a general meeting of the members of the company (in this Act referred to as “the statutory meeting”). Now, say there is another NGO that does the same thing. Yes, that happens. Sometimes another person, somewhere, is thinking the exact same thing you are thinking. Or maybe they just overheard you in a beer parlour or hair salon talking about your interests and decided to copy you. You must not corporate in this regard. I know sometimes donors will require coalitions on some issues. In those instances, endure it. Join the coalition for the purpose of accessing funds and looking good. But when it comes to your day to day work, ignore the rival NGO. Nothing good can come from sharing ideas or working together. People just want to steal your ideas and get all the money from donors. |
