Your argument does not hold water. The board of directors is very crucial to the success of any organization. It is like you are saying that the minister is irrelevant in any ministry and it is the core civil servants that are important. The board of directors initiate policies, approve and award contracts. The management staff (MD and directors) see to the day of running of the organization.
