1. Seller issues a Draft Sales and Purchase contract for Buyer to peruse, amend if necessary, sign, seal and return to Buyer for countersignature

2. Contract is exchanged by Electronic Data Transmission (EDT) e-mail. The electronically transmitted copy, signed by both parties shall be considered legally binding and enforceable.

3. Buyer and Seller lodge contracts with their respective banks, Seller provides Export Clearance permit as POP inclusive of ATS, for spot deal with possible roll over and extensions.

4. Buyer’s bank issue a Bank Commitment Letter –BCL in seller’s funder’s format as attach in appendix ”A” from one of 25 top most bank of the world, the BCL should be scan and send via the issuing bank’s email to Seller’s bank email and copy seller’s ) simultaneously to enable seller’s funder do confirmation and fund the transaction for the seller for movement to buyer’s nominated port for inspection by sgs for Q&Q. All documents mentioned in DOCUMENT CLAUSE on this contract shall be made in buyer’s nominated name as beneficiary in electronic form including certificate of ownership which original will be final payment.

5) After physical confirmation by buyer in Ghana waters by SGS, full payment is made.

6) On confirmation of payment by seller vessel master is required to discharge onto buyer’s nominated storage tank or a letter from NNPC Abuja would be obtain for buyer to do charter with vessel owner in order for vessel to go to buyer POD.

7) Vessel sail safely out of discharge point after submit OF ALL HARD COPIES AFTER FULL PAYMENT.

UNTIL CHARTER IS MADE BY BUYER WITH VESSEL OWNERS AFTER INSPECTION BY SGS AT GHANA AND AFTER NNPC DO INTRODUCTORY LETTER TO VESSEL OWNERS IFO BUYER OR REGISTRATION OF ALL DOCUMENTS IN BUYER’S NAME IS MADE NO CALL TO OWNERS BY BUYER OR ANYONE IN THIS TRANSACTION IS REQUIRED OTHERWISE SUCH ACTION(S) WOULD BE CONSIDERED AS BREACH OF THE CONTRACT
