Section 2: Procedure
 

1. Buyer’s Consultant and Buyer sign and return the MOU with Buyer’s vessel details, Proof of funds (LPO, BG, etc) and Paymaster Contacts.
 

2. Buyer sends an inspector to Seller’s depot to confirm the availability of the product (Not compulsory)
3. Seller’s vessel sails to meet Buyer’s vessel at a nautical point towards Lagos outside bar for transshipment as agreed by the two captains.  
 

4. Buyer’s Inspector comes on board for Q&Q inspection, confirms the product and notifies Buyer’s Paymaster and Bank to effect payment immediately and simultaneously to all beneficiaries.  
 

5. Payment is confirmed and Buyer’s Vessel is cleared and allowed to sail away with the Product   
 

Section 3: Payment term

2.1 After Q&Q inspection, the Buyer’s Paymaster shall immediately and simultaneously pay the Seller

N103 per Litre as net cost, Seller’s Consultant/Facilitator

ON BOARD THE LOADED VESSEL THERE IS NO ANY UP FRONT PAYMENT UNTIL
AFTER Q AND Q

PLEASE IF YOU HAVE A SERIOUS BUYER SEND YOUR ATB FORMAT INSPECTORS AND
SUPER CARGO INFORMATION AND TUG BOAT INFORMATION SO THAT THE SELLER
CAN REASSIGN MARINE ATB IN TH BUYER NAME TO ENABLE THEM GET ON BOARD
THE LOADED VESSEL.THE FIRST BUYER FAILED TO PERFORM BECAUSE THEY
WANTED A NAIRA DEAL THIS IS A DOLLAR DEAL

PROCEDURE:  N119 + N2 (HERE THERE MUST BE VALID VESSEL DETAIL BEFORE BOARDING)1.    The Buyer and the Seller sign the contract agreement listing terms and conditions of transaction and indicating buyer and seller banking coordinates.2.    Buyer will give the seller his valid vessel details and authority to load.3. Sellers Captain issues Marine NOR to buyers vessel and long side for STS operation.3.    Buyer shall release BG for  the full product after confirmation of Marine NOR  on his vessel by his captain and buyers supercargo5. Transshipment is done at the cost of the buyer who provides authorized hose and fenders for operations.6. Seller provides Buyer with DC&MR for the cargo at the expense of the Buyer.7. Buyers inspectors conduct Q+Q on the buyers vessel and Q&Q report is given to both parties.8. The BG will crystalize into cash and Payment is made for cargo and broker s commissions to the designated accounts in the contract.9. Above process is repeated for next transaction, till contract concluded

Electronic signed copies are legally binding and accepted between parties.2.    Buyer raise a managers cheque /Bank draft of N10,000 000 in favour of the seller and release his ATB FORMAT and Inspectors Id.3.    Seller Authorize the captain of the Loaded Vessel to release marine ATB to seller supercargo and inspector for Q&Q Analysis.4.    Seller cash the N10,000,000 managers cheque/bank draft upon confirmation of product by the buyers supercargo and is part of the payment for the product.5.    Buyer place FULL BG and Transhipment takes place6.    Seller releases cargo document {DC&MR} and Q&Q report to Buyer for payments by MT 103 or Wire transfer within 24hrs.7.    Buyer forfeits his ten Million naira if he fails to make payment after confirmation of product by his supercargo within 48 hrs.

1. Buyer and seller sign and seal this contract and exchange the
signed copy by electronic mail. The electronic signed copy by both
parties is considered legally binding and enforceable.
2. Buyer returns signed SPA with valid vessels details- CPA, Q88, ATL
, CHARTER RECEIPT,ATB FORMAT , SUPER CARGO INTERNATIONAL PASSPORT
SCANNED COPY and Tugboat details. (Vessel charterer should be the
buyer & should be the one to sign the SPA).
3. Seller Verifies and confirms vessel documents and takes buyer’s
super cargo/ Inspector on board seller’s loaded vessel at buyer’s
expense for physical confirmation of product. Immediately buyer’s
inspector confirms product and disembarks from the loaded vessel with
the sample cans, buyer pays N1.2Million boarding fee and provides
N3.8Million logistics money deductable at source. Seller board buyer’s
inspector and supercargo, Inspector takes samples while supercargo
remains on board.

4. Seller’s loaded vessel Captain open communication with Buyer’s
receiving vessel directing buyer’s vessel to longside with her at 40
nautical miles offshore badagry/Cotonou Waters or agreed location for
both vessel’s captains.
5. Upon both vessels longsiding, Seller’s loaded vessel Captain
transship product into buyer’s receiving vessel, upon transshipment
into buyer’s receiving vessel, Buyer board his Inspector/Supercargo
and Seller’s Supercargo to conduct Q&Q inspection on board Buyer’s
loaded vessel. Buyer/ Buyer’s bank confirms transshipment and transfer
50% cash payment for the total cargo value by swift/KTT wire
transfer to seller’s bank and to all the other beneficiaries
nominated accounts as per the SPA.
6. Seller/ Seller’s bank confirms 50% cash payment and upon Q & Q
inspection test report analysis, Seller forward Cargo Documents,
Commercial Invoices and Waybills to Buyer/ Buyer’s Bank. Buyer/
Buyer’s bank confirms transshipment, Q&Q test report analysis, Cargo
Documents, Waybills and Commercial Invoices and within 24hrs makes
balance 50% cash payment by swift wire transfer to seller’s account
and all the other beneficiaries nominated account as stated in the
SPA. All cargo documents are forwarded to Buyer’s Bank.
7. Seller’s Bank confirms 100% full payment to all the accounts.
8. Buyer’s Vessel is allowed to sail to buyers discharge port.

4.Upon this, seller gives MATB/NOR and boards the buyer’s supercargo
and inspectors.
5.Upon confirmation of product buyer places instrument on total cargo.
6.Seller releases all cargo documents (POP as listed in 15 below)
7.Buyer pays the seller and all agents/intermediaries /facilitators
as detailed in the spa SIMULTANEOUSLY
8.SELLERS SHUTTLE VESSEL loads BUYERS vessel.

1.The Buyer and Seller signs SPA AND EXCHANGE COPIES. Buyer returns
signed spa with ATB Format, supercargo/inspectors details.
2.Seller boards buyers supercargo/inspectors to confirm product and conduct QnQ
3.Buyer places instrument on the entire cargo and re-charter vessel
4.After QnQ result buyer releases payment to seller and all agents
and facilitators involved in the transaction as listed in this SPA
document signed
5.Seller releases all cargo documents (pop as listed in 15 below)
6.Vessel sails to destination.
