DIRECTORS VERSUS SHAREHOLDERS Today, I would like to explain the difference between a Director and a Shareholder because a lot of people still get confused about this. SHAREHOLDERS ARE THE OWNERS OF A COMPANY by virtue of the shares they own. They are regarded as members or subscribers. A shareholder who owns at least 5% of the company shares can also be a Person with Significant Control (PSC). A Shareholder can be a Director, but it is not compulsory. I registered a company a few months ago where there were 4 Shareholders but only 2 Directors. Directors are appointed to manage and oversee the affairs of the company. They don't necessarily have to own shares. For example, Mr A can be a Director of SUBSIDY REMOVAL LIMITED without owning any shares in the company. I also registered a company where the client wanted his elder brother to be part of the company. We agreed that the elder brother should come in as a Director without owning any shares. So, the company had 2 Directors but only 1 Shareholder. My client remained the owner, while his elder brother was involved in managing the company as a Director. This is perfectly legal. So, someone can be a Director without being a Shareholder, and someone can also be a SHAREHOLDER WITHOUT BEING A DIRECTOR. Another important thing to note is that a minor can be a Shareholder, but a minor cannot be a Director. When registering a company with CAC, one person can be the SOLE SHAREHOLDER and SOLE DIRECTOR For example, Atiku can register his company and be the sole Shareholder and sole Director. Later, he can decide to bring in more Shareholders or Directors. That can be done as a POST INCORPORATION SERVICE. The easiest way to understand it is: Shareholders own the company. Directors manage the company. Sometimes, they are the same people. Sometimes, they are not. |
