mercylicious: From d 2012 fin report, IEI plc invested 1.7b in iei investment . iei investment owns /owned 15% of heritage ( as at d date of dt report) .

What is not know is if iei investment is solely owned by iei plc or owns a % of the investment arm n what percentage of the 15% is owned by iei plc
They called the iei investment a special purpose vehicle to their investment in heritage.
omaojo1: Madam, first of all, if there was an immediate kill to be made, IEI shares would have flown north with all guns blazing.
An SPV is the owner of Heritage bank and they own 80%, Saraki 9% and others 11%. The investment of IEI Plc in the vehicle is 1.7bn naira. The Net Assets of the bank as at the time of this acquisition was 10bn naira with Total assets standing at about 31bn naira. So IEI Plc owns 17% of the bank or 21.25% of the SPV's investment in the bank.
The unknown element here is who the promoters of this SPV is. How they are going to raise the 56bn naira consideration for this transaction is a question that is still begging for answer.

paulcube: .... but the difference between the COP deal and this one...please correct me if I am wrong...

Oando is a publicly listed & traded company, while Heritage bank is not. We also know the financiers of the COP deal.
This is what you were saying in the above: Heritage Bank is not publicly traded so why do you need to know who their financiers are, after all we can't trade their shares.

And i told you this:

omaojo1: Did you read where Mercy is taking a position in IEI Plc because of this acquisition. Oh, you mean Yahoo shareholders should not bother about what is happening in Alibaba because it is a privately held company right?
Investors in IEI Plc shold be concerned of what is happening in Heritage.

paulcube: 2. For the COP deal, due to the various financial engineering involved in the acquisition, I will not doubt it is 50% debt and 50% equity. Nobody can!
I am doubting it, and convicingly so.

paulcube: 2. For the COP deal, due to the various financial engineering involved in the acquisition, I will not doubt it is 50% debt and 50% equity. Nobody can! All I can say is that we know the guys that provided the debt component to the transaction, and the full facts will come out when their audited 2014 results are released or when they come to the market for rights issue. We won't find anything tangible in the audited 2013 result.
The COP transaction is captured in their '13 result and nothing tangible will be found? Where is the transparency in being listed then:
paulcube: Fidelity definitely bid less, and because they are listed, they will be a lot more transparent.
Pls we are jut trying to learn and don't take it personal.

Whenever Heritage banks comes to the market or for listing, they will have to make everything plain for us all to understand before we buy into the bank.

For this particular transaction, I am least bothered because the truth will be revealed with time....If the guys cannot pay, Fidelity definitely bid less, and because they are listed, they will be a lot more transparent.
Did you read where Mercy is taking a position in IEI Plc because of this acquisition. Oh, you mean Yahoo shareholders should not bother about what is happening in Alibaba because it is a privately held company right?

Who are the financiers of the COP deal? WT said its 50% debt, and 50% equity. Please tell me your own version.

Plus, Fidelity is not the reserved bidder because their bid price is less. The overall interest of the industry was considered to reach that decision and not necessarily cash.
InvestmentRe: Nigerian Stock Exchange Market Pick Alerts by omaojo1: 7:36pm On Sep 13, 2014
paulcube: Very true.... but do you bid without knowing where to get the cash??
We need to know those bringing in the cash. We don't want some unknown guys to provide the funds and leave the unsuspecting investors wailing. A case in point is the recent acquisition of COP that the financiers are still not known to the average investor.

Don't tell me you are a believer in that 50% debt 50% equity theory being sold to the ignorant folks on the street.

i asked google the business of Heritage bank and their owners(not directors). Some news papers said iei is d major shareholder while d said family has 10%.. Others said IEI has 10 % same as the BUKOLA family.

Mpeace: I'm begining to understand myjoy08's believe in oando, and I now see some sense in the believe that they may post a very impressive result(whenever they decide to) and even pay dividends. I just did a personal analysis of the whole COP deal, and my conclusion is that the whole sum spent in the purchase would not reflect in the profit and loss analysis. They may only appear in the liabilities column, and almost every company on the exchange do have liabilities(large or small). For instance, the sum borrowed from several financial institutions by FO and Transcorp to finance their power sector acquisitions did not reflect as losses in their results. Although there are outstanding payments to be made on the COP deal, the proceeds of the acquired company's buisness may just be used to defray the outstanding sum while that of the rights issue would go to the settlement of liabilities to financial institutions. I also think that the delays in releasing the result and the whole hide and seek game are justa n attemt at making investors to sell in frustration, while WT and friends mop up and accumulate more shares. Just an opinion(I might be wrong).
This post only shows how ignorant you are when it comes to understanding the basics of a Balance Sheet and Income Statement. Keep living in fantasy island.

Dexterax: Omaojo hehehe...

Here's what a former Alibaba employee had to say about his alma mater:

"Alibaba is not a group of civilized gentlemen, or men who nicely play by the rules..."

"They are reckless with ambition, they are radical and aggressive. Everyone walks out of a meeting room beet-red from shouting, that's how we held meetings - our voices raised. Its very intense."
Show me one 'gentlemanly' governed enterprise and I'll show you a million corporation governed by uncivilized men. Same was/is said of Steve Jobs, Dangote, Alex Fergusson, Adenuga, Rupert Murdoch, and so on.

Plus, that has not stopped Yahoo, Softbank, Fidelity and GS from the kill they made. It is the money making opportunity we are looking at mehn......

Yahoo is still dazzled seeing the shares it holds exceed its own mkt value.

kotlass: @Omaojo1 and @Passwelle; In developed markets/economies, it is a life-changing opportunity to be able to identify promising startups before they become a behemoth like Alibaba. Imagine investors who put down the seed capital for Alibaba and the likes. I wish I could adopt this investment strategy.
True that. If we search very well, there are opportunities in this our very own land that could produce a continental giant if not a global one like 'BABA'. The strong reason why Yahoo shares has more than doubled in the last two years is because of its stake in 'BABA'. Now imagine what 'BABA' itself will become when listed.

IPO already fully subscribed by the Fidelitys, the Vanguards of the world and the hedge funds. It is not just the largest IPO ever, but also likely to be the mostly out of the reach for most of the retail investors, at least initially.

who is the market maker for Cadbury? they have to go and learn well o!grin
Yes, the market makers can actually close it at levels pre-agreed but that is not the case with this one. It is one firm that is in VI, that has the name of the street where the full elephant turned half is headquartered, as a name that does the bidding of AIG.

Activities here normally runs with Wapic-'volumewise' but Access is needed to achieve an end at the moment hence the continuous price rigging.

Passwelle, thanks for consistently watching this. FCMB also does something similar albeit, in a less pronounced manner.

40% shares of the coy will be allotted to TCGL for atleast 75 kobo.

If the above is approved, a five year off take agreement will come in to effect where TCGL will buy 20,000 mt of FTN's processed or raw cocoa. Cosidering the fact that the installed capacity for FTN is 20,000 mt, the coy has a guaranteed mkt for its product in the next five yrs.

The consideration for the allotment is atleast 1.1bn naira and will come in form of in-kind services, factory upgrades, provision of equipment, technical and sales support.

The projected PBT for 2015 1.8bn naira.

On seeing such news, I wonder why the investors just did not bother to mop up the shares of the company that have been on offer since March at 50k to start with. I guess they would rather just pay 75k for each share. There is this story about the servant of a man who sold monkeys to villagers and told them his boss will be back shortly to buy them back ....

We don't need Draghi to tell us he just started a QE before we know it.

Plus the submission that Africa is going to benefit is academic and lacks practical substance. The stoppage of QE, not the beginning of it, is what causes panic in frontier and emerging markets.

The events that activated the risk on mode in global equities market in 2012 are; the announcement of QE infinity by the Fed in September 2012, Mario Draghi's 'the ECB will do whatever it takes' comment in July 2012, and the victory of Abe, a pro QE leader in the Japnese election of Dec 2012. Confidence returned to the major economies and hence, the world.

The benefit to us for now is that the Euro zone will not cause any panic in the global equities market that will spiral in to another crash. Think confidence in the market.
