A client recently asked me, if I have a company with a particular trade/service name and someone else have that same name as a trademark, who have more right of action to sue for an infringement?
A registered company have it own benefits but where there is an infringement as per a brand name, the Trademark Act is the authority for guidance and not CAMA. The reality about corporate and company registration in Nigeria is that there are laws that guide its affair. There are the CAMA 2020 and Company Regulations of 2021. The nature of the business you are into will always determine the kind of registration you can undergo, businesses such as education will need a limited company, a security company will need a limited company, a clearing and forwarding company will need a limited company, the list goes on and on. Thus, not all corporate registration can be made through business name registration.

Hello Bosses in the house, i made a mistake when I registered my company few month ago but the commencement date I wrote was 2020(it was a mistake) so now i was told in the Query to pay ₦150 daily starting from the commencement date till this year. Please who do I do.

In reality, the Act (CAMA) gives the CAC the power to impose additional charges as a penalty where an individual, firm, or corporation fails to register their proposed business name within 28 days. Now, the commencement date is very important, any mistake or intentional act in contravention of this provision of CAMA will make the CAC impose extra charges on the promoter. Before now, the CAC usually let it fly or just ignored it, but now, they are implementing it. So you will have to calculate the number of days in default and make the necessary payment due.
