Firstly, you can add individual proprietors, but this means that in the absent of a deed of partnership, you both share the profits and the losses of the business.

The same thing you will be doing, that is, signing, date & attaching passport picture to each proprietor column. The same thing apply to all other proprietors.

Remita can not be predicted or predetermined, it can choose to work effectively at any point & choose to malfunction as well. It all depend on the service provider of the platform.

As regards the use of general merchandise (the first thing is, what is general merchandise- this means general selling of goods and rendering of service) and general contracts (this means, to be able to enter into general agreement). Personally, you can use the two like that if you using the company (business name) for something general but if you have a precise or specified business, i strongly advise you use the precise name of the business and later add general contracts. Thanks.

What's the major difference between a business name and a limited liability?

BUSINESS NAME
Business Name is also called Sole Proprietorship. It is a form of registration use by individualsand partners who want to carry on businesses other than the use of their own names.

It affords them some measures of protection of their business name and also protects the public fromthe misleading and fraudulent use of such names. It can also embody a partnership business.

It is the cheapest and the simplest form of corporate registration. In this class of registration ‘Proprietor or Partner’ is used and not shareholders because it does not involve shares, it isnot a limited liability company because the partners or the sole owner are liable for profit andloss of the business.

Succession is limited only to partnership. It is suitable for artisans, accountants, lawyers etc. Enterprises, concept, Ventures, are mostly used for its suffixes.Proprietor membership ranges from 1-20.

Proprietor must be person of sound mind and must be more than 18years old. Proprietor must not be a fraudulent person.

A PRIVATE LIMITED COMPANY
Private Limited Company is formed by a minimum of two to a maximum of fifty people, who make financial contributions to the business and have limited liability. They are limited by the monetary value of the shares they hold. The private limited company does not offer its shares to the general public. This means that such shares cannot be traded on a public stock exchange such as the Nigerian Stock Exchange. Also, it does not make its accounts public nor publish audited reports in the dailies, but sends the reports to the registrar of companies as required by the law. This is important as sending it to the registrar confirms that it is not selling its shares to the public. The private limited company has more sources of capital compared to the sole proprietorship and partnership forms of business organizations. This is because it has a higher limit of fifty people who can co-own the business and make financial contributions, compared to the limit of twenty people in the partnership and one person in the sole proprietorship. These are the major features of the private limited company that mark it different from the Public Limited Company.

FEATURES

1. Sources of capital: Apart from financial contributions made by the shareholders, capital can be raised through contributions made by newly joined shareholders, loans and overdrafts from financial institutions, ploughed back profits/retained earnings and credit facilities from business’ suppliers.
2. A shareholder cannot transfer his shares to another shareholder or a third party without the approval of other shareholders.
3. The suffix ‘Limited’ (Ltd.) is added at the end as part of the name of a private limited company. For example, XYZ. Ltd.
4. The company is managed by a board of directors, alongside a managing director and chairman of the board, who are elected from among the shareholders.
5. Shareholders are only limited by the value of the shares they hold.
6. Shareholders jointly bear the business’ risks together.
7. As a separate legal entity (an imaginary person), the company can sue and be sued in its own name.
8. The company enjoys some privacy as its books of accounts are not made public.
9. The death or withdrawal of a shareholder does not bring the business to an end.
10. A greater number of shareholders mean a greater pool of knowledge, ideas, skills, abilities and expertise. This is an advantage to the private limited company compared to the sole proprietorship and the partnership.
11. Growth and expansion can be achieved since there are more sources of capital.
12. The starting up and running of a private limited company requires huge capital.

Hello.

Its been 3 good weeks since my business name registration was approved but my certificate is still not ready yet.

I noticed when looking through their records yesterday at their office that some people who had theirs approved same day as mine and even a day after have their certificates ready at the office.

It is obvious that they are favoring some people there at the abuja head office. Please if you or anyone can help me have mine ready, I will appreciate it.

This is not fair.

I doubt your claim that they are favoring one over the other, although I am not in Abuja presently but when next you go for despatch. Take the following steps:
1. Ask for the complain book and state your complaints.
2. As for the section or business name registry. Just go there and complain to one of the Alhaji(s) there. They will definitely help out.
3. Thank me later if this two steps work out.

I am not in Abuja. I am in delta and I chose delta as my pick up location.

That's why I say I suspect something unfair is going on at their abuja office because that's where they print out the certificates.

So I'm confuse. I thought the business registration is 5000 but I'm seeing 12k for everything including business name, business certificate and one other of 2k. Is this the normal rate?

Thanks in anticipation

I guess the problem should be with Asaba office then, as long as you have been registered online via your portal with BN or RC Number, with a mail sent via your attached email address. Then you just gave to politely ask questions from the CAC Registry in Asaba when next you go for pick up or despatch. There could be a mistake or an omission from either both CAC or you. Ask questions.

That’s abnormal, it is still N5000, this means you added one more certificate and one more CTC of application form.

The only staff I saw there told me there aren't enough materials to print out certificates.

I did everything as expected. I received an email and my business name can be found on their website.

The annoying thing is when I checked their register to find out if mine was ready, I found some business names that were approved same day as mine and a day after.

Those women are rude. If anyone knows a top official there, please help.

Four days to make it a month and no progress.

I will advise you go to the Office of the Head of Service in that particular office and go with a strong & bold outlook, let me share an experience, as an Accredited Agent i once assisted an individual client who started the application herself but got stuck, so she implored my service and i was to also assist her pick up the certificate, on getting to the Despatch section of CAC for collection, i found out that the CTC Bn 1 Form was slant, so i protested and i was told it was the Head of Business Name (Registry) that approved it, so nobody could question or ask for another. That day, so i courage-up to meet her in her office, she was like, that was the way you submitted it, i cannot do anything it about it. That got me angry in my spirit, so i started thinking of what to do, option 1: Go home and apply for CTC for a new company that was just registered or Option 2: fight it out in a respectable way with them.

NB: The fault was not from my end but from the client who claimed she used her phone to scan but i still owned up the challenge because i have made a promise to help her.

I saw down for some minutes, then i stood up and when to the head of Admin, she is like a big mum to me, she was like she cannot do anything, since it is not within their jurisdiction, she just gave me a hint, are not an Accredited Agent use your power and right. Then i went straight to the office of Head of Service there, met the secretary and i have had some encounters with him, since all Consent Code Application are submitted via his office.

Firstly, he reprimanded me but i courtesy-ly stood my ground that they (CAC) are the regulator and if i had erred or made a mistake, their responsibility is to correct me or address it (like query the application), so the man reasoned with me, so i was choir-in to meet the Head of Service, same argument and the Honourable Head stood up and went to the Business Name Department and that was the end of the story.

Lesson: Sometimes aside being angry, one need to respond constructively and not just react. So do the needful by thinking a solution around their office there. Thanks.

Thank you.

While I started gathering evidence for my next visit, I discovered something wrong with the email sent to me that I did not see before.

It had 'RC' and not 'BN' in front of the number sent.

I registered for a business name and not ltd or any of that.

How can this people make this kind of mistake? I was only queried on ID verification document upload which was rectified.

If I had made any other mistake, I would have been queried.

Why an RC number?

Is that what has caused this delay?

It just simply means that you should reduce the number of businesses inserted into the section of nature of business. One or two similar nature of businesses is okay.

Yes it is meant to be BN, but CAC just generally use the "RC" to classify all companies. But that is not the reason why you cannot get your certificate. It all about the PICKUP STATE you chose and you have to deal with them with wisdom.

Thank you.

I have collected my certificate after laying a complaint at their office.

Could you please give us guide lines on applying for a TIN and Vat number for business names?

I visited their office and filled the forms...
But I was told to get a stamp on the VAT form. I was wondering how that was a requirement for business names. I used to think its just Limited Liability Company and others.

Do I need to write an application letter with a letter head? Those officials were forming busy and complained of no network. So I left the filled forms there.
