What Are Annual Returns?

An annual return is not the profit your company made in a year, it is not a financial document,
but rather a yearly statement by an active registered business name or company which is
meant to keep CAC updated about the company’s activities, composition, and its financial position.

Advantages of filing Annual Returns

1. The Corporate Affairs Commission in September 2015 starts the delisting or stricking of many dormant registered companies due to not filing of their annual returns with the commission.

2. Helps to keep the company or entity’s name on the register at CAC. Failure to file annual returns is a signal that the company may not be in operation. As such it could be de-listed from the register.

3. The annual cost of the filing fee is not expensive but if not done the company risk the chance of its records being strike off.

4. If the filing annual returns is not done within the stipulated period, the company or business will not only pay the filing fee, but will incur additional fee as penalty for late filing of annual returns which is higher than the filing fee.

5. It saves time especially in the situation when a business or company need a post incorporation service and have to obtain document or process any other application at the CAC, the commission will not process any application by a registered entity unless the annual returns which been filed are up to date and penalties, if any, paid up.

With its establishment in 1990 by the Companies and Allied Matters Act during the regime of former military President Ibrahim Badamosi Babangida, the Corporate Affairs Commission (CAC) is now the first point of call for business owners who want to give their enterprise or limited liability company a legal backing, protection or identity.

I will tell you more about the practicable functions of Nigeria’s one of the most powerful agencies when it comes to business registration and filing of company annual returns.

The Origin of Corporate Affairs Commission(CAC):

There had been business registration in Nigeria even during the first republic. The body saddled with the responsibility at the time was called the "Company Registry".

It was first under the supervision of the Federal Ministry of Commerce and Tourism. But its ineffectiveness and lack of stability prompted the establishment of the Corporate Affairs Commission which is now of the agencies of the Ministry of Industry, Trade and Investment

The Act establishing the CAC says the headquarters shall be at the Federal Capital Territory (FCT), Abuja. Why? This is because then then military president Ibrahim Badamosi Babangida had already concluded plans to move the FCT from Lagos to Abuja at the time of the act creating the CAC.


Remember, the FCT moved from Lagos to Abuja on December 12, 1991, though the plan started in the 1980s.

The agency now has its permanent headquarters located at Plot 420, Tigris Crescent, Off Aguiyi Ironsi Street, Maitama, Abuja.

With all the above preamble, it’s important to completely dissect the functions of Nigeria’s agency that certifies the establishment and registration of business names in Nigeria.

This is to inform the general public that the Certificate of Registration No. IT 144918 issued inadvertently to the Trustees of OHANAEZE NDIGBO GENERAL ASSEMBLY has been withdrawn by the Corporate Affairs Commission.

The Trustees of the Association have been advised to return the said certificate to the Commission as same has been canceled. The conditions for the issuance of the certificate have not been fully fulfilled.

OPENING A BUSINESS BANK ACCOUNT IN NIGERIA

1. CERTIFICATES OF BUSINESS NAME REGISTRATION:

The first stage in this process, as stated above, is to
register a business name. I described how to register a
business name with the Business Corporate Affairs
Commission in an earlier post and in a video (CAC).
Assume you have registered your business name under
which you wish to open a bank account. After registering
your business name with CAC, you will be handed three
documents/certificates on your road to opening a
business bank account.

2. BANK VERIFICATION NUMBER (BVN):
Currently, in Nigeria, with a mandate on BVN (Bank
Verification Number), I will assume all bank account
owners should have, for the benefit of those opening an
account for the first time. BVN means Bank Verification
Number, which is a custom 11-digit personal number
issued to all bank account owners by their banking
institutions.

3. IDENTIFICATION TECHNIQUES:
To open this account, you must provide a form of identity,
as must your partners (if any). Identification documents,
such as your ID card, Voters Card, Driver’s License,
International passport, NIN certificate, etc.

4. PASSPORT PHOTOGRAPH:
You must have at least two coloured passport
photographs of yourself and your partner (if any) of any

5. TWO REFEREES:
