They can't win. It was an ex parte order. An ex parte order is one that is sought without the notifying the other party.

Many lawyers don't pay much attention to indemnity clauses in a contract. That is dangerous for their clients.

At University and law school, tutors spend may be 5 mins in total on Indemnities, and so lawyers start practicing not truly understanding its ramifications.

When you allow your client to promise before a court, to indemnify another party, that is doubly dangerous.

An indemnity is effectively an insurance/assurance and very close to a guarantee.

It should not be given lightly.

Once given, there are not many ways to get out of it.
