BusinessCorporate Legal Personality by elyonchee(op): 8:30am On Nov 25, 2020
A company is a body corporate, capable of suing or sue in it's name, has a perpetual succession and can own assets in it's names. Can borrow or lend in it's name. It's legal rights and obligations separates it from it's members such as shareholders and directors of the company.
A company enters into contracts in it's own name. For example Contract Agreement Between Abia State Government and Okay Services Limited.
You can see the company was able to enter into a contract with government in it's name.
This is one of the legal structures in a company, that makes it unique from a business name. A business name can't enter into a contract in it's name. Infact, it the sole proprietor or proprietors that enters into contracts. Business name is good, but company LTD is better.
But for now, if you can afford to register a business name please do.
For your company ltd, business name or incorporated trustee registration or any post incorporation stuffs. WhatsApp or call me on 08117409752.

Business character for me deals with those qualities clients/customers can attest to. Some businesses lack business character due to poor customer services or poor delivery services. While others have top notch services, that always attracted clients/customers.
Every business, always have an attraction magnet that connects their customers/clients to them or keep the clients. It only depends on how they roll it.

Being a start up does not mean you can't take steps, especially when it came to legal matters. You should always have a business legal adviser that can also act as tour regulatory compliance officer too. That way whenever you want to take any legal step, the lawyer can guide you.
For any incorporation stuff at CAC, you can WhatsApp me on 08117409752.
I am a CAC accredited agent/ Corporate Lawyer.

The amendment that was recently signed into law, favours small and medium businesses note Enterprise is not a company but a business name.
CAC also has their regulations and checklist. So they may need to adjust some of their rules, to accommodate them.
Note CAC checklist controls the daily activities of whatever business that goes on in CAC.
Even though you can now register a company with one director and one shareholder. You can also have one director, and add probably two or more investors as your shareholders. Since the new CAMA says minimum of one shareholder.
If you need assistance with CAC stuff which is not a free service, call 08117409752.

We have so many laws backing up cyber law and it is a growing niche in legal practice.
CareerRe: Is The Legal Profession As Lucrative As It Used To Be? by elyonchee(f): 11:38pm On Jul 18, 2020
Vianna:
In my opinion, I think it's no longer as lucrative as it used to be and it's a very sorry situation. A lot of lawyers roaming the streets, they are suffering. Some of the many problems are

1. Too many graduates, little job slots

2. Senior colleagues are not ready to give the younger ones a chance

Most lawyers are "charge and bail" . They roam the streets and advertise their services to potential clients and they don't even have a place to call office. Many of them loiter in court premises all day under the hot sun and await the arrival of the police, hoping that the police would bring some accused persons who do not have lawyers to defend them. The moment this happens, the lawyer would approach the accused (usually agberos, louts and unfortunate Nigerians who the police had decided to transfer his frustrations on. ) and offer his service either directly to the accused persons, or through his relatives or friends who followed him to court. After a certain meagre fee is paid. The lawyer will appear before the magistrate and orally apply for bail, which in most cases would be granted if the offence(s) is a bailable one.

Being a lawyer in today's Nigeria is overrated, studying in school for 5 years to become a lawyer is a waste of time. To me it's more meaningful if used as a part time job while you venture into business or entrepreneurship.
i am not charge and bail oo. Carve a niche under the legal profession and watch clients that need your services come to you. Don't wait for senior lawyers to employ you. Have a passion and interest. I am a business lawyer and i carved my niche covers incorporation and Regulatory compliance

FamilyRe: How Do You Cope If Married To Someone You Don't Love? by elyonchee(f): 2:57pm On Jul 07, 2020
ollins:
Let me cut the story short. Had a fling with this girl, along the line she got pregnant. You know all that talk of "if you could sleep with her, then you must marry her" "if you got her pregnant then you must marry her", Iooking back now, I wished I hadn't listened to all those voices.

I knew in my heart that I didn't love her, even she knew but the pressure from the family was too much, I had to marry her. On my marriage day I was practically crying within me.

Her character is just opposite of all I wanted in a woman, she's barely educated, loud and loquacious.

That's my cross I am carrying today, stuck in a loveless marriage.

The warmth and Romance is absent from our home, we have not had intimacy since beginning of the year till now, we just have no interest anymore in each other. We are just living together for the sake of our child.

My question now is how does one cope? Is this how I am going to live the rest of my life?
then file for a divorce and co-parent instead.

BusinessRe: Part A, Part B And Part C Of Cama by elyonchee(op): 8:10am On Jun 02, 2020
elyonchee:
Part A of the company allied matters Act 1990, deals with everything company. Part B deals with everything Business name and Part C deals with anything Incorporated Trustees.
Part A types
Private Company Limited by shares
Public Liability Company
Company with unlimited shares
Company Limited by guarantee.
You can only convert from private to public or unlimited or from public back to private.
For Part B which deals with everything that concerns Business Name.
Business Name divided into two
Sole Proprietorship
Legal Partnership
What falls under Business name
Ventures
Enterprise
Concepts
Services
Or for example Amagunwunye Catering
This is another example of business name.
A.A and Daughters another example of business names
Without LTD or plc
A holding or group company cannot fall under business name. A subsidiary cannot fall under business name. It falls under part A of CAMA.
Part C of CAMA also known as Incorporated Trustees.
Examples of IT are churches, NGO, associations such as Estate Association, Village associations or school associations, mosques, clubs like book clubs and not night clubs and societies or initiatives. The corporate affairs commission does not register cooperative Societies. It is your local government where the cooperative society is going to be located, that deals with that or you can contact an agent to guide you.
