Examples of IT are churches, NGO, associations such as Estate Association, Village associations or school associations, mosques, clubs like book clubs and not night clubs and societies or initiatives. The corporate affairs commission does not register cooperative Societies. It is your local government where the cooperative society is going to be located, that deals with that or you can contact an agent to guide you.

Dear all,

I really need an advice. I currently work with one of the Nigerian banks. My monthly take home is about 450k and quite good. My major problem right now is that I have just been transferred from a Branch at one end of Lagos to another end of Lagos. All efforts to convince my boss to deploy me to a closer branch has proved abortive.

Going to work daily right now is a very difficult especially during this raining season and covid 19th period. I spend roughly 3-4 hours on the road when going to work and back home.

I am currently raising my kids on my own right now and dont know how I would manage when school resumes. Before now I drop them off on my way to work in the morning and my friend picks them up to her house in the afternoon till I get back.

I currently have a savings of 2million and would love to start a biz( I dont know what kind) as am comptemplating resigning and start a biz instead so that I can have time for my kids and not die due to stress

Please i really need advice for you all.
Keep your job. Change your Children's school to your location inclusive of your accommodation. That way you will not feel anyhow. Also I am not convinced you may succeed for business at first try. You can also juggle business with work. Try businesses that has to do with graphic designer and white board explainer. Business that will make you work from home on weekends and after work. Then invest in genuine investments too for the kids.

Starting a business goes beyond Incorporation or registration. There are certain businesses, that requires licenses especially for those of you, that engage in oil and gas, telecomms, financial services and general contracts.
You have to comply to certain things, before you are awarded contracts. For instance, for Federal, States and some private and some international organizations, ensure bidders (companies), comply strictly to the requirements for the bid offers wish to bid for.
For instance, if you want to operate a LPG refill station, you have to obtain a DPR licence.
For general contracts
You have to obtain NSITF compliance certificate
PENCOM compliance certificate
ITF compliance certificate
For telecomms
You have to also apply for NITDA compliance certificate.
Also any foreign company, that wishes to start a business in Nigeria must incorporate the business by CAC and if not exempted by CAMA, must also apply for business permit, apply to Nigerian Investment Promotion Council also apply for capital importation certificate from it's bank in Nigeria.
Always consult a compliance officer, to help you keep in check with regulations.
Note also Incorporated trustees don't pay taxes.

My story is quite long, please run through with patience.

I married my wife about 11 years ago. By the way I am 46 years old. Before I married my wife, I was not doing well neither was my wife. She was working with a multinational company, earning an equivalent of N40,000. I had a small graphic design business after trying many times to find a good job. I looked for jobs and contracts without any respite. But At this this time, my wife's support was good and I did appreciate every bit of it. At lest we survived on the low...

As time went on, I got a job in one international corporate training company as a Statistics and Business Analysis Instructor, was earning about 90,000 naira. During the times before I got my job, we had accumulated debt and my new job provided us an opportunity to pay them up.

We decided we were going to save part of her salary every month for servicing the debt and save the rest for a rainy day. I was supposed to pay the rent and all other domestic bills, light, kids school fees etc.. Some time she helped with food/groceries. After sometime, she advised we move to a bigger apartment. We still had a daughter by then. I obliged and we did.

To cut the story short, after four years of working, the company folded up because of government policies and we were all laid off. This meant we had to prepare for the hard life ahead. It was hectic and devastating. Me being me, I took it with all sense of grace and hope things will be fine. But the more I thought about this the worse things got. One day out of curiosity I asked my wife if it would be nice to have another child and she advised it was not the best time. I understood and agreed. I then advised my wife if we could start a business and with some savings we had, maybe I could use it to enhance my former business, maybe things might be better this time. She did not show any interest. This time I discovered changes in my wife.

One day she asked me if she could use part of them money to do a course, honestly I was shocked but asked why she did not oblige to my own request. She said "its my money I can use it for whatever I want". My wife however did the course.

To cut the story short, 3 years down the line, my wife stopped having sex with me and this continued for a long time. I became like "shit in her eyes". I lost a bit of confidence though. she would wake me with insults and barrage of dirty words. Because of our child, I agreed to stay a home and try to work online and seek clients and jobs from old client. It was not bad but not promising.

Fortunately for us, my wife got a promotion and her salary was increased to about 170,000. This actually brought out the worst in my wife. Her calmness disappeared and all decorum was buried. We would quarrel everyday and not talk for weeks. She became really mean and controlled everything at home. Please note, she is not a bad woman but can't explain the reasons up till date. I was with no option but to query her sincerity as a wife and that continued for a long time. Our sex life became zero, she would tell me having sex would make her pregnant and was not ready for a second child. Her stories kept on changing and became even worse, rather than coming home she would pass by her mom and be there till late in the night before coming home.

After about 3 years of trying to get something to do, I finally got a place on the island sometime in February 2018, where I would be paid a stipend of 50,000. In addition, I would use my free time to design, print and sell business cards to small companies. The overall income was small but enough for some immediate obligations at home. But to be fair, that was the best I could get since I have not had money in a long time. Unfortunately my wages were not consistent due to challenges the company was facing. But I used the Business card printing to augment wherever possible.

Later in 2018 around September, I discovered that my wife had been having an illicit engagement. She had a male fried and I finally got to know about it and confronted her. She did not deny it, she begged and I forgave her. Anyway, I had made up my mind to forgive because of the kid and I never told anyone till date. Moreover, since we were not making love that was of course enough reason for the drastic measure, I told myself. To be sincere I had lost feeling for my wife and sex was difficult. We finally started having sex but I had little to offer her. I would pretend and even have to watch Indecency to be able to have sex with her. I was dead inside. At least my wife was still with me. That was my solace. I guess trust was broken. She however continued with her escapades. The quarrels increased and got worse. There and then name calling became our breakfast and dinner. She advised that since I would never look at her the same and bringing little or nothing to the table that I was free to go. The quarrels went on for quite some time, my wife will go very violent on me some of the times. I am marshal artist with black belt and I have great restraint - for me, fighting and going violent on her was never on the table. One day I thought there was a need to move out and I did indicated to her that I was not comfortable living with her anymore.. That wherever I am, I will see how I can take care of the kids.

She did not care and things became difficult for me. I felt maybe I could stay for sometime, It might be a difficult condition but still not impossible. This became my Achilles heels. There and then I knew my relationship had broken and irreparable. I accepted there was nothing I could, but to be patient and tried to convince myself about our situations and believed our situation was bad, but God’s willing we would overcome. The fight even got worse and became very violent and physical, I would normally just take the beating or hold her hands to avoid any injuries.

The quarrels was beginning to be in the glare of my Kids and since it was not abating, there was little I could do to change the situation. I finally made up my mind on the 19th of May 2019 to move out, but actually moved out on the 30th of May, 2019. Before then on the 26th of May, 2019, I discovered my wife was again engaging in the illicit affair. She would claim she was going to church only to be found at a different location. Honestly I can’t blame her, I blame myself and the situation that caused the demise of our once cherished marriage. At this point in time I realised I had lost and had no fight in me anymore. My kids are still very young. Everyday quarrels, lack of sincere engagement, denials upon denials and her fear of facing her “DEMON” with little chance of her understanding the consequence of her actions - I was left with no choice but to stop FIGHTING. I had no fight left in me. The ultimate decision was to leave. I did not inform her parent about the issue because I had indicated to her I did not want them to look at her differently.

God so good, I got a 500,000 Naira job through a friend in an oil company with a 3bedroon in Lekki fully paid up for 3years by the company. By the way, I am Data Analyst but never practiced for a long time. I studied Computer engineering but for a long time grace did not smile on me. I take care of my kid and I really don't hate her and I am at peace with everything. She still has her job and doing well.

Please note that she did not tell me to leave, I left on my own volition. I could not share the same bed with my wife anymore she apparently could not muster enough strength to stop all iniquities for a conversation that will help see things through. Rather she is turning to blame it on me. We have however resolved to part on a friendly note for the sake of our child.

My reason for posting this is because most us sit behind the desk and computers and do not understood the demons everyone is battling. On a bad day, the best husbands are MONSTER, while the best wives are DEVILS. When we make judgment as males or female. We should not forget about our female child/children, same goes for the male child. I don't know what my wife tells people about what happened but I really don't care and I have made up my mind never to defend myself.

After I read your touching story. There are two sides to a coin. I am glad you guys separated. If you are still separated after seven years, please file for a divorce or better still petition for divorce now. The options of restoration has been exhausted.

Hello good afternoon potential clients.
I want to talk about re allotment of shares and filing of return of allotment aka CAC 2A. ABC company has five directors and they decide to remove three of the directors and leave only two. Then the company must file of return of allotment. Draft a special resolution where the directors being removed transfers their shares to existing directors, who are shareholders. Then draft a deed of share transfer. When filing, file the duly completed form of return of allotment, special resolution that contains the share transfer to existing directors, share transfer of each director leaving, then annual returns If the company is due to file.

His late brother having been a prominent personality (head of finance) in the company he worked before he died, made the company to offer his younger brother my friend two options..

1. 5million naira cash or

2. a 100k job per month in the Same company.

we need your professional advice pls
take the job build your skills and have a take home. You can actually draft a plan on how your 100k will be used. Savings, low risk investment, and personal expenses. You may take the five million, if you so choose. But do you have a laid down plan on how to carry on with and also multiply it? If you have a laid down business plan and how to carry on, then you can go on with the latter otherwise stick to the former.

1. Every company registered on or after the commencement of this Act shall have at least two directors and every company registered
Let me stop here. So the least number of directors to be appointed in a company as first directors, is two. Some people complain, oh I can't find another to become a director or I don't trust another. I want it to be solo. Sorry solo which is sole proprietor only applies to business names. For a company except limited by guarantee, should have at least two directors.

First and foremost most girls don't realize that most men spend more than they earn. All in a bid to enhance affection towards them.

I dated her for two years until that faithful day she found my salary voucher on my bed. Tho I do other side hustlE that enabled me pay her bills.

I've always known that when she discovers the amount I earn in my company, she will be scared of the future between us. I remember the days in shoprite that I was only able to afford bread. Oh my God, I don suffer. Anyway I had plans for us despite my 45k salary of an MSC holder. There is no financial hole I did not help her block. Infact I did what guys who earn more than me couldn't do.

She started misbehaving towards me ever since she saw that pay cheque. What she didn't know was that I did not use my other professional qualification in the company and when she left me.

I decided to forward other qualification to our management. Like play like play my salary rose to 75k after 3months 100k after 6 months 120k, now I am a site manager and I earn 360k. I believe the whole graduates in her family don't earn what I now earn combined. I am not proud or beefing anyone. Am just reminiscing. By the special grace of God I will even go higher...

PS. Now I am spending my money on my mum and family. I thank God for another chance. Bless

Greetings to you all. I want to go straight to the point. I opened this account because of my marital problems.

From the day I met my wife, she was after marriage. In less than two weeks of meeting her, she started pressurizing me to meet her family members which I succumbed to.

These are what she told me at the beginning of the relationship:

1) She had HND from Kaduna Polytechnics
2) She has Diploma in Computer Science
3) She is a professional cake baker
4) She was three months pregnant
5) That she was 27 years

My discoveries after marriage:

1) She doesn’t have any HND, infact no good WAEC result
2) She cannot even connect laptop to printer and print. She don’t know much about computer at all.
3) She doesn’t know how to bake cake. I discovered that the cake I asked her to bake for me, she gave the contract to her friend.
4) She was never pregnant. She had fibroid and that made her tummy big
5) She was 33 years.

NOTE: the reasons why I believed all she told me at the beginning was because she was a prophetess in her church. She speaks in tongues and prophesy many times and most of the prophecies came to pass.

I was even surprised that in less than two weeks of our relationship, she made move for sex and we started having sex. I did not even think of pre-marital sex because I thought she was a holy woman.

The problems after marriage: several people began to beg me to forgive her and continue with the marriage. I find it difficult but she was still living in my house. I was just being forced my her family and her family members persuaded some of my family members to beg me too. I tried to love her but hatred for her was just building in my heart.

The fibroid surgery was successfully done and she got pregnant and gave birth to a baby boy. I thought the coming of the child may make me to forgive her but I could not recover from her betrayal. I even hate her more.

She wrote WAEC last session and got nine credits but the memory of her betrayal is giving me a lot of psychological trauma. I love an educated woman and cannot see myself glued to an illiterate woman in the name of marriage.

Major problems that made me sent her out:

1) She refused to go to my church. She always want to go to her church and even want me to join her there which I refused.
2) She doesn’t like education at all. She hate going to school and will never carry book to read.
3) Anytime I have disagreement with her, she will call her elder brother. And they will come and talk to me, sometimes in a very condescending manner
4) She is not submissive, very arrogant and talks with anger, authoritatively.
5) She is a societal woman, she loves joining several associations of women and be going to meetings every sunday which I don't like.
6) She value clothes more than human being. She can use any money from the family purse to buy Hollandis, lase, George etc just to dress to her church for show off. I am introvert but she is extremely extrovert.

I sent her out of my house three weeks ago. She is trying to come back in the disguise that she doesn’t want her child to be only one, that it will make the child suffer in the future but I told her I cannot allow her to my house again. I love my little child and I cannot live with such a woman who is full of lies and pretense. I just have hatred for such kind of people.

What do you think I should do?
you shouldn't have married with conditions. I am not married but my knowledge of marriage, is making the wrong person feel better to have a better marriage and if it is not working through, just get a separation for a while. Before that, you guys need a marriage therapist and also you need to have a heart to heart talk about your feelings.

PRESIDENT OF THE FEDERAL REPUBLIC OF NIGERIA ON THE CUMULATIVE LOCKDOWN ORDER OF LAGOS AND OGUN STATES AS WELL AS THE FEDERAL CAPITAL TERRITORY ON COVID- 19 PANDEMIC
AT THE STATE HOUSE, ABUJA
MONDAY, 27th APRIL, 2020

1. Fellow Nigerians

2. I will start by commending you all for the resilience and patriotism that you have shown in our collective fight against the biggest health challenge of our generation.

3. As at yesterday, 26th April 2020, some three million confirmed cases of COVID nineteen have been recorded globally with about nine hundred thousand recoveries. Unfortunately, some two hundred thousand people have also diedpassed away as a result of this pandemic.

4. The health systems and economies of many nations continue to struggle as a result of the coronavirus pandemic.

5. Nigeria continues to adopt and adapt to these new global realities on a daily basis. This evening, I will present the facts as they are and explain our plans for the coming month knowing fullyfully aware that some key variables and assumptions may change in the coming days or weeks.

6. Exactly two weeks ago, there were three hundred and twenty three confirmed cases in 20 States and the Federal Capital Territory.

7. As at this morning, Nigeria has recorded one thousand two hundred and seventy-three cases across 32 States and the FCT. Unfortunately, these casesthis includes 40 deathsfatalities.

8. I will useam using this opportunity to express our deepest condolences to the families of all Nigerians that have lost their lives loved ones as a result of the COVID nineteen Pandemic. This is our collective loss and we share in your grief.

9. Initial models predicted that Nigeria will record an estimated two thousand confirmed cases in the first month after the index case.

10. This means that despite the drastic increase in the number of confirmed cases recorded in the past two weeks, the measures we have put in place thus far have yielded positive outcomes against the projections.

11. The proportion of cases imported from other countries has reduced to only 19% of new cases, showing that our border closures yielded positive results. . These are mostly fellow Nigerians returning through our land borders. We will continue to enforce land border arrival protocols as part of the containment strategy.

12. Today, the Nigerian Centre for Disease Control (NCDC) has accredited 15 laboratories across the country with an aggregate capacity to undertake 2,500 tests per day across the country.

13. Based on your feedback, Lagos the State Government and the FCT with support from NCDC is hasve established several sample collection centers in Lagos and the FCT. They are also reviewing their laboratory testing strategy to further increase the number of tests they can perform including the accreditation of selected private laboratories that meet the accreditation criteria.

14. Several new fully equipped treatment and isolation centres have been operationalised across the country thereby increasing bed capacity to about three thousand. At this point, I will commend the State Governors for the activation of State-level Emergency Operation Centres, establishment of new treatment centres and the delivery of aggressive risk communication strategies.

15. Over ten thousand healthcare workers have been trained. For their protection, additional personal protective equipment have been distributed to all the states. Although we have experienced logistical challenges, we remain committed to establish a solid supply chain process to ensure these heroic professionals are can work safely and are properly equipped.

16. In keeping with our Government’s promise to improve the welfare of healthcare workers, we have signed a memorandum of understanding on the provision of hazard allowances and other incentives with key health sector professional associations. We have also procured insurance cover for five thousand frontline health workers. At this point, I must commend the insurance sector for their support in achieving this within a short period of time.

17. Nigeria has also continued to receive support from the international community, multilateral agencies, the private sector and public-spirited individuals. This support has ensured that critical lifesaving equipment and materials, which have become scarce globally, are available for Nigeria through original equipment manufacturers and government-to-government processes.

18. The distribution and expansion of palliatives which I directed in my earlier broadcast is still on going in a transparent manner. I am mindful of the seeming frustration being faced by expectant citizens. I urge all potential beneficiaries to exercise patience as we continue to fine tune our logistical and distribution processes working with the State Governments.

18.19. I have directed the Central Bank of Nigeria and other financial institutions to make further plans and provisions for financial stimulus packages for small and medium scale enterprises. We recognise the critical role that they play in Nigeria’s economy.

19.20. Our Security Agencies continue to rise to the challenge posed by this unusual situation. While we feel deeply concerned about isolated security incidents involving hoodlums and miscreants, I want to assure all Nigerians that your safety and security remains our primary concern especially in these exceedingly difficult and uncertain times. As we focus on protecting lives and properties, we will not tolerate any human rights abuses by our security agencies. The few reported incidences are regrettableregrettable, and I want to assure you that the culprits will be brought to justice.

20. I urge all Nigerians to continue to cooperate and show understanding whenever they encounter security agents. Furthermore, for their protection, I have instructed the personnel of the security agencies be provided with the necessary personal protective equipment for their own protection.

21.22. As we continue to streamline our response in the epicenters of Lagos and the FCT, I remain am concerned about the unfortunate developments in Kano in recent days. Although an in-depth investigation is still ongoing, we have decided to deploy additional Federal Government human, material and technical resources to strengthen and support the State Government’s efforts. We will commence implementation immediately.

22.23. In Kano, and indeed many of other States that are recording new cases, preliminary findings show that such cases are mostly from interstate travel and emerging community transmission.

23.24. Drawing from these, I implore all Nigerians to continue to adhere strictly to the advisories published by the Nigeria Centre for Disease Control. These include rRegular hand washing, social physical distancing, wearing of face masks/coverings in public, avoidance of non-essential movement and travels and avoidance of large gatherings remain paramount.

24.25. Fellow Nigerians, for the past four weeks, most parts of our country have been under either Federal Government or State Government lockdowns. As I mentioned earlier, these steps were necessary and overall, have contributed to slowing down the spread of COVID nineteen in Nigeria.

25.26. However, such lock downs have also coame at a very heavy economic cost. Many of our citizens have lost their means of livelihoods. Many businesses have also shut down. No country can afford the full impact of a sustained lockdown while awaiting the development of vaccines or cures.

26.27. In my last address, I mentioned the Federal Government will develop strategies and policies that will protect lives while preserving livelihoods.

27.28. In these two weeks, the Federal and State Governments have jointly and collaboratively worked hard on thishow to balance the need to protect health while also preserving livelihoods, leveraging global best practice while keeping in mind our peculiar circumstances.

28.29. We looked atassessed how our factories, markets, traders and transporters can continue to function while at the same time respecting adhering to the NCDC guidelines on hygiene and social distancing.

29.30. We assessed how our children can continue to learn without compromising their health.

30.31. We reviewed how our farmers can safely plant and harvest in this rainy season to ensure our food security is not compromised. Furthermore, we also discussed how to safely transport food items from rural production areas to industrial processing zones and ultimately, to the key consumption centers.

31.32. Our goal was to develop implementable policies that will ensure our economy continues to function with while still maintaining our aggressive response to the COVID nineteen pandemic. These same difficult decisions are being faced by leaders around the world.

32.33. Based on the above and in line with the recommendations of the Presidential Task Force on COVID nineteen, the various Federal Government committees that have reviewed socio-economic matters and the Nigeria Governors Forum, I have approved for a phased and gradual easing of lockdown measures in FCT, Lagos and Ogun States effective from Saturday, 2nd May, 2020 at 9am.

33.34. However, this will be followed strictly with aggressive reinforcement of testing and contact tracing measures while allowing the restoration of some economic and business activities in certain sectors.

34.35. The highlights of the new nationwide measures are as follows;
a. Selected businesses and offices can open from 9am to 6pm;
b. There will be an overnight curfew from 8pm to 6am. This means all movements are will be prohibited during this period except essential services;
c. There will be a ban on non-essential inter-state passenger travels until further notice;
d. There will be Ppartial and controlled interstate movement of goods and services will be allowed to allowfor the movement of goods and services from producers to consumers; and
e. We will strictly ensure the mandatory use of face masks or coverings in public in addition to maintaining physical distancing and personal hygiene. Furthermore, the restrictions of on social and religious gathers shall remain in place. State Governments, corporate organisations and philanthropists are encouraged to support the production of cloth masks for citizens.

35.36. For the avoidance of doubt, the lockdown in the FCT, Lagos & Ogun States shall subsist remain in place until these new ones come into effect on Saturday, 2nd May 2020 at 9am.

36.37. The Presidential Task Force shall provide sector specific details and timing guidelines to allow for preparations by Governments, businesses and institutions.
37. The above are guidelines. State Governors may choose to amend adapt and expand based on their unique circumstances provided they maintain alignment with the guidelines issued aboveon public health and hygiene.
38.
38.39. These revised guidelines do will not apply for to Kano State. The total lockdown recently announced by the State Government shall remain enforced be enforced for the full duration. The Federal Government shall deploy all the necessary human, material and technical resources to support the State in controlling and containing the pandemic.

39.40. I wish to once again commend the frontline workers across the country who, on a daily basis, risk everything to ensure we win this fight. For those who got infected in the line of duty, be rest assured that Government will do all it takes to support you and your families during this exceedingly difficult period. I will also take this opportunity to assure you all that your safety, wellbeing and welfare remains paramount to our Government.

40.41. I will also recognize recognise the support we have received from our traditional rulers, the Christian Association of Nigeria, the Nigerian Supreme Council for Islamic Affairs and other prominent religious and community leaders. Your cooperation and support has significantly contributed to the successes we have recorded to date. I will urge you all to please continue to create awareness on the seriousness of coronavirus among your worshippers and communities while appealing that they strictly comply with public health advisories.

41.42. I will also thank the Nigeria Governors’ Forum and the Presidential Task Force for all their hard work to date. Through this collaboration, I remain confident that success is achievable.

42.43. I also wish to thank corporate organisations, philanthropists, the UN family, the European Union, friendly nations, the media and other partners that have taken up the responsibility of supporting our response.

43.44. And finally, I will thank all Nigerians again for your patience and cooperation during this difficult and challenging period. I assure you that government shall continue to take all necessary measures to protect the lives and livelihoods our citizens and residents.
