Recently a client asked me this question,

'I run a small fashion business, but i want to grow it into a huge fashion brand. Now I need to register my business and I'm confused between Business Name and Limited Liability Company. Which one is more suitable for my business?

A lot of small business owners (including those that have already registered their business with the CAC) do not know the difference between a business name and a limited liability company, and how to choose the best structure for their business.

By the way, if you are reading this post, my guess is that you are considering incorporating a company or registering a business with the CAC.
And if that's correct, then you deserve a Congratulations! Because not only are you taking a very bold step in starting your business right, which is to register it with appropriate authority, CAC in Nigeria (just like this my fashionista client was trying to do), you are also going to be getting a very valuable piece of information that will help you make a very sound decision on the right structure for your business.

There are many different structures to be considered when you are trying to register a business in Nigeria. But the structure you choose depends on the nature and scale of your business.

However the most common are Business Name and Limited Liability Company. This is because they are most suitable for small businesses and their processes are simple and can easily be completed.

There are others; like Limited liability partnership, Limited Partnership, Public Limited Company, Private Unlimited Company, Public Unlimited Company, etc. But I want this article to be focused on responding to this question my client raised.

The most important thing I will tell you about a business name is that it does not assume a separate legal entity. It is one and the same with the owner(s).

With a business name, the business cannot sue or be sued, and you cannot purchase properties in the name of the business!
It does have its advantages.
If you are interested in running a one-man business, where everything revolves around you and you alone, then a business name might be the best bet. It is also more affordable to set up, with less regulatory requirements.

With a company (Private Limited Liability Company; LLC), the first attractive bit is that the company is a separate legal entity from the owner(s)! .
To break it down, if you own a company limited by shares (that's another name for LLC), the company is regarded by law as a distinct legal person from you; the owner.

You can be personally broke while the company is rich and on the other hand, you can be very rich while the company is broke.
There is no abnormality there, unless off course you clearly enriched yourself at the expense of the company.

The death of the founder does not necessarily have any effect on the company as the company has a life of its own. This is why companies like Coca cola, General electric and Ford Motors are still in existence long after their owners are gone. But off course you have to put a very sound successive plan in place for your own company if you want it to outlive you in the real sense.

It is worthy of note that in Nigeria, a private limited liability company can have up to 50 shareholders!
With recent amendments to the Company and Allied Matters Act (CAMA), a single person can incorporate a limited liability company unlike before when a minimum of two shareholder is required.

Now with that said, you may have fallen in love with one of these structures over the other, but choosing the best structure for your business is beyond love. There are a number of factors to consider when trying to choose the best structure for your business.

When you are thinking about starting a business in Nigeria, you will have to consider whether to incorporate a company or to operate as a registered business name. This article is for individuals who are considering registering a business name.

Especially with the special window where the CAC allows MSMEs to register their business Name for N5000 instead of the normal fee of N10,000.

And with that deadline expiring soon (31st of March, 2019), you may like to know how to register your business name, and how to do that FAST.

THIS IS PARTICULARLY THE FOCUS OF THIS ARTICLE.

The processes and procedures to follow in registering a business name at the Corporate Affairs Commission (CAC) are pretty much simple and can be completed from the comfort of your home if you have what it takes (Money and an internet connected device; PC) and[b] know how to go about it[/b].

This is because; business registration can now be carried out online through a dedicated website by the CAC called Company Registration Portal (CRP). The steps to follow are:

Step#1

Search and reserve a name

The first thing to do is to check the availability of the name you want to register and to reserve the name. You can do this through the portal, which individuals can use to search for and reserve a business name.

Unfortunately, it is no longer possible to collect physical forms at CAC offices for either name search and reservation or business registration.

It’s important to note that when you are reserving a name, you are required to choose a name that is considerably unique (you should have at least 2 name options). You should avoid the use of generic names, as they will most probably be taken already.

CAC also restricts anyone from including certain words or phrases into their business names –

Words and phrases like “Chamber of Commerce”, “Federal”, “National”, “Regional”, “State”, “Government”, “Municipal” or “Chartered”, “Co‐operative” or the phrase “Building Society”; or “Group” or “Holding”, are prohibited for use when registering a business name.

Also, names that in the opinion of the CAC are capable of misleading as to the nature or extent of its activities or is undesirable, offensive or otherwise contrary to public policy; will be denied.

Names that in the opinion of the Commission would violate any existing trademark or business name registered in Nigeria unless the consent of the owner of the trademark or business name has been obtained will also not be accepted for registration.

Step #2

Complete Application for Business Registration form (CAC/BN/1) online

If your name is not approved on your first attempt, you will have to reapply with a different name. You will repeat this until you receive approval.

Once you have successfully reserved a name the next step is to complete the application for registration online.

You may either register the business as a sole practitioner (only you fills the form) or as a partnership (more than one person fills the form).

Step #3

Payment of the applicable fees

After completing the form, you will need to make payment for the registration, which in turn will enable you to download and endorse (with a passport photograph for each of the partners) the CAC/BN/1 Form.

The entire process for registering a business name normally takes 1-2 weeks, but if you understand the process properly, you can register a business name in 24 hours.

Duration usually depends on the workload of the CAC officials and other factors.

You do not necessarily need a lawyer to register a business name, however, if you want to register a company, you need the services of a lawyer or an accredited agent.

Step #4

Collect your certificate

Lastly, you will need to visit the nearest CAC office to you to collect your certificate.

NB: This plan is dependent on some elements of luck, especially getting your business name approval at your first attempt.

Pre-Registration

Generate two suitable names for your business and get them ready before you start the registration process.

To be surer on the availability of your proposed name, you can even conduct a public search on the CAC portal.

Public search is a new development in the CAC registration process and enables you to peep into the CAC database. There you see if the name you are planning to use or something similar already exists.

Public search is free and you do not need to have created an account with CAC to be able to do it.

Start of Registration/create an account (12:00 noon to 4:00 pm)

By 12:00 noon on a weekday, create an account with the CAC portal, confirm your email and go ahead and apply for Name search and reservation on the two names you have carefully chosen.
CAC will likely respond within 4 hours, because all name reservations made before 2:00 pm on weekdays will get a response within 4 hours.

Business Registration Proper (4:00 pm to 6:00 pm)

Check your email or dashboard by 4:00pm latest and you will receive an approval note containing your approval code.

Extract the approval code and complete online application form for registration CORRECTLY and make PAYMENT ONLINE, say by 4:30pm.

Print out the CAC form in from the portal IN COLORS, append your passport and sign in the appropriate places and append your signature.

Scan and Upload same on the CAC portal before 6:00pm (before the end of the day at worst), and wait for response.

Business Registration Complete (6:00pm to 12:00 noon the following day)


Barring any issues like queries or network problems, between 6:00pm to 12:00 noon the following day (which is the 24th hour), CAC would have evaluated and confirmed your business registered.

You see, the social media channels of the CAC especially Twitter and Facebook is inundated with people pouring their frustrations, wailing and insulting the hell out of the CAC.

Why, because they had tried to register their business names on their own without properly learning all that it entails.

I don't think you have any cause to worry. That’s life for you. A lot of things might be responsible for your boss actions but the only one am so sure of is that she felt insecure. I am introverted myself and over time I have come to realize that people especially those who know very little about you tend to be scared of you especially if you are the smart type. This is because it's very difficult to predict you, as such in the case of your ex boss, she cannot put you under a total control.
