DATE YOUR LAND PURCHASE DOCUMENTS IN FULL

Dating the document of land or house ownership is as important as making the document itself. The buying transaction takes effect from the date written on the new ownership document.

So where no date is reflected on the document, the transaction has not come to force, and you cannot enforce something that has not come to life. So try not to forget to indicate on it the date the transaction was made.

Mark this: a document without a date has no value in law. It becomes a lifeless venture with no effect whatsoever. That is the position of the law. No sentiments here. When your Property Lawyer makes the title documents, be sure that at the point of signing you insert a date.

The absence of a date will deprive the document and the transaction of validity. You would not want to suffer for something as seemingly little as having an undated document.

Make no mistakes about it, not writing dates in full in documents can have a lot of downsides. Trust me, it has no advantage. So avoid it at all cost. Using abbreviated dates (e.g., 02/21/25) can lead to ambiguity, especially in international contexts where date formats vary.

For example, 02/03/25 could represent February 3rd, 2025, or March 2nd, 2024, depending on the regional convention. The readers may misinterpret abbreviated dates, leading to confusion and avoidable arguments as to the actual date referred to.

In legal documents, it is very important to be clear and exact. Using abbreviated dates may create unnecessary yet costly ambiguity that could be exploited by your opponent in legal battles or contracts. You want your document to be clear to all and not open to different interpretations or lead to confusion.

While abbreviating dates may seem convenient, particularly in these modern times, it can introduce unnecessary complexity and potential risks in communication and documentation and therefore mess things up for you. It's advisable to use the full format (e.g., 21st February, 2025) to ensure clarity and avoid misunderstanding. In legal matters, little things matter. So don't take the short cut so you don't cut short your legal edge or sabotage your property and real estate interests.

WHEN BUYING LAND/HOUSE, CAREFULLY READ YOUR LAND OWNERSHIP DOCUMENTS BEFORE SIGNING

Pay attention to details. Refuse to be stampeded into signing your land or house purchase documents with the words “just sign here.” Never sign a land document you have not calmly read and understood. Look out for unfavourable terms and clauses in it.

Be sure that all your points of agreement are captured in the land or house purchase agreement. Most legal documents are written with legal jargons. Read to understand with clarity. If you are in doubt of the actual or clear meaning of any portion of the document, ask your Property/Real Estate Lawyer/Attorney for clarification.

For persons unable to read, get a trusted person to interpret the land or house document in the language he understands. If you use recommended medicated reading glasses, then don’t read without them. Every word counts as the omission or addition of even one word can completely change the meaning of a clause or term in the land agreement.

ENSURE YOUR LAND/BUILDING PURCHASE DOCUMENT CONTAINS AN INDEMNITY CLAUSE

An indemnity clause is a term in a land or house buying agreement where the seller confirms that the land or house is his own, that there are no legal issues over the land/building, that the purchase document fully transfers ownership from him to the buyer and agrees to pay the buyer for any losses or damage that may happen as a result of claims as to ownership or other interest on the land or house by a third party due to the seller’s negligence or his not disclosing facts which would lead to the buyer losing the land or house.

This would ensure that the seller has a duty to refund the buyer the purchase price and the value of funds spent on developing the land or house.

Every land purchase document should have an indemnity clause in it. The importance of the indemnity clause is that where the seller turns out not to be the owner of the said land, it becomes a case of fraud and the vendor attracts criminal liability to himself.

ASK FOR CLEAN RECEIPT OF PAYMENT FOR LAND/BUILDING

When you buy land/building and pay through a bank channel, demand for and receive payment receipt. The receipt is your evidence of payment for the land/house. Don’t accept to be issued such payment receipt later.

Ideally, receipts are issued at the time of payment. Whether it is hand-written or typed, the buyer should ensure it is duly signed and dated by both him and the seller and that the receipt clearly states the details of the vendor and those of the buyer, and describes the purpose and details of payment made.

Mutilations and cancellations in receipts are not permissible, even if the signature of the correcting party is made beside the detail corrected. In the event of any corrections and amendments on the face of the payment receipt, it is the land/building/property buyer’s duty to demand for a replacement with a clean copy, as such cancellation or correction may work against the buyer.

Arguments may arise from the cancellation made, even if it was made bona fides (in good faith) at the time. The buyer should be given an original (counterpart) copy of the payment receipt. If the receipt comes in two copies – original copy and carbon copy – the buyer is entitled to the original copy while the vendor keeps the carbon copy. Be sure to keep the receipt safe and in good condition.

MAKE PAYMENTS FOR LAND/BUILDING THROUGH BANK CHANNELS ONLY

When making payments for land or house purchase, ensure you do so through bank channels and platforms – bank or online transfer, bank draft or cheque. This will provide the necessary evidence (reflected in your bank statement) that you will need to prove the payment made.

Making land/building payment with cash should be avoided by all means. In fact, it should be included in 1,000 ways to die. Even if you have cash at hand, pay through the bank and indicate in the payment narration that the payment is for land/house. The banker’s books and records are very sure safeguards in the event of the need to prove payments for land and house.

Even with receipt, making payment with cash is a wrong move. Avoid it. Don’t do it. It leaves you vulnerable to the vendor or his representatives. The authenticity of the receipt could even be challenged. An insincere vendor could deny the cash payment leaving you frustrated and in the cold.

Trust in property transactions is an expensive luxury you cannot afford. Do not give your vendor the benefit of the doubt. It is a business transaction, not a friendship or family affair. MAKE A REGISTERED SURVEY PLAN BEFORE PAYING FOR LAND

A Survey Plan is a document that contains an accurate measurement, description and boundary of land. Knowing the true dimension and size of the land is important. The survey plan also shows your boundaries on all sides and fully captures your name and the actual location of the land.

Be sure to engage the services of a registered Surveyor and ensure the plan is registered with the Ministry of Lands and Survey and a copy lodged at the Ministry. An unregistered survey plan is of no use; it is as good as not making a survey plan at all.

Avoid unregistered Surveyors and quacks in the field of survey. They will charge you less, but at the end you have done nothing. It will save you a lot of trouble. If what you end up with is an unregistered survey plan, then be sure that you do not have a survey plan at all.

There are no short cuts here, so do not short-change yourself. Note that the Deed of Conveyance or Deed of Transfer (legal documents of transfer of ownership of land or house) will make reference to the details captured in the survey plan. So if the survey plan turns out invalid for not being registered, the Deed cannot stand on its own.

Like we mentioned earlier, you can’t put something on nothing. It will end in disaster.

IF THE OWNER OF THE LAND/BUILDING YOU WANT TO BUY IS DEAD, DEMAND FOR DOCUMENTS CONFERRING OWNERSHIP ON THE SELLER

Where the owner of the land or house you are interested in buying is late, insist on a document that transfers ownership to the vendor. Documents that transfer ownership of land/house of a dead person on a living person are Letters of Administration from the Probate Registry of a court, Court's Vesting Assent, Deed of Gift or orders of court in a judgment, etc.

The ownership document in the name of the dead owner is not a proper document to be relied on by a buyer wanting to buy such land or house.

Transfer of ownership to a buyer must arise from a valid document of ownership, even when the person seeking to sell is the wife, son, daughter, sibling or close relative of the late owner. Relying on the late owner’s ownership document is wrong. It is an error that should be avoided.

The person seeking to sell can only sign in his own name and not in the name of the dead owner, and that would leave an unwanted discrepancy in the purchase – the difference in the names. If you don’t buy from the real owner who has a verifiable proof of ownership then you have bought nothing.

You cannot place something on nothing and expect it to stay there; it will fall. Nobody can validly sell as his own that which is not his.

CONDUCT LAND REGISTRY SEARCH

If the land you want to buy is registered at the Ministry of Lands and Survey, engage a Property Lawyer to conduct a search at the lands registry to ascertain the current status of the land in question.

The search should be able to reveal if there is any form of legal issue like legal transfer, mortgage, pledge, charge, caveat, etc. Any of such legal issues would ordinarily be recorded in the title details of the land in question at the lands registry. There are consequences of proceeding to transact in a land affected by any of those legal issues.

Every registration of land at the lands registry is duly endorsed on the document of title. Where there is any of such legal issues indicated on the land at the land registry, this should be taken as a red flag and the buyer should proceed with caution.

Note that some transfers, charges, pledges, caveats, etc may not be registered in the land registry even when previous transactions over that land are registered in the land registry. There may have been some other transactions over the land that were not registered in the land registry and that surely counts.

So the outcome of any search in the land registry does not bring the quest for the current ownership or legal status of the land or house to finality.

WHEN BUYING LAND/BUILDING, INSIST ON A POWER OF ATTORNEY IF THE SALE IS BY THE SELLER’S REPRESENTATIVE

A Power of Attorney is a written authority to act for another person. There are circumstances or scenarios where the seller is unavailable or unable to transact in person with the buyer. It could be as a result of distance barrier (maybe he is abroad), age or health related issues.

Land/building can be sold by a vendor’s representative where the vendor executes a proper power of attorney donating power to sell to some other person. Demand for a power of attorney from the land owner in favour of the representative.

Even after power of attorney is produced, verify its authenticity by contacting the vendor. Due diligence will enable you authenticate the genuineness of the vendor. Proper findings will point you to the true vendor. It is only when you have verified the true identity of the vendor and that the power of attorney is not fake that you should consider proceeding with buying.

Scrutinize every detail in the power of attorney and ensure that it specifically grants the seller's representative powers to transact in the land or building/house by way of sale. Focus on the identity of the land. Pay close attention to details. Be sure that it is duly signed by the vendor and signed and stamped by relevant authorities after the payment of official fees.
