BREAKING: Union Bank Takes Over Dangote’s Company Over Unpaid N4b Loan Sani Dangote, the younger brother of the world’s richest black person, Aliko Dangote, appears to have run into a major business crisis as Union Bank has taken steps to seize his Dansa Foods Limited. The latest development follows the inability of Sani to pay back a loan of N4billion he obtained from the bank seven years ago, following which the bank appointed Lagos lawyer, Chukwudi Enebeli as Receiver/ Manager. Dansa Foods claims Mr. Enebeli cannot represent Union Bank as he is a party to the suit. Mr. Enebeli was appointed under the deed of debenture to take over all the assets of Dansa Foods, which has its registered office at 1, Dansa Drive, off the Badagry Expressway in Lagos. The debenture appointing Mr. Enebeli has been filed and registered with the Corporate Affairs Commission in Abuja, and it claims that the balance of the loan secured have become payable as Dansa Foods has failed or neglected to meet its obligations despite the bank’s repeated demands. In a subsequent development, the attorney and Union Bank have sued Sani Dangote and other Directors of the company at the Federal High Court in Lagos, citing “obstinacy and resistance” to his performance of his responsibilities as Receiver/Manager The directors are Alhaji Abdulkaarim Lawal Kaita and Alhaji Ahmed Shehu Yakasai. The suit is seeking the following orders of the court: (1) A declaration that upon the appointment of Mr Chukwudi Enebeli as Receiver/Manager over Dansa Foods Limited the respondents who are Directors and shareholders of the company have no power or control over the company or any of its assets; (2) A declaration that by virtue of clauses 8 and 9 of the Deed of Debenture dated 29th of May 2009 in favour of Mr. Chukwudi Enebeli the Receiver/Manager appointed by Union bank of Nigeria Plc is entitled to perform all functions specified in the deed of all assets Debenture. (3) An order directing all creditors of Dansa Foods Limited to pay and domicile all monies due, incomes, or receivables accruing to or due to the company into the receivership account opened by the Receiver/Manager in Union Bank Plc. (4)A order of the court directing the Receiver/Manager in exercise and discharge of his function to take such steps as may be necessary and exercise such powers including the powers to take over and apply in realization of the company’s debt to Union Bank Plc all monies due to the company. (5) An order restraining all the respondents and their agents from disturbing the Receiver/Manager from exercising. Powers vested in him whether by himself or his agents. (6) An order directing all Police Officers of the Federal Republic of Nigeria or other officers concerned with security and enforcement of order to with “The Inspector General of Police, Assistant. Inspector General of Police and other Police officers so instructed by the Receiver/Manager to assist him in the performance of his duties. An affidavit sworn to by Mrs. Olorunfunmilola Ayoola, the head of the Food team of Union bank, averred that the bank granted Dansa Foods Limited in 2008 the loan amounting to N5,200,000,000 According to her, it comprised: (1)Overdraft – N500million (2)Short term loan for advertisement – N500million (3)Equipment lease- US$2,500,000 (N300million) (4)Equipment lease (sale and lease back) – US$2,500,000 (N300milion) (5)Import Finance – US$30,000,000 (3,600,000,000) She averred that the loan was disbursed to Dansa Foods company and fully utilized by the company. The company duly executed a deed of all assets debenture in favour of Union bank. Mrs Ayoola averred further that the loans granted to the company are depositors’ funds and if not recovered through the Receiver/Manager, the survival of the bank will be jeopardized in view of the amount of the indebtedness. She consequently urged the court to grant the prayers of the bank so as to prevent the respondents who are directors and shareholders of the company from dissipating the assets of the company and for the effective discharge of the powers of the Receiver/Manager. In a preliminary objection the respondents urged the court to strike out the suit on the ground that Mr. Enebeli, being a party in the suit, lacks the capacity to act as counsel for parties in the suit. They also contended that the court processes were signed by Mr. Enebeli as counsel acting for Union bank plc and Dansa Foods Limited in receivership. BoT chairmanship: Tinubu, Atiku renew rivalries Former Vice President Abubakar Atiku and National Leader of the All Progressives Congress ( APC) Asiwaju Bola Tinubu are back in the battlefield. The two prominent APC chieftains are battling for the Board of Trustees ( BoT ) chairmanship of the ruling APC. Tinubu, according to investigations, entered the race after initially backing former interim chairman of the party, Chief Bisi Akande. He was said to have decided to offer himself to neutralise the towering influence of some forces within the party. Atiku, on his part, had always been a frontline candidate for the position. The post was reportedly ceded to him before the National Assembly leadership crisis. Though advisory, the office of BoT chairmanship is expected to wield enormous influence in the party. Many interest groups within the ruling party believe that whoever controls the BoT will have more than passing power in the hierarchy of the APC. The two old war-horses have always been at daggers-drawn since 2007 when Tinubu sponsored Atiku to emerge the presidential candidate of the defunct Action Congress of Nigeria ( ACN ). Atiku lost the contest to the late President Musa Yar’Adua but reportedly felt Tinubu did not pull enough weight to back his candidature. He returned to the PDP in 2009 despite several obstacles before finding his way back to the progressives fold in 2014. Atiku’s main grouse, it was learnt, was how Tinubu backed President Muhammadu Buhari during the presidential primary of the APC in Lagos. His camp believed that the former Lagos governor facilitated the choice of President Buhari despite the massive injection of funds into the project by the former vice president. This, it was gathered, was why Atiku stayed away from the presidential train during the nationwide campaigns in the run-up to the election. When the National Assembly elections came into view, Atiku opted to back Bukola Saraki as Senate President to seize control of the second arm of government. This underscored why Saraki and his supporters went straight to the Turaki of Adamawa’s Abuja residence after his election for a courtesy visit. The camp of the former Lagos governor felt slighted while Atiku’s supporters were jubilant. To counter Atiku’s influence, the Tinubu’s camp decided the race for the BoT chairmanship must be won at all costs. A source close to the Jagbaban as he is fondly called said the former senator has declared the battle “as a fight to the finish.” Both camps have been mobilising support and canvassing reasons why their principals deserve the slot. The Atiku’s camp reasons that Tinubu produced Vice President Yemi Osinbajo and APC’s National Chairman, Chief John Odigie- Oyegun. They said he has been given enough. Tinubu’s aides, on their part, said Atiku produced Saraki as Senate President and cannot be trusted because of his constant switch of party allegiance. They say the former Lagos governor should be pacified with the post after his candidate for the House of Representatives speakership, Hon. Femi Gbajabimiala, lost to Yakubu Dogara. It was learnt that President Buhari is more disposed to a Tinubu’s chairmanship of the BoT based on the support he garnered from the South West. The zoning formula also supports Tinubu as the North had filled many leading posts in the APC. President Buhari (North West); Senate President Saraki (North Central) as Senate President and Speaker Dogara (North East) are already holding leading posts in the sharing formula. This leaves the South with only Vice President Osinbajo and Deputy Speaker Yusuf Lasun in the scheme of things. The ruling party is likely to constitute the board any time from now, following the recent ratification of the process by its National Working Committee ( NWC ). With this, both camps are perfecting their strategies to clinch the prize. IYC, President, Udengs Eradiri, who spoke at a news conference in Yenagoa on Thursday after a meeting of executives of the body, disclosed that the political class in the country worked by instituting a free, fair and credible electoral process. Buhari praised the U.S. Government for mounting pressure on Jonathan to ensure that Nigeria conducted a credible 2015 general elections. The President who was speaking in a joint press conference he had with President Obama in the Oval Office on Monday had recalled the visits of the American Secretary of State to Nigeria prior to the elections, saying that but for such pressure, Nigeria might not have been where it is democratically. The Ijaw Youth in response said; “Buhari should give credit to Jonathan for making the process work. At the wake of the announcement of the 2015 general election, Barrack Obama had commended Jonathan for his commitment towards making the election a reality. “I commend President Goodluck Jonathan for his public commitments to non- violence throughout the campaign. “President Jonathan has placed his country’s interests first by conceding the election and congratulating President- Elect Buhari on his victory. President Muhammadu Buhari will not extend his corruption probe beyond the administration of former President Goodluck Jonathan, the presidency has said. Mr. Buhari, who is currently on official visit to the United States, has consistently vowed to investigate and bring to book, persons who looted the country’s funds. The president said on Tuesday he will arrest and prosecute past ministers and other officials who stole Nigeria’s oil and diverted government’s money to personal accounts. But the Special Adviser on Media and Public Affairs to Mr. Buhari, Femi Adesina, said the president will limit his anti-corruption war to the immediate past administration in the country. He said Mr. Buhari will not waste time in probing the administrations of former President Olusegun Obasanjo, Abdulsalam Abubakar, Sani Abacha and Ibrahim Babangida. He said even before he was sworn in to office on May 29, the president had categorically stated that he would not extend his corruption probe beyond the Jonathan government. “If you recall, that was already settled before he got inaugurated as president. He has said he will not waste time digging into the far past,” Mr. Adesina said. “The far past will includes Obasanjo and others. But the president has said he will not waste time to go that far.” Before leaving office, Mr. Jonathan had said any probe by the new government would be seen as a “witch hunt” if it fails to go beyond his administration. Speaking on criticisms over President Buhari’s decision to travel to the U.S. with his son, Yusuf, the presidential spokesperson said Mr. Buhari did not breach any rule. He said it was a normal practice for presidents to travel with members of their families, citing the example of American presidents who travel abroad with their wives and children. “There is absolutely nothing wrong with the president travelling with one of his sons. It is an acceptable and standard practice. He could go with up to four members of his family. “Don’t forget that when former President Bill Clinton visited Nigeria while he was in office, he came with his daughter, Chelsea. “President Barak Obama travels with his children and so the President of Nigeria can travel out with three or four of his children. Late President Umaru Yar’Adua used to travel with two of his sons and one of his grandchildren,” he said. Presidency moves against Sataki Former President Umaru Yar’ Adua’s daugther and wife of former Kebbi State Governor, Zainab Dakingari has been invited by the Economic and Financial Crimes Commission (EFCC) over alleged fraud to the tune of N2billion perpetrated during her husband’s tenure as governor of the Northwest State. Toyin Saraki, wife of the Senate President and former governor of Kwara State, Bukola Saraki was also invited for questioning over alleged money laundering. When contacted, EFCC spokesperson, Wilson Uwujaren, said, “I’m aware that a new set of suspects were recently invited,” Mr. Uwujaren said. “It’s not impossible the two women are among them.” However, a source at the anti-graft agency disclosed that Saraki is wanted in relation to questionable inflow of funds into companies where she has interest. She is expected to report at the Commission’s headquarters in Abuja on July 28, 2015; where a crack team of investigators have already been assembled to grill her. Dakingari on the other hand was initially expected to report for questioning at the EFCC headquarters Wednesday. It was however gathered that the former Kebbi first lady sent words that she was away to Saudi for Umrah (lesser hajj), and pleaded to be allowed to report on July 27, 2015.
