Ellah Lakes will convert directors' loans to equity, and they will be raising funds via equity.

They will commission the Edo 3-ton mill at the end of the month.

Fingers crossed shocked
How did they come about directors loan when they whr not generating revenue. How much is the loan and at what rate this time.Abi you are missing it with the old conversion that they said had already happened to some creditors they could not pay.

Directors' loans in shares refer to a situation where a director of a company borrows money from the company and repays the loan by issuing shares to the company.

Key Considerations:
1. *Regulatory compliance*: Ensure compliance with relevant laws and regulations, such as the Companies and Allied Matters Act (CAMA) in Nigeria.
2. *Valuation*: Determine the fair value of the shares to ensure the loan is properly settled.
3. *Tax implications*: Consider tax implications for both the director and the company.
4. *Documentation*: Properly document the loan agreement and share issuance.

Benefits:
1. *Flexibility*: Directors' loans in shares can provide flexibility in managing cash flow.
2. *Alternative financing*: This arrangement can serve as an alternative financing option for directors.

Risks:
1. *Conflict of interest*: Directors must avoid conflicts of interest and ensure the transaction is fair to the company.
2. *Shareholder approval*: Depending on the jurisdiction and company bylaws, shareholder approval may be required.

Best Practices:
1. *Transparent documentation*: Maintain transparent documentation of the loan agreement and share issuance.
2. *Independent valuation*: Consider obtaining an

A loan of about ₦420m was taken sometimes last year. (Where it was deployed wasn't disclosed).

The Director in question here is probably Barrister Emmanuel Jakpa...

Re: Nigerian Stock Exchange Market Pick Alerts by KarlTom: 8:35pm On Jun 15, 2025
Ellah had received ₦2.08bn as deposit for shares.
Plus the ₦420m convertible loan gives ₦2.5bn.

If they're raising capital via equity, 500m units (for SP of ₦5) is already pegged...

OS is currently 3,858,173,594

NB:
Barr Emmanuel Jakpa loan was initially ₦1.5bn.
No public info on how it reduced to ₦420m

NB:

Implications:
1. Potential dilution: The issuance of new shares could lead to dilution of existing shareholders' ownership.
2. Capital raise: The company is raising ₦2.5 billion through equity, which could be used for various purposes, such as business expansion or debt repayment.

The information suggests that the company is raising capital through equity and has already received deposits and convertible loans totaling ₦2.5 billion, which matches the value of the pegged units.

There are more loans to be converted to equity.

Unfortunately, I do not have the figure.
Re: Nigerian Stock Exchange Market Pick Alerts by KarlTom: 8:48pm On Jun 15, 2025
I'm thinking the dilution might not be much and if they're raising the OS to 5bn, only ~642mn units will be available to the public...

I strongly believe that the commencement of milling will make the SP fly.

However, reading between the lines, I think they are trying to push the SP before milling commences (considering all the media appearances and PR effort) grin . Probably the debt-to-equity conversion rate is invariably linked to the date of commissioning of the mill...

This is all an hypothesis wink

Hmm.Whr did you crawl out from because this is the first time I am noticing this moniker on this thread.

Which is causing you pain here
1 The FA questions I am asking
2 That I am talking about ellahlakes.

Then again Which group do you belong here
1 The directors/interest pumping the stock to get out via back door
2.The known monikers now hiding in alternative handle to cover and attack as they feel I am spoiling things for them.
I did not start asking questions today or this yr

Pls be informed that I enjoy using block botton and really want the owner of this platform to make it permanent
