Deepseek analysis of Deapcapital UFS

### Financial Analysis of DEAP Capital Management & Trust Plc for the Nine Months Ended June 30, 2025

#### **1. Financial Performance**
- **Revenue**:
- Total income for the 9-month period was **N3.09 million**, derived solely from fees and commissions. This is a slight improvement from the previous year, which reported no income.
- **Administrative expenses** surged to **N25.82 million**, up from N11.85 million in 2024, indicating rising operational costs.
- **Net loss** for the period stood at **N5.34 million**, an improvement from the prior year's loss of N11.85 million, likely due to the recovery of a loan (N469.29 million write-back).

- **Earnings Per Share (EPS)**:
- EPS remained at **0 kobo**, reflecting no distributable profit.

#### **2. Financial Position**
- **Assets**:
- **Total assets** amounted to **N301.76 million**, dominated by **available-for-sale financial assets** (N300.36 million, primarily unquoted securities in DVCF Oil & Gas and Resort Securities & Trust).
- **Cash and equivalents** were minimal at **N1.40 million**, highlighting liquidity constraints.

- **Liabilities**:
- **Total liabilities** stood at **N2.78 billion**, including:
- **Managed accounts** (N569.44 million).
- **Borrowings** (N437.35 million, including unresolved AMCON debt of N400 million).
- **Deferred income** (N1.41 billion, from loan restructurings).

- **Equity**:
- **Negative equity** of **N2.48 billion**, worsened by retained losses (N5.37 billion). Share capital (N750.33 million) and share premium (N448.48 million) are overshadowed by accumulated deficits.

#### **3. Cash Flow**
- **Operating activities**: Net outflow of **N16.07 million**, driven by losses and working capital changes.
- **Investing activities**: Inflow of **N17.37 million** from asset sales, offset by share deposits.
- **Financing activities**: No significant inflows, indicating limited external funding.

#### **4. Key Risks**
- **Liquidity risk**: Low cash reserves against high liabilities.
- **Credit risk**: Loans are fully impaired (N40.12 million allowance).
- **Regulatory risk**: Pending SEC approval for debt-to-equity conversion (N1.69 billion).
- **Operational risk**: Rising administrative costs and dependence on unquoted investments.

#### **5. Shareholding Structure**
- **AMCON holds 16.64%** of shares; retail investors dominate (83.36%).
- **Top 0.2% shareholders control 58% of equity**, indicating concentrated ownership.

#### **Conclusion**
DEAP Capital remains in financial distress, with persistent losses, negative equity, and liquidity challenges. While loan recoveries improved the loss position, reliance on unquoted investments and unresolved liabilities (e.g., AMCON debt) pose significant risks. The proposed debt-to-equity conversion could stabilize equity, but operational efficiency and revenue diversification are critical for sustainability.

**Recommendations**:
1. Expedite SEC approval for debt restructuring.
2. Monetize non-core assets (e.g., unquoted securities) to improve liquidity.
3. Cost optimization to reduce administrative expenses.
4. Explore new revenue streams beyond fee-based income.

*Note: The unaudited nature of these statements warrants caution; full annual disclosures may provide additional clarity.*

We need to be careful with AI analysis. Sometimes they are wrong. They have been falling in many areas not because they are not efficient but simply because they sometimes do not have complete data. I recall recently the story of a judge that wrote a judgment using Scales generated from Ai. They were all found to be non existent. I have often asked AI for The OS of many companies especially the banks and found out that answers given were wrong. Sometimes they analyse on outdated data.

A company I bought on 2nd July paid me dividend whereas they closed their register last month. Not just that they paid me, but they paid far more than what they supposed to pay to the number of shares I bought on 2 july

Now, I want to know if anyone here experienced such thing here.

I didn't write to the company or mention their name here to avoid any of the company's staff loosing his or her job.

Finally,. because of my faith, pls advise me on how to restitute the money
I've written this company twice. If they continue to keep calm, then I'll spend the money on charity. I don't take what's not mine

They should reconstruct the lunacy 20:1 down to about 10 billion shares, to make it's EPS visible on the paper it's written.

That is not possible. Then again very large percentage of those shares dey the parent company hand.As they took up mostt of those rights issues in the fund raising for the company the last time. Those shares are not available for trading .Individuals and others own less than 2 percent of those shares. The remaining are owned by parent company and institutional investors .

Registrars don't make those careless mistakes. When uba capital did it many yrs back with me.They took it back from my next yr dividend. Then was time of analogy.
I later discovered it was the fault of my broker.
It looks he was selling and returning the stock in my portfolio. When I demanded stock history from the registrar as I went to thr office in abj

The total outstanding will still dilute both the EPS and the dividend regardless of who holds what.

But I understand. The fewer free float helps trading.

Go ask those in ellah kpakus about eps and dividend matter.
Let me see if you will come back alive first Na only me fit ask such question
I know forward eps for this yr will be 50kobo.
It is just coming out of loss.
As it stands now minority shareholders don't stand major risk. Na parent company money dey involved. They can decide to buy us out.

Pls this is never a buy recommendation to anyone. I got in at #5 plus long ago

You only rely on common sense which is not accurate.
Your common sense does not tell you there is no smoke without fire.
You don't want to use common sense to find out what is driving the volume.
If Loco is not the one driving the volume, what will you have to say?
This your common sense will deny you many opportunities in this market.
Your common sense can only win few and loose many.
I will be here to quote you when Royalex trade beyond N3 or N3.50 sometime this year.
I don't doubt you Loco. Just that I don't trade it. The emphasis is on “I’. I am fine with the few wins. I am not here to gamble. I don't doubt it soaring even to 100. But I won't trade it. The beauty of this forum is the opportunity to showcase our various strategies and thoughts. We are not competing but rather complementing one another. At least that's my view. I apologize if my view offended you. It wasn't my intention.

It's strange that such a mistake will be made and afterwards the Registrars won't know and you ve to write them.
Recall when FBNH paid me a certain dividend without deducting the 10% tax.
After enjoying the excess, An email was sent to me that it was an error and an account number was provided for me to refund the 10% WHT which I did to the last Kobo.

Offend me?
No nah.
I should be the one to ask if I offended you by my questions.
Sometimes people don't understand how I pick a stock. Its not always by financials or sentiments.Past history of Royalex shows it's greatly undervalued and investors are positioning because of the recent turnaround which is also impacting on the share price with heavy volumes on the daily.
You may not see it now but Q3 and 4 results will make you to do some adjustments in your analysis.
