| Re: Nigerian Stock Exchange Market Pick Alerts by awesomeJ(m): 12:16pm On Aug 29, 2025 |
Yes. The reinvest clause they added is the sweet spot. As long as I'm only selling GTCO to buy buacement then to Berger paints. Which is largely what I do, I'm good 😊 |

The corporate tax and the tax on dividends from each investors dividend, isn't that a double taxation. |

ositadima1:Okay. I get the dividends side. I am only concerned with the tax on gains. What happens when I sell and incur losses; any concessions or credits from govt for losses? I think this could make people sell their huge gains (and cash out) in December, then wait and see how the tax operates in 2026 before they re-enter the market. What about reinvestment in the fixed income market i.e. selling shares and using proceeds to buy bonds or T bills? Will that be considered in lieu of reinvestment in the NGX? |
| Re: Nigerian Stock Exchange Market Pick Alerts by KarlTom: 12:32pm On Aug 29, 2025 |
it is not double taxation in the Financial Sense The listed company and the investor are two seperate entities... ![]() That's the reason why HNI will always use their personal company(ies) to reduce their tax burden... awesomeJ: |
| Re: Nigerian Stock Exchange Market Pick Alerts by Streetinvestor2: 12:32pm On Aug 29, 2025 |
Looking at it from dividend angle. If u collect dividend the government just collected 40% from investor. That is 30% cooperate tax and 10% wHT. Our dividend is determined after PAT We suppose protest |

Yes! Every taxable entity (individuals or registered companies) is entitled to Tax Rebates. At the bolded, I do not think it will be counted as taxable profit IF it is same entity (individual or company) carrying out the transactions. That is the reason we all need to file tax returns when due... mikeapollo: |

mikeapollo:1. Taxation of Capital Gains and Losses • What is taxable? Profits (gains) from selling chargeable assets (including shares, options, and rights) are taxable. These gains form part of your total income and are taxed at normal personal income tax rates. • What if you make a loss instead? Yes — the Act allows you to deduct capital losses from your taxable income: 1. Deductible Losses Losses from selling shares can reduce your taxable income. 2. Carry Forward If you can’t use all the loss in the same year, you can carry it forward and offset it against profits in future years until the loss is fully used. 3. Limits You can never deduct more than the actual loss you suffered. 4. Special Rule for Digital Assets Losses from crypto or digital assets can only be used to offset profits from other digital asset trades. (Shares don’t have this restriction — they can offset broader taxable income.) Bottom line: If you lose money on shares, you can carry that loss forward to reduce future tax bills. ________________________________________ 2. What About Bonds or T-Bills? • Not covered by the relief. • The Act is very specific: reinvestment relief only applies if proceeds go into shares of Nigerian companies. • Bonds and Treasury Bills are treated as “securities” (debt instruments), not equity. So, if you sell shares and move the money into bonds or T-Bills, you lose the reinvestment benefit and your capital gain is fully taxable. |

| Re: Nigerian Stock Exchange Market Pick Alerts by ositadima1(m): 12:43pm On Aug 29, 2025 |
KarlTom:if your stock sales exceed N150,000,000 but you reinvest all the proceeds within the same tax year, you will generally not pay any capital gains tax on those gains, according to the Nigeria Tax Act, 2025. |
| Re: Nigerian Stock Exchange Market Pick Alerts by KarlTom: 12:47pm On Aug 29, 2025 |
I stand to be corrected but Let me quote your original post: B. On Capital Gains from Shares • Threshold Exemption: No tax if BOTH apply in a 12-month period: o Total sale proceeds < ₦150m, AND o Chargeable gains < ₦10m. the key word here is BOTH so exemption only happens WHEN both conditions are met ositadima1: |

KarlTom:Did you just take the part that suited you and leave out the rest of section B? Maybe you’re right, maybe not… B. On Capital Gains from Shares • Threshold Exemption: No tax if BOTH apply in a 12-month period: o Total sale proceeds < ₦150m, AND o Chargeable gains < ₦10m. • Reinvestment Rule: Reinvesting sale proceeds (within the same tax year) into Nigerian shares reduces taxable gain. Only the non-reinvested portion is taxable. • Deduct Costs: Always deduct brokerage fees and other disposal-related expenses. |

Are shareholders not supposed to be the owners of the business? Logically, taxing the same profit in the hands of investor looks likes double taxation. You can tax my business profit and still tax me for pulling it out. Abi there is regulation that the profit must remain in the business? Forget the names, look at it fundamentally. |

KarlTom:I agree 100% It isn't double taxation in the Financial sense, where the company and the owners are separate entities. But it is in the real sense, cos the company's owners actually make the company, abi na company dey wear suit sit down for.board room??.😁 If you're an HNI, does a company shield you from WHT though? Isn't it payable by all entities? |
