The NGX rules particularly Rule 21.4 mandates that acquisition of shares of minority shareholders by the majority must be atleast the highest price traded in the last 6 months before the Court Ordered Meeting. The Majority Shareholders cannot just give whatever they want as the scheme for delisting from the stock exchange will have to be sanctioned by the Federal High Court and also approved by atleast 75% minority shareholders at a Court Ordered Meeting. In a nutshell, the buyout price per share will be contingent upon the highest share price 6months before the COM, court sanction and minority shareholders approval at the meeting.

In a bear market.....prices will drop by 8-9% and gain by 3-4%.... it keeps going down gradually until you'll discover your portfolio is in 20-30% loss....

That's how it works....so don't rejoice when you see a bounce.....some could be a reaction a certain SUPPORT......pray that support isn't broken, if it does, then down down we go.

Good and don't forget, you only loss when you sell.

If you're patient enough and the market does the needful, your money should grow back in 6months to 1yr time.

Like some Oga's have mentioned, this advise is ONLY for fundamental stocks.

These conditions are easy for the company to fulfill being that this is Nigeria where anything goes. The company will offer to pay the highest price at the COM and they'll get the 70% to agree. They have seen that it is a lucrative sector and they want to go fully private so they can challenge Dangote and BUA without divulging their records to the public which is required to participate in NGX. I pray they succeed so they can get to work and focus on their business and crash price of cement. If government keeps on the path of constructing concrete roads, they'll partner with CCECC NL and make a ton of money that will flow back to their country like MTN is doing. If you have money, better start a good business now and keep detailed records so you can reap the rewards when time is right.

I must commend CHAMS and those in-charge.

That stock has remained resilient during this period. I was even thinking it will be affected with the RI.

I wonder if the bolded confuses the mandatory takeover offer (MTO) rules with those for delisting buyouts.

I could be wrong, but I think MTO, which is what is triggered now, only requires the acquirer offer at least the highest price paid by the acquirer in the previous 6 months for the same class of shares. That is, the price Huaxin paid Holcim, not the highest price traded in the last 6 months before acquisition offer. Big difference.

They quickly forgot 1% MTO rules used by Forte Oil guyz to pay otedola N66.25 per share then convert the name to Ardovia then delist at N17.38 . ..

The 1% Mandatory Tender Offer is just in fulfillment of the rule that guides bulk purchases from majority shareholder(s) to protect and be fair to minority shareholders.
