To avoid tax, you don't have to sell. CGT cannot arise if you don't sell. It is only when you sell that you become liable to pay CGT on the profit you make from the sale.

I have already mapped out my way around it in a very legal manner. E no worry me again

The tax law seems to provide a loophole specifically for stocks. If you reinvest your earnings within the same tax year, you don’t pay tax on those earnings for that year — tax is only applied to the portion you withdraw without reinvesting.

Another interesting point is that the law doesn’t specify how long you must hold your new investment before selling it again. In many other countries, you typically need to hold the new purchase for at least a year to qualify for tax exemption.

So, the loophole here is this: make profits from those rubbish “jijo” stocks, withdraw the gains, and reinvest them into more liquid and stable stocks like banks, Presco, or BUA Foods. Then, sell those after a week, even if it’s at zero gain, a small profit, or even a small loss.

Sounds almost like money laundering, lol.

Yes because if the N150 Million threshold is not triggered, the N10 million gain threshold has been triggered. Either a N150 Million sales value or a N10 Million gain when triggered, set the stage for CGT. So in essence, even if the sales was N30 million and the gain on it was N11 Million, there will be CGT but if the sales value was N149 Million and the gain was N9.99 Million, there will not be CGT

Yes because if the N150 Million threshold is not triggered, the N10 million gain threshold has been triggered. Either a N150 Million sales value or a N10 Million gain when triggered, set the stage for CGT. So in essence, even if the sales was N30 million and the gain on it was N11 Million, there will be CGT but if the sales value was N149 Million and the gain was N9.99 Million, there will not be CGT

omo, this one go cause wahala. lawyers must be involved because they might want to rob us from both front. This lazy man's approach that the govt is using for this CGT is very annoying. All i am striving to do is how to avoid it. They can hold the WTH but the rest will need careful strategy

I believe the CGT is based on profit or loss from your entire portfolio (hence linking TIN to your brokerage account) and not individual stocks, over a consecutive 12-month period.
So, this method may not be feasible but it’s worth the try with impatient funds shocked

On the Capital Gain Tax, CGT, below are my thoghts:

1. Government will not be able to execute it yet because of the thorny issues that borders on the actual value of the shares. How will you tax a supposed 'gain' on a share bought at 30 naira when dollars was 1 usd to 180 naira and sold at 70 naira when 1 USD is 1500 naira. Is that a gain or a loss?

2. Even if government successfully tax the investors, the foreign investors especially will just sell off and leave the market. This will lead to market crash and erosion of confidence in the future. No one wants to near such monkey business.

3. It will be difficult in the future for companies to raise capital via the stock market as the government is bent on eroding the capital base of the investors.

4. The CGT shows lack of in-depth thinking on the part of our policy makers and law makers.

5. The actual percentage of the tax is not known yet. This shows that the government is just testing the waters.

6. The tax law is punishing the bigger investors. This is against normal practice all over the world. Government is supposed to protect the bigger investors.

I think if the government goes ahead and execute the law, they will be embarking on a journey of degrading the Nigeria stock market.

If any major player takes them to court. They will win.I have never seen whr a new law is applied backwards. We are not in military era.They can only succeed in it if January 1,2026 becomes the bench mark.Why is the new PIT not equally going to be applied backward. This is executive stealing, robbery being committed by a clueless, incompetent, lazy govt using the instrumentality of the so called CGT.
Can you imagine that they say for the purpose of calculating CGT, the cost of the shares shall be the historical purchase cost no matter how many years ago (e.g. 2012), without taking into consideration inflation and currency devaluation between 2012 and 2025.
If they wanted to be fair, these are some of the options they could have adopted:
i. use the opening price on Jan 1, 2026 as assumed ''purchase cost'' of the investments
ii. adjust for inflation over the years
ii. adjust for currency devaluation over the years e.g. an investment purchased at a cost of N150,000 in 2012 (USD1,000 at exch. rate of N150:$1) should be adjusted for dollar parity and recognized at cost of N1,500,000 in 2025 (exch. rate of N1,500:$1). But they still want to maintain the historical cost of N150,000 in order to inflate the so called ''capital gain'' and collect a bigger tax sum on it.

From the attachment by Ositadima, it is clear that you have to sell share in "a nigerian company" and the total sale in that company must be over N150million with the chargeable gain over N10 million in 12 months.
Most of us wey dey do this argument no even get portfolio of over 150million not to talk of 150million shares in one(a single) Nigerian company.

But for others, it's simple sell less than 150million Naira per year.
Or if you sell over 150million Naira worth of shares in one company, reinvest in some other companies and sell the next tax year.

My guy, make no mistakes! There are guys here with portfolios worth several hundreds of millions and even billions of naira!
When you see stocks like Wema Bank or Ikeja hotels rising from .50k/70K to N20+, they are directly increasing the worth of some peoples portfolio in astronomical proportions.

Take note of the word AGGREGATE there. If you do an average monthly turnover (sales ) of over N12.5m in a year, your aggregate would be more than N150m.

So jijoists should monitor their aggregate turnover (sales) and/or net gain in any year should be less than N10m to know how far with CGT.

Please remember to factor-in the impact of currency devaluation.
In 2010, a foreign investor with $1,000 would be able to buy shares worth about N120,000 on NGX
In 2025, the same $1,000 will buy shares worth N1,500,000

So looking at the nominal figures and percentages alone will give deceptive and inaccurate picture.
