Providus Bank Private Placement: Capital Structure, Merger Risk, and the March 31 Deadline Providus Bank Limited's private placement of 9,375,000,000 ordinary shares at N8.00 per share, targeting gross proceeds of N75 billion, sits at the intersection of three concurrent developments: a banking sector recapitalisation exercise entering its final 18 days, a court-sanctioned merger with Unity Bank that advanced to the Court of Appeal on March 13, 2026, and an institutional balance sheet that has expanded significantly but carries a debt funding profile that warrants structured scrutiny. The placement, arranged by Vetiva Capital Management, Cordros Capital, and PAC Capital Limited, closed its application list in March 2026. Its stated objective is digital infrastructure and branch expansion rather than minimum capital compliance, a framing that the bank supports by asserting it has already met the N50 billion regional licence threshold. That assertion, however, sits within a more complex capital-and-merger picture that institutional investors should examine with precision. |

jonnysessy:Why chase a moving bus? I was screaming Zenith at N60 for fundamental reasons. If you are looking for what to enter today go and buy ETI at N47. ETI fundamentals are a lot sexier than Zenith was at N60. Heck ETI should be trading above Zenith |

faoogoke:Private placement at N8.00 per share! This probably indicates that listing would not be less than N8. |

Ordinarily, ETI would have been a decent play but unfortunately it has an elephantine leg that has weighed it down. Until it resolves the multiple issues tormenting its Nigeria operations, the bank will continue to drag behind its peers! Sad |

nosa2:I have been in Zenith long enough to know what they can do. I also bought around that N60 price. I bought some N70, N75, N80 and even N87. But, it keep looking good to me because i know their antecedents. I just want others to enjoy what i have been enjoying. I am a dividend investor . i am no prophet but i see Zenith Bank upstaging GTCO sometime. I don't have any analysis to back this up.You have really harped on this ETI, i think i should take a good look at it now. My only problem with them is they hate to declare dividend, i have been in and out of the stock. But, there is always a room to come back to any stock. ![]() |

jonnysessy:I have been in and out of ETI as well but now I'm in for good. Zenith price will not surpass that of GTB but ETI price will surpass that of Zenith. I can give fundamental reasons for this but only on www.NGXforum.com Ask there and you shall be answered |

Unfortunately, the banking industry is the only sub-sector where the share price has never traded at its fair value. The reason is largely due to the exaggerated cost of running the business. The CEOs are overpaid and bloated with cash — essentially living with a financial 'pot belly' nosa2: |
