Buyers Procedure

12. PROCEDURE:
A. The Seller shall deliver to the Buyer:
1. The Vessels INTERTANKO Q88;
2. Bill of Lading;
3. Certificate of Origin;
4. Vessel Management Affidavit Letter addressed to the
Buyer that
confirms the following information: PER APPENDIX E
a) Vessel Name;
b) Vessel IMO Number;
c) Name of Master Captain;
d) Full contact coordinates for Vessel and Master Captain;
e) Confirmation of the Sellers issued Bill of Lading
confirming:
i. Type of Crude onboard;
ii. Volume of Crude onboard in Metric Tons and Barrels; and
iii. Validation of the Master Captains signature and seal of
said Bill of
Lading, Certificate of Origin and Customs Clearance
Certificate.
Said Vessel Management Affidavit Letter shall be emailed
directly from the
appropriate Vessel Management Company’s Corporate
Officer using their
Corporate domain email client account to the Buyers
corporate domain email
client address.
1. Upon receipt and telephone verification with the Vessel
Management
Company Corporate Officer, the Buyer shall provide to the
Seller:
1. Its ATB Format;
2. The nominated Inspection Company, Inspector’s
name; and
3. Buyer’s Super Cargo Agent Company’s full
coordinates in customary
Corporate and Personal contact with Passport Copies of
said inspectors and
Super Cargo Agent format.
2. The Seller’s Master Captain shall within One (1)
International
Banking Day issue its Marine Telex NOR/ETA and their
INTERTANKO Q88 via
email to the buyer and to the SGS GHANA office for
confirmation and
approval.
3. The Seller will arrange on the same day of issuance of
the NOR/ETA
for the transponder to be turned on to confirm current
location of vessel,
once confirmed, the Buyer will notify the Seller and the
Master Captain
shall turn off due to security reasons. The Buyer reserves
the right to ask
that the transponder be turned on from time to time with
a 24 hour notice
and will request a time window period in which it shall be
on for further
verification if needed. The Master Captain shall “ ping” its
location.
Failure of the vessels transponder to turned on per the
Buyers instructions
as noted above – from time to time – and if needed- until
the Buyer has
taken control of the vessel will automatically null and void
this agreement.
4. The Seller will issue to the Buyer and SGS Ghana within
the same One
(1) International Banking Day of the NOR/ETA being
issued the complete
Proof of Product Documentation Package as is noticed in
the documents as
contained as is noted in the master DOCUMENT section in
original contract.
5. The Seller’s Master Captain shall issue to the SGS
Ghana Inspector
along with their NOR/ETA, a letter stating and agreeing to
the following:
6. The Master Captain shall confirm the vessels identity by
showing the
Buyer’s SGS Inspector the vessels official documents and
the Master
Captain shall give our Inspector a copy of the vessels
documents.
7. The Master Captain shall sign and seal/stamp the
confirmation
document of its location and the boarding of our
Inspector. The SGS
Inspector will countersign this document as well upon
boarding.
8. That SGS Ghana is allowed to take pictures of the
vessel with the
name of the vessel clearly showing in the picture and also
showing our
inspector on-board.
9. The Master Captain understands that SGS will issue a
Letter of
Protest and Decline to do the Quality and Quantity test if
the Master
Captain does not allow the above.
Should the Master Captain not issue the above the letter
the Contract is
automatically null and void.
10. After Buyer and SGS Ghana verifies the Sellers Proof of
Product
Documentation Package, the Buyer shall email the Seller
and state that he
is Ready, Willing and Able to proceed with the Sellers
Authority to Board
(ATB) per the NOR/ETA time table, the Sellers ATB shall
contain the exact
names of the personal from the Buyers Inspection
Company and the Buyers
Super Cargo Agent that the Buyer has provided to the
Seller within the
format as provided by the Buyer. (Procedure 23.4& 23.5
can be combined per Sellers
agreement).
11. The Buyer will pay for the entire cost of Inspection.
The inspection
Q&Q will be carried out within no more than “ Two (2)
nautical miles” within
the waters of the PORT OF TEMA – GHANA.
12. Upon completion of the above points and full
validation from the
Sellers Vessel Management Company and within Two (2)
International Banking
Days, the Buyers Bank shall issue its Pre Advise for its
Non-Transferable
MT 700 format Documentary Letter of Credit for the value
amount per the
verified Bill of Lading to the Sellers Bank.
13. Upon receipt of the Buyers Pre Advise in the Sellers
Bank, The
Seller shall arrange for a tugboat or other transportation
means, and
arranges for the safe and secure boarding of BUYER’s
inspection team and
Super Cargo onto loaded vessel for inspection at Buyers
expense. Seller and
Buyer cooperate to work out the details of boarding its
Super Cargo Agent
and Inspector on-board the Sellers vessel. The Inspection
team completes
its inspection and disembarks and the Super Cargo Agent
stays aboard thevessel until completion of the
transaction.
14. Upon the successful boarding, visual inspection of the
vessel, SGS
Q&Q inspection of the vessels cargo completed and review
of the shipping
documentation onboard the vessel with consultation with
the Master Captain,
The Buyer, with the Sellers complete assistance, will
within One (1)
International Banking Day, contact and arrange with
vessel handler / owners
to Re-Charter the Vessel to the Buyer destination
discharge Port and the
Buyer will negotiate the CPA and Freight covering the
transportation from
its current location to the Buyers discharge Port at the
Buyers expense
subject to the Sellers final release of CPA to the Buyer.
15. After the positive SGS Q&Q Report’s are completed
and confirmed by
both parties and the successful completion of the re or
sub charter being
completed- subject to the Sellers final release of CPA – The
Sellers
Bank Officer and Buyers Bank Officer shall engage each
other pursuant to
the Banking Protocol in the amended contract and shall
reach mutual
agreement on the text format verbiage for its MT 700
Format Documentary
Letter of Credit.
16. Upon mutual Bank Officer agreement, the Buyer’s
bank shall issue a
fully Operative, Documentary Letter of Credit within Three
(3)
International Banking Days of receipt of SGS Q&Q Report.
The Buyer shall
provide to the Seller a copy of said SGS Q&Q Report on
the day of SGS
issuance to the Buyer and the Buyer shall provide to the
Seller a copy of
the re-sub charter agreement to the Seller upon
negotiations being
completed.
17. The Buyer shall provide to the Seller via email a
courtesy copy of
the Documentary Letter of Credit transmission on the day
of issuance.
18. Upon receipt of the Buyer’s Documentary Letter of
Credit at the
Sellers Bank, the Seller shall issue the full original cargo
documents
pursuant to ANNEX A, the title in the Buyers name and all
customary closing
documents (Sellers Closing Package) via International
Courier (DHL /
Federal Express) next day delivery to the Buyers Bank
Window.
19. Upon the Buyers Bank receipt of the (Sellers Closing
Package), as
noticed above, the Seller shall prepare the final “Trade
Value Date” Commercial
Invoice after the 5:00 p.m., CET local Rotterdam time
closing for published
Platt price of Brent and issue to the Buyer via email. The
Buyer shall
execute the Commercial Invoice and return to the Seller
via email.
20. Upon receipt of the Sellers executed final “ Trade
Value Date” Commercial
Invoice via time stamped email to the Buyer, the Buyer’s
Bank shall
release the cash payment to the Seller’s Bank within One
(1)
International Banking day.
21. Upon confirmation by the Sellers Bank of payment,
the Seller shall
release the re- sub Charter Party Agreement being
transferred to the
Buyer and the Buyers Vessel sails to Buyers discharge
destination Port.

Note; a first time buyer so he is very sceptical.
