FULL DETAIL FROM CONSULTANT ON THE PROCEDURES FOR SPONSORSHIP SURVEY IN LAGOS STATE

(A) INTRODUCTION

Usually most expanse of landed properties in Lagos, indeed Nigeria, originally belongs to specific families who have been farming and settled on the land for many years and they have lay claim of ownership on the landed properties, such that no one has disputed the land from then. However, the land use act 1978 pronouncement had later confers ownership of the land to government which empowered the governor of a states to administer and control land for public use especially when there is any need to use the land for public interest such as schools, stadium, modern market, airport, seaport etc. Within this law, any family land that has no properly survey documentation issued by government could be acquired by the government for public use without any compensations. This is why most families strive to get proper documentation for their landed properties especially whenever they see that urban development is progressively growing towards them. By so doing, they can avoid government taking ownership of the land without offering them compensation. Once they have the document, government has to buy up the land from them for public use.

There are various documents a family can take to protect their landed properties and each of these documents has varying protecting capacities:

(1) Perimeter Survey Black copy paper:
(2) Perimeter Survey Red copy paper:
(3) Perimeter Layout of the properties
(4) Stamp duty:
(5) Excisionsadis a title document issue by government that remove their hand totally from the landed property)
(6) Certificate of Occupancy

The basic documents are number 1 to 4 above, which are enough to confer legal ownership to the family who have been farming on the land undisputed for decades or even centuries. Unfortunately the family, usually, cannot afford the cost of obtaining such basic document, not to talk of the advanced document in 5 and/6 above, which gives further legal power with attendant increased monetary values to the landed property.
Based on this, the land owners (family) usually look for sponsors who can invest in the process of getting the documentation while he/she (such sponsor) gains a portion of the landed property. Usually, the family will contact a surveyor who can get a potential sponsor for them.



(B) ELEMENTS OF THE LAND SPONSORSHIP PROJECT.

a. OWNERS

i. This comprises members of the family, ALL of whom MUST be present on the first day of the project. Or ALL SECTIONS of the family representatives MUST be represented at the first meeting. The first day of the project is when the deal is discussed and finalized with the payment of Owo-iwo’ko (money to enter the landed property) by the Sponsor.
ii. The Oloriebi (the head of the family) and as many other members of the family MUST sign an already prepared agreement between the OWNERS and the SPONSORS witnessed by the SURVEYOR on the first meeting.

iii. This meeting has to be video-recorded.

b. SPONSOR
i. This is the investor who is ready to bear the cost of getting either the basic or the advanced documentation for the landed property.
ii. He does this based on agreement and to gain/acquire a portion of the land.

c. SURVEYOR (practicing or licensed surveyor)
i. He is the one who usually acts as witness between the owner and the sponsor.
ii. He sometimes gets the sponsor on behalf of the owner (if the owner could not get one)
iii. He conducts the due diligence prior to the project to ascertain that government has no intention on the land to use it for public good.
iv. He conducts the initial pre-documentation survey, and also conducts post-sponsorship survey whenever the owner or the sponsor wants to sell a portion of their own share of the landed property.
v. He collects all necessary documents from government and licensed surveyor (if he is a practicing, non-licensed surveyor)
vi. He facilitates legal agreements between the owner and the sponsor, and between the sponsor and the surveyor. He employs a competent lawyer to do these.

d. THE SHARING FORMULA

This depends on the type of sponsorship:

(1) For Basic Sponsorship: which involves getting basic land protecting documents (a) Perimeter Survey Black copy paper (b) Perimeter Survey Red copy paper (c) Perimeter Layout (i.e. cutting out the land into plots (d) Stamp duty.

(a) The sharing formula is 5:1 for the owner and the sponsor respectively. This means if the entire landed property is measured to be 60 acres for instance, the land owner will take 50 acres, while the sponsor will take 10 acres. In terms of plots, 1 acre is equivalent of 6 plots. Therefore for every one 1 acre, the sponsor will get 1 plot, and in this example, the sponsor will get 60 plots.
(b) The surveyor and all other facilitators will get 30% of the share of the sponsor. This means, in this example, the surveyor will get 18 plots out the 60 plots, thus the final share of plots for the sponsor will be 42 plots. This will be his gain for basic sponsorship.

(2) Advanced sponsorship which involves either the collection of (a) Excision or (b) Certificate of Occupancy after the collection of the first set of documents for the basic sponsorship.

a. The sharing formula for the basic sponsorship is simply repeated (i.e doubled for the sponsor in ratio 4:2) and the Surveyor still takes 30% of the share of the Sponsor.
b. This means the total number of plots a sponsor will go with, for the example of 60 acres, will be 84 plots.


e. THE COST AND BENEFITS

1. The cost of basic landed property sponsorship ranges from six million naira (N6,000,000) to ten million naira (N10,000,000) depending on factors such as:

i. The estimated size (not measured) of the landed property
ii. The location of the property. How soon will the development get there?

The cost is to meet the following:

a. Cost of off-setting the initial due diligence conducted by the Surveyor, prior to the surveyor introducing the project to a potential sponsor. This is why it is better to go through a surveyor, rather than through the land owner. Or if the sponsor gets the project information directly from the land owner, it is a good practice for the potential sponsor to pay a surveyor to do the due diligence before making the investment.

b. Cost of pre-survey documentation of primary agreement with the lawyer and court (which the surveyor does with a lawyer)
c. Surveying of the landed property to determine the actual size of the property.
d. Production of Layout design
e. Collection of necessary documentation bearing the names of the owner and the sponsor.
f. Allocation of the share of the sponsor to him/her, and secondary agreement documentation (which the surveyor does with a lawyer).
g. Re-conduction of the survey and documentation (post-allocation) for the shared portion, in the name of the sponsor.
h. Owo-iwo’ko to be paid to the family (usually about N1,000,000)

2. The cost of advanced sponsorship, in addition to the basic sponsorship, can range from twenty million (N20, 000,000) to Thirty million (N30, 000,000) depending on the size of the land.

3. In summary, the sponsor will be spending between N6, 000,000 to N10, 000,000 to acquire 42 plots of land (using our example of 60 acres of land) in basic sponsorship. Usually, the prevailing price per plot at the time of sponsorship may be N500, 000 which amounts to N21, 000,000 for the 42 plots. Or he may spend between N26,000,000 to N40,000,000 to obtain 84 plots with more protecting power and monetary value for the land which at prevailing price of N1,500,000 would amount to N126,000,000.

4. The longer the landed property is kept-protected, the more monetary value is attracts.

Now, a sponsor might decide to either:

a. Do a complete sponsorship from the beginning (basic) to the end (advanced) before the allocation of shares. In this case, the marginal cost is reduced by the total cost is enormous and it could take a long time (say between 1 to 2 year) before the complete documentation is ready. In our example, he or she will spending about N26, 000,000 or more to acquire 84 plots of land, which the current cost per plot could be N1, 000,000 or more.

b. Do basic sponsorship first, then later decide to proceed to the advanced after the first allocation. This allows the sponsor to make a decision and prioritise if it is necessary to do advanced sponsorship on the entire landed property.

c. Do basic sponsorship first, then later proceed to advanced documentation on his share. The cost of advanced documentation on his share is drastically reduced to about ten million naira (N10, 000,000) or less.




(C) RISKS AND HOW TO AVERT THEM

As with every business there are risks associated with this project:

1. There might be a pre-planned government’s interest on the land. Surveyor’s due diligence can avert this risk.
2. There might be dispute on the land. Surveyor’s preliminary investigation can help avert the risk. He must know the history of the land.

3. The owners may dubiously involve many sponsors. The surveyor needs to place a keen watching eye on them. He must regularly visit them while the process lasts. The sponsor also needs to keep in touch (usually on telephone) with the Olori-ebi and the family secretary to give them assurances while during the course of the project.

4. Disagreement or dispute among the family members (the land-owner). The surveyor must get all of the members together on the first day of the project, where the surveyor, the sponsor and the every member of the family (or representatives of the sections of the family) will be present and the owo-iwo’ko will be paid by the sponsor (usually about N1,000,000 cash, depending on the potential size and location of the land, which is part of the total cost of sponsorship).

5. Delay in sponsor providing fund as at when needed. The surveyor and the sponsor have to work with strict schedule of batch of payments to complete the project as quick as possible within 3 to 6months for basic sponsorship, and between 1 to 2 years for advanced sponsorship.

6. The Sponsor can spread the cost in stages to avoid total loss. Usually one sponsor is preferable but in order to spread the liabilities, two sponsors may be allowed, in which case the final allocated plots of land has to be shared between the sponsors.


(D) CONCLUSIONS

This is a good business project that has largely been successful, especially with an experienced surveyor who is close to the community. The readiness of the sponsor and prompt provision of the fund can also greatly facilitate the process such that within 3 to 6months, the sponsor can get his land allocation and start selling in plots or start developing as the case maybe. This is a capital intensive project with enormous profit. The integrity on the three parties involved, legal documentation, surveyor’s due diligence and good relationship with the family, proper contacts between the sponsor and the family head (Olori-ebi) after the first face-to-face meeting, prompt provision of fund as at when needed at every stage of the project among others can drastically mitigate or eliminate the risks involved. The example of 60 acres used here is mainly for cost analysis, the number of acres could be slightly less or significantly larger. However, the profit marginal is still significantly large even when the number of acres is less than 60 used here.
